                                       AGREEMENT


       This agreement is made as of August 2006 between MINT Management

Services, Inc., 400 Ann St., Kannapolis, North Carolina 28081 (“MINT”) Blake Morris

and Primetime OMNIMEDIA tld. 45 Broadway Suite 1850 NY, NY 10006 L. Marilyn
Crawford.

       WHEREAS, Tyra Banks Lingerie are planning to promote and have an event

Tyra Banks Lingerie Launch in New York and/or Los Angeles On or after August 2006

(the “Party/Event”) before Undisclosed number of guests; Event for Tyra Banks the day

of/after the Party for the Promotion and release of her new lingerie line August all

Event/Party planning, Booking of Florist, Caterer, Hair and Make-up stylist, Wardrobe
stylist, Talent, Singers, Photographers, Male and Female Dancers, Dance and show

Chorographer Models male and female, Promotional Models/street teams male and

female, Set up Crews, Breakdown Crews, Equipment all Rental, Travel Management,
DJ’s, Lighting, Venue, time lines, Audio Visual, staging, security, All Printed Material,

Gifts, All Décor, Valet Parking, and Executive Event Management.

and wish to retain the services of MINT Management Service Inc. and/or Primetime

OmniMedia to coordinate all aspects of the Party/Event and engage on their behalf

various independent contractors for this event.
       NOW, THEREFORE, IT IS AGREED:

       1.     MINT & Primetime will provide the following services of Blake Morris and

              Marilyn Crawford for the Tyra Banks Lingerie Launch Party.


             A. Exact dates and locations of events with a full site inspection of venues
on production needs, traffic flow, layout of venue, and Client special event needs.
Venue must hold all required insurance certificates and be able to accommodate the
guest count.

                     B. Timelines for the events festivities from start to finish. Timelines
for all PR Media outlets to assist in the publicity of the launch.

                     C. Meet with several caterers’ in each city to create a unique menu
and execution of services for the events, such as all staffing, menu selection, full bar
amenities, special drinks and food. Caterer will provide a tasting of the suggested menu
to Event Coordinators. We will work with the caterer to show full presentations of the
food and will review the rest of the menu for the event. The client will have final
approval on all food & drink selections for the event. We will also work on explaining
the style and proper service for the event to all staff.

                      D. We will meet and work with appropriate lighting vendors to install
and execute a lighting design to add to the overall ambience of the events sleek design.
All lighting technicians must be insured and bring their own backup generator or power
source. Decor lighting will need to be discussed with event coordinators and final
approval to come from the client.

                   E. Audio Visual and staging firm will supply needed film crews,
sound systems, power and staging through the Event space. Sound check must be
performed 12 hours prior and 6 hours to the event.

                    F. Event Coordinator will plan and contract all entertainment for the
event. Can include Feature / Headline entertainers, DJ's, Specialty performers models
and actors. PR girls & guys to motivate the crowd. Contracted Promo Models to Serve
or Bartend at the event.
                      G. Decor will be designed and planned out by the Executive
Designer and executed by teams for each project and all elements of the design project
as follows, Event space overhaul, all carpet, fabrics, tapestries, table clothes, wardrobe
design, lounge furniture, specialty furniture, candles, specialty lighting, ceiling decor,
wall decor, props, food layout, entrance way, exit, stage location & decor, bathroom
decor, over all the room decor. Flowers, color scheme, location of the flowers, center
pieces and all of the arrangement locations. The overall design and layout of
Storyboard will be provided to the client for final approval 14 days after first deposits.

                    H. Valet Parking will be provided by contracted company. Event
Coordinator will monitor this to ensure that the service and flow of the drop-off and pick-
up is provided smoothly and efficiently.

                     I. Rentals will be provided by the rental company and checked in 12
hours prior to the event starting.

                     J. Reliable security firms, Off Duty Police, Undercover Officers will
be contracted for the event. All check point & doors will be guarded by security officers.
Event Coordinators and Security will work together to support safety and handle all
potential issues with paparazzi. There will be a media check point monitored through
the pre-event and main event to insure security and safety. There will be 3 guarded
check points for the Event Coordinator, Press, VIP, and General Check-in. They will be
executed by the Event Coordinator, Client Staff, and one Armed Guard.

                      K. All Contracts will include performance clauses and requirements
for Insurance Certificates in the amounts to be determined, but no less than 1,000,000
and listed in each rented Venue. All five Certificates’ that are required by the city must
be submitted and posted for each specific city. Special Production and Staff credential's
will be required by all working Vendor's in site for pre-production, and on site for the
duration of the Event.

                      L. Event Coordinator's to assist client in overall design and
production of all printed materials, such as Invitation, Arrival Bags, VIP's signage, and
all event signage.


                     M. Event Coordinator's will work directly with the client on creating

the design and producing any and all Gift items for the event, such as departure gift

bags for guests, press gift bags, and specialty media promotions.
              2.      MINT & Primetime will rent the following equipment for the Party

round tables, cocktail tables, ballroom chairs with Moiré cushioned seats, chair covers, l

glassware, silver and frosted glass presentation platters, chafing dishes, fine luncheon

size china and glass plates, utensils and white embroidered crisp linen napkins with

Heiress printed, silk Dupioni fabric table linen setting with Swarovski crystal style
beaded overlays for all tables, Snow machine, Fog Machine, Full Stage, storage area,

go-go boxes, Candles holders, red carpet and rope entrance, ; and furniture for intimate

grouped lounge area for VIP sections adjacent to pool and fountains interior for VIP

party area.



              3.      MINT & Primetime will engage the services of Florist to provide
flowers for the Interior /Exterior of location; entrance decor (main walk way), party

personals area, front walkway, interior of event space arrangements, pool

arrangements, All interiors (poles, large scale arrangements with candelabra, urns,
pedestals, hanging fixtures, and candles).



              4.      MINT & Primetime will provide the following catering services for

the Party:

              (a)     Organize product delivery and food preparation;

              (b)     Organize and coordinate with Chef and General Manager
       use of kitchen space and refrigeration space for food preparation

       and storage;

              (c)     Provide kitchen and catering staff;

              (d)     Coordinate with all service staff, catering chefs, assistants

       and sanitation attendants.

              (e)     Coordinate presentation of all food displays and bars
              (f)     Design of artistic station displays;
               (g)    Provide event set-up crew;

               (h)    Provide captains and bartenders;

               (i)    Coordinate and hire wait staff;

               (j)    Coordinate cleaning service at event location the day before

      the Event, and the morning following the Event each day;
               (k)    Coordinate removal of all garbage and waste each day.

               (l)    Provide ice sculpture display presentations.

               (m)    Coordinate and supervise structural break down of all

      displays and lighting, furniture removal, and return of all rentals.

               (n)    Music;

               (o)    Hair and make-up for the party;
               (p)    Landscaping

               (q)    Premium alcohol, liquors, wine and champagne;

               5.     MINT & Primetime will provide the following equipment and
               structures

                (a)   Carpet entrance with Photographers Back drop grounds covered in

                      Swarovski crystal’s with sprinkles of pedals.

                (b)   Lighting inside and out the front entrance, inside and the pool and

                      fountain are and through the event space.

               6.     Please note that MINT & Primetime will not be providing the
      following services, although it can if requested Tyra Banks             Lingerie.

               7.     MINT & Primetime will coordinate the services of independent

      contractors to insure that the Party vent is a first-class event, but MINT &

Primetime is not responsible for any acts or omissions of these independent

contractors.
               8.    (a) In consideration for MINT’s and Primetime’s services described

above Tyra Banks Lingerie will pay MINT and Primetime the sum of

________________ as follows:

               (i) a deposit of ____________ upon the execution of this agreement.

               b) Time is of the essence for all payments due hereunder and MINT

and/or Primetime may terminate this agreement and retain all monies previously paid on

account as liquidated damages in the event that any payment due hereunder is not

timely made.



       9. This agreement contains the entire understanding between the parties relating

to the subject matter hereof and cannot be changed or terminated except by a writing

signed by both parties.

  production needs, traffic flow, layout of venue, and Client special event needs. Venue must hold all
  required insurance certificates and be able to accommodate the guest count.

                            B. Timelines for the events festivities from start to finish. Timelines for all PR
  Media outlets to assist in the publicity of the launch.

                             C. Meet with several caterers’ in each city to create a unique menu and
  execution of services for the events, such as all staffing, menu selection, full bar amenities, special drinks
  and food. Caterer will provide a tasting of the suggested menu to Event Coordinators. We will work with
  the caterer to show full presentations of the food and will review the rest of the menu for the event. The
  client will have final approval on all food & drink selections for the event. We will also work on explaining
  the style and proper service for the event to all staff.

                            D. We will meet and work with appropriate lighting vendors to install and execute
  a lighting design to add to the overall ambience of the events sleek design. All lighting technicians must
  be insured and bring their own backup generator or power source. Decor lighting will need to be
  discussed with event coordinators and final approval to come from the client.

                         E. Audio Visual and staging firm will supply needed film crews, sound systems,
  power and staging through the Event space. Sound check must be performed 12 hours prior and 6 hours
  to the event.

                          F. Event Coordinator will plan and contract all entertainment for the event. Can
  include Feature / Headline entertainers, DJ's, Specialty performers models and actors. PR girls & guys to
  motivate the crowd. Contracted Promo Models to Serve or Bartend at the event.

                             G. Decor will be designed and planned out by the Executive Designer and
  executed by teams for each project and all elements of the design project as follows, Event space
  overhaul, all carpet, fabrics, tapestries, table clothes, wardrobe design, lounge furniture, specialty
  furniture, candles, specialty lighting, ceiling decor, wall decor, props, food layout, entrance way, exit,
  stage location & decor, bathroom decor, over all the room decor. Flowers, color scheme, location of the
  flowers, center pieces and all of the arrangement locations. The overall design and layout of Storyboard
  will be provided to the client for final approval 14 days after first deposits.

                           H. Valet Parking will be provided by contracted company. Event Coordinator will
  monitor this to ensure that the service and flow of the drop-off and pick-up is provided smoothly and
  efficiently.

                            I. Rentals will be provided by the rental company and checked in 12 hours prior
  to the event starting.
                J. Reliable security firms, Off Duty Police, Undercover Officers will be contracted for the
event. All check point & doors will be guarded by security officers. Event Coordinators and Security will
work together to support safety and handle all potential issues with paparazzi. There will be a media
checkpoint monitored through the pre-event and main event to insure security and safety. There will be 3
guarded check points for the Event Coordinator, Press, VIP, and General Check-in. They will be
executed by the Event Coordinator, Client Staff, and one Armed Guard.

                            K. All Contracts will include performance clauses and requirements for Insurance
Certificates in the amounts to be determined, but no less than 1,000,000 and listed in each rented Venue.
All five Certificates’ that are required by the city must be submitted and posted for each specific city.
Special Production and Staff credential's will be required by all working Vendor's in site for pre-production,
and on site for the duration of the Event.

                         L. Event Coordinator's to assist client in overall design and production of all
printed materials, such as Invitation, Arrival Bags, VIP's signage, and all event signage.

                       M. Event Coordinator's will work directly with the client on creating the design
and producing any and all Gift items for the event, such as departure gift bags for guests, press gift bags,
and specialty media promotions.
