NOTE TO AUTHORIZED USERS:
           When placing purchase orders under the contract(s), the authorized user should be familiar with and
    follow the terms and conditions governing its use which usually appears at the end of this document. The
    authorized user is accountable and responsible for compliance with the requirements of public procurement
    processes. The authorized user must periodically sample the results of its procurements to determine its
    compliance. In sampling its procurements, an authorized user should test for reasonableness of results to
    ensure that such results can withstand public scrutiny.
           The authorized user, when purchasing from OGS contracts, should hold the contractor accountable for
    contract compliance and meeting the contract terms, conditions, specifications, and other requirements. Also,
    in recognition of market fluctuations over time, authorized users are encouraged to seek improved pricing
    whenever possible.
           Authorized users have the responsibility to document purchases, particularly when using OGS multiple
    award contracts for the same or similar service(s), which should include:
         • a statement of need and associated requirements,
         • a summary of the contract alternatives considered for the purchase,
         • the reason(s) supporting the resulting purchase (e.g., show the basis for the selection among multiple
           contracts at the time of purchase was the most practical and economical alternative and was in the best
           interests of the State).

REQUEST FOR CHANGE:
           Any request by the agency or contractor regarding changes in any part of the contract must be made in
    writing to the Office of General Services, Procurement Services Group prior to effectuation.

CONTRACT PAYMENTS:
           Payments cannot be processed by State facilities until the contract has been delivered in satisfactory
    condition and services have been satisfactorily performed. Payment will be based on any invoice used in the
    supplier's normal course of business. However, such invoice must contain sufficient data including but not
    limited to contract number, description of service, quantity, unit and price per unit as well as federal
    identification number.
           State facilities are required to forward properly completed vouchers to the Office of the State
    Comptroller for audit and payment. All facilities are urged to process every completed voucher expeditiously
    giving particular attention to those involving cash discounts for prompt payment.

           If the contract terms indicate political subdivisions and others authorized by law are allowed to
    participate, those entities are required to make payments directly to the contractor. Prior to processing such
    payment, the contractor may be required to complete the ordering non-State agency's own voucher form.
           See "Contract Billings" in Appendix B, OGS General Specifications.

          The Office of the State Comptroller (OSC) offers an "electronic payment" option in lieu of issuing
    checks. To obtain an electronic payment authorization form visit the OSC website at www.osc.state.ny.us or
    contact them by e-mail at epunit@osc.state.ny.us or by phone at 518-474-4032.

NOTE TO CONTRACTOR:
           This Contract Award Notification is not an order. Do not take any action under this contract except on
    the basis of purchase order(s) from the agency or agencies.

NOTE TO AGENCY:
         Orders under this contract are to be submitted directly to the contractor.

PREFERRED SOURCE PRODUCTS AND SERVICES:
            Some services in this contract may be available from one or more preferred source suppliers such as
     Correctional Industries (Corcraft), Industries for the Blind of NYS, and NYS Industries for the Disabled.
     Agencies are reminded to comply with the statutory requirements under Section 162 of the State Finance
     Law and the guidelines issued by the State Procurement Council to afford first priority to products and
     services available from preferred sources which meet your form, function and utility.

OVERLAPPING CONTRACT ITEMS:
         Services available in this contract may also be available from other New York State contracts.
    Agencies should select the most cost effective procurement alternative that meets their program requirements
    and maintain a procurement record documenting the basis for the selection.

PSG's DISPUTE RESOLUTION POLICY:
              It is the policy of the Office of General Services’ Procurement Services Group (PSG) to provide
      vendors with an opportunity to administratively resolve disputes, complaints or inquiries related to PSG bid
      solicitations or contract awards. PSG encourages vendors to seek resolution of disputes through consultation
      with PSG staff. All such matters will be accorded impartial and timely consideration. Interested parties may
      also file formal written disputes. A copy of PSG’s Dispute Resolution Procedures for Vendors may be
      obtained by contacting the person shown on the front of this document or through the OGS website
      (www.ogs.state.ny.us).

CONTRACT PERIOD:
          The service contract shall commence after approval by the New York State Comptroller, effective upon
    mailing by OGS (see Appendix B, Clause 38) and shall be in effect for five years. The contract will begin on
    January 24, 2007. The Contractor is to submit a bid price that shall be fixed for one (1) year. On each
    anniversary date of the contract, the Contractor shall be granted, upon request, a price adjustment in
    accordance with Section 20, PRICE ADJUSTMENT.

SHORT TERM EXTENSION:
           In the event the replacement contract has not been issued, any contract let and awarded hereunder by
    the State, may be extended unilaterally by the State for an additional period of up to one month upon notice
    to the contractor with the same terms and conditions as the original contract including, but not limited to,
    quantities (prorated for such one month extension), prices, and delivery requirements. With the concurrence
    of the contractor, the extension may be for a period of up to three months in lieu of one month. However,
    this extension terminates should the replacement contract be issued in the interim.

CANCELLATION FOR CONVENIENCE:
          The State of New York retains the right to cancel this contract, in whole or in part without reason
    provided that the Contractor is given at least sixty (60) days notice of its intent to cancel. This provision
    should not be understood as waiving the State's right to terminate the contract for cause or stop work
    immediately for unsatisfactory work, but is supplementary to that provision. Any such cancellation shall
    have no effect on existing Agency agreements, which are subject to the same 60 day discretionary
    cancellation or cancellation for cause by the respective user Agencies.

CONTRACT MIGRATION:
           State Agencies or any other authorized user holding individual contracts with contractors under this
    centralized contract shall be able to migrate to this contract award with the same contractor, effective on the
    contract begin date (retroactively, if applicable). Migration by an agency or any other authorized user to the
    centralized contract shall not operate to diminish, alter or extinguish any right that the agency or other
    authorized user otherwise had under the terms and conditions of their original contract.

ADMINISTRATIVE AND REPORTING REQUIREMENTS:
A.  Contract Meetings:
          The Contractor shall be responsible for the completion of a variety of administrative and reporting
          requirements, and the cost of it shall be included in the base bid price.

B.     Reporting Requirements:
             Contractor shall furnish quarterly reports of contract usage by Lot by Region, on forms provided as an
             attachment to this document (ATTACHMENT NO. 2) and submit them to the Office of General
             Services, Procurement Services Group, Corning Tower, 37th Floor, Empire State Plaza, Albany, NY
             12242, no later than the 15th of the month following the close of each quarter. Purchases by political
             subdivisions and others authorized by law shall be reported separately. Failure to submit the required
             reports may be cause for disqualification of a bidder for future contracts.

PRICE ADJUSTMENT:
           On each anniversary date of the contract, the Contractor or OGS Procurement Services Group may
     request a rate change (increase or decrease) based upon fluctuations in the latest published copy of the
     Consumer Price Index for all urban consumers as published by the U.S. Department of Labor, Bureau of
     Labor Statistics, Washington, D.C. 20212. The index is also available through the Internet at the Bureau of
     Labor Statistics web site at http://stats.bls.gov/. Go to “Inflation and Consumer Spending” then click
     "Consumer Price Index" and then click on “Tables created by BLS” then click on “annual % changes 1913 to
     present.”

              Price adjustments using the CPI involve changing the base payment by the percent change in the level
       of the CPI between the reference period and a subsequent time period. This is calculated by first determining
       the index point change between the two periods and then the percent change. The price adjustment shall be
       calculated as follows. Take the CPI value for the 3rd month prior to the current anniversary date and subtract
       the CPI value for the 3rd month prior to the previous anniversary date (15 months prior to the current
       anniversary date) [e.g.: If the contract begins in April, take the January CPI value of the current year and
       subtract the January CPI value of the previous year]. That sum is then divided by the previous period CPI
       value and this result is then multiplied by 100 to equal the percent change which is the price adjustment
       value. This percentage change (increase or decrease) shall be applied to the next contract year, upon release
       of a Contract Addendum from OGS Procurement Services Group.

             The following example illustrates the computation of percent change for a hypothetical
       April, 2005 anniversary calculation:

                      Divided by previous period CPI                            181.7
                         Equals                                                 0.019
                      Result multiplied by 100                                  0.019 x 100
                         Equals percent change                                  1.9%

             The Contractor has the sole responsibility to notify OGS Procurement Services Group that they wish to
       receive the CPI rate change and to submit a request for the adjusted rate on the applicable anniversary date
       and shall provide a copy of the index and other supporting documentation necessary to support the increase
       or decrease to OGS and the Authorized User, as appropriate. Should the Contractor fail to make a request
       and submit supporting documentation to OGS within three (3) months after the applicable anniversary date,
       the Contractor shall be deemed to have waived its right to any increase in price for that year, but the State
       shall not be barred from making the appropriate adjustment in the case of a decrease determined in
       accordance with the above methodology. These price changes will take effect upon release of a Contract
       Addendum from OGS Procurement Services Group.

PERFORMANCE SURVEYS:
           Contractors may be required to attach performance surveys to Authorized User invoices every six
    months, or as requested by the Office of General Services. The form for the Performance Survey is attached
    herein. Surveys completed and returned by the Authorized User to the Office of General Services, shall be
    used to assess and evaluate the contractor's performance in accordance with the terms and conditions of the
    Contractor’s award. Performance concerns, if any, shall be addressed by the Authorized User and/or the
    Office of General Services and survey results may be considered in determining Contractor responsibility and
    continuation of Contractor’s award.

GENERAL DESCRIPTION CONTRACTS:
          The OGS Procurement Services designates the Hearing Reporter and Transcription Service Contract as
    “PS”:
          PS is a contract for services which an authorized user utilizes on an intermittent basis issuing a
          purchase order to the contractor for a specific term and for either a fixed amount (if known) or for an
          estimated amount. Payments are then made for actual expenditures. Examples are services for
          moving, carpet installation, car rentals, lodging, travel and other unit price type services utilized
          intermittently.

NON-STATE AGENCIES PARTICIPATION IN CENTRALIZED CONTRACTS:
          New York State political subdivisions and others authorized by New York State law may participate in
    contracts resulting from this solicitation. These include, but are not limited to local governments, public
    authorities, public school and fire districts, public and nonprofit libraries, and certain other
    nonpublic/nonprofit organizations. See "Participation in Centralized Contracts" in Appendix B, OGS
    General Specifications. For purchase orders issued by the Port Authority of New York and New Jersey (or
    any other authorized entity that may have delivery locations adjacent to New York State), services to be
    provided may include locations adjacent to New York State.

               Upon request, all eligible non-State agencies must furnish contractors with the proper tax exemption
       certificates and documentation certifying eligibility to use State contracts. A list of categories of eligible
       entities is available on the OGS web site (www.ogs.state.ny.us) under "Procurement Contracting Services,"
       "Procurement Law, Guidelines and Procedures," and "Non-State Agency Legal References." Questions
       regarding an organization's eligibility to purchase from New York State Contracts may also be directed to
       OGS Procurement Services Group's Customer Services at 518-474-6717.

NON-STATE AGENCIES PARTICIPATION IN CENTRALIZED CONTRACTS: (Cont’d)
           Contractors are encouraged to voluntarily extend service contracts to those additional Authorized
    Users authorized to utilize commodity contracts under Section 163(3) (iv) of the State Finance Law, as per
    section 39c of Appendix B.

NEW YORK STATE PROCUREMENT CARD:
        See "Procurement Card" in Appendix B, OGS General Specifications.

EMERGENCY PURCHASING:
          In the event that a disaster emergency is declared by Executive Order under Section 28 of Article 2-B
    of the Executive Law, or that the Commissioner determines pursuant to his/her authority under Section
    163(10)(b) of the State Finance Law that an emergency exists requiring the prompt and immediate delivery
    of products or services, the Commissioner reserves the right to obtain such products or services from any
    source, including but not limited to this contract, as the Commissioner in his/her sole discretion determines
    will meet the needs of such emergency. Contractor shall not be entitled to any claim or lost profits for
    products or services procured from other sources pursuant to this paragraph.

EXTENSION OF USE:
           Any contract resulting from this bid solicitation may be extended to additional States or governmental
    jurisdictions upon mutual written agreement between New York State (the lead contracting State) and the
    contractor. Political subdivisions and other Authorized Users within each participating State or governmental
    jurisdiction may also participate in any resultant contract if such State normally allows participation by such
    Authorized Users. New York State reserves the right to negotiate additional discounts based on any
    increased volume generated by such extensions.

METHOD OF AWARD OF CONTRACT:
        Awards made by Lot per Region to up to three lowest responsive and responsible bidders.

PROCUREMENT INSTRUCTIONS:

       Determine the contract region where the service will be performed. A list of regions and the counties covered
       by each region is found on page 13 of this Contract Award Notice.

       Review the list of rates and services.

       Determine the contractor in the applicable region for the service type and category required, as found in the
       Contract Pricing section.

       Authorized User will contact the appropriate Contractor to set up an initial meeting or discussion to outline
       the specific service required.

       Unless otherwise specified, the user agencies shall utilize the services of the contractor offering the best
       value, documenting in the procurement record the determination of the criteria used for the selection.

       Agencies will issue purchase orders or other written orders which are effective and binding on the contractor
       when placed in the mail or sent via fax addressed to the contractor at the address shown on the signature
       page. Note: purchase orders may be issued for an estimate for the entire year.

       The purchase order must indicate the appropriate contract number shown on the cover page of this Contract
       Award Notice.

SUMMARY OF POLICY AND PROHIBITIONS ON PROCUREMENT LOBBYING:
          Pursuant to State Finance Law §§139-j and 139-k, this BAFO solicitation includes and imposes certain
restrictions on communications between a Governmental Entity and an Offerer during the procurement process. An
contractor is restricted from making contacts from the earliest notice of intent to solicit offers through final award
and approval of the Procurement Contract by the Governmental Entity and, if required, the Office of the State
Comptroller (“restricted period”) to other than designated staff unless it is a contact that is included among certain
statutory exceptions set forth in State Finance Law §139-j (3) (a). Designated staff, as of the date hereof, is
identified on the first page of this award or will be designated at the time of contract use by authorized user.

Governmental Entity employees may also be required to obtain certain information when contacted during the
restricted period and make a determination of the responsibility of the Offerer/bidder pursuant to these two statutes.
Certain findings of non-responsibility can result in rejection for contract award and in the event of two findings
within a 4 year period the Offerer/bidder is debarred from obtaining governmental Procurement Contracts. Further

HEARING REPORTER MINIMUM PAYMENT:
           Contractors shall be entitled to a minimum payment equal to the value of 20 pages at the normal
    delivery rate. (i.e., applies per hearing scheduled or per facility visit).

HEARING REPORTER EVENT CANCELLATION:
          In the event of proceeding cancellation without specific notification, the Contractor shall be entitled to
    minimum payment as noted above. In addition, the Contractor shall be entitled to travel expenses in
    accordance with codes, rules and regulations promulgated by the Office of the State Comptroller for
    Management/Confidential employees. For more information concerning New York State travel please view

PURCHASE ORDERS:
          Purchase orders are effective and binding upon the contractor when placed in the mail addressed to the
    contractor at the address shown herein.

CONTRACT CHANGES/UPDATE SCHEDULE:
          It is the intention of the Services and Technology Group to amend this contract as required to reflect
    updates or changes during the contract period.

DELIVERY:
             Delivery is expressed in the number of calendar days required to make delivery after receipt of a
       purchase order.

              Delivery shall be made in accordance with instructions on purchase orders from the user agencies.

CANCELLATION FOR NON-PERFORMANCE:
              In the event that a contractor fails to show up for a scheduled Hearing Reporter Event on three or more
       occasions, the Office of General Services may determine that the contractor is non-compliant and may require
       that said contractor attend a Responsibility Hearing. Such performance may result in the cancellation of the
       contract.

LOT I - TRANSCRIPTION SERVICES

A.     GENERAL
        The Contractor shall furnish all labor and materials required to transcribe judicial and administrative proceedings (not
        criminal) including meetings, from audio cassettes, tapes, digital files, CD-ROM or other media to transcribed copy on paper
        or other media.

         All audio cassettes, tapes, digital files, CD-ROM or other media will be removed from the Authorized User property and
         transcribed at the Contractor’s selected location.

         Transcript shall be in verbatim form, proofread with all words spelled correctly, properly punctuated and hyphenated and
         grammatically correct. Any corrections to spelling, hyphenation or punctuation requested by Authorized User shall be made
         without additional cost.


B.     WORK PICK UP AND DELIVERY
        After notification by the Authorized User, the Contractor shall take delivery of audio cassettes, tapes, digital files, CD-ROM
        or other media at the Authorized User’s designated location and times or as specified by the Authorized User.

         Completed transcripts shall be delivered to the Authorized User at designated location and within designated times.

         Audio cassettes, tapes, digital files, CD-ROM or other media shall be identified by the Authorized User with completion
         requirements.


C.     TRANSCRIPTION COMPLETION REQUIREMENTS

         Normal Completion:
         Work completion shall be required in seven (7) business days excluding Saturday, Sunday and New York State designated
         holidays as listed below:

         Priority Completion:
         Work completion and delivery shall be required in three (3) business days excluding Saturday, Sunday, and New York State
         designated holidays.

         The first business day shall commence on the first business day after work pick-up; and work completion shall be after
         delivery to the Authorized User by close of business on the third business day.

         Overnight Completion:
         The Contractor shall deliver transcripts to the Authorized User no later than 1:00 p.m. on the business day following the
         proceeding. Additional copies of proceeding transcripts shall be delivered to all ordering parties no later than 1:00 p.m. on the
         business day after receipt of purchase order for those additional copies.

         Immediate Completion:
         The Contractor shall deliver transcripts no later than 9:00 p.m. on the date of the proceeding. Additional copies of public
         hearing proceeding transcripts shall be delivered to all ordering parties no later than 9:00 p.m. on date of the receipt of the
         purchase order for those additional copies.


D. LATE COMPLETION BACK CHARGES
      The following liquidated payment reductions will be assessed by Authorized Users for late completion of transcription work:

         One Day Late:               Five (5) percent per page rate reduction.

         More than One Day Late: Fifteen (15) percent per page rate reduction.

         More than fifteen (15) percent of transcripts returned late in any calendar month: The State may arrange to have transcription
         work completed by another vendor and the contractor shall be liable for costs incurred over contract costs as noted in
         Paragraph 64 of Appendix B - Remedies for Breach.


E. TRANSCRIPTION REQUIREMENTS

         The Contractor shall transcribe verbatim all audible portions of the recorded proceeding. If any inaudible portions are
         encountered, the Contractor shall re-play the inaudible portions and if portions are still inaudible, the Contractor shall identify
         in the transcription the section as inaudible, and identify the length in minutes and seconds.


F. TRANSCRIBED PAGE REQUIREMENTS

         Paper:            Shall be white 20 LB cotton bond 8-1/2 inches wide by 11 inches long.
                                             or
                           Authorized User may designate recycled content paper with the same specifications as noted above. Either
                           paper shall be furnished at no additional cost.

         Type:             Shall be black, ten letters to the inch size and reproducible by standard office copy equipment.

         Type Spacing:     Shall be 25 lines minimum double spaced between lines with ruled margin of 3/8 inch on right and
                           1-3/4 inch on left or not to exceed 2-1/8 inches in total.

         Punches:          Paper shall be un-punched unless designated by the Authorized User as punched with punch specifications.
                           There shall be no additional charge for punched paper.

         Format:           Shall be per individual Authorized User requirements. If Authorized User format requirements deviate
                           from standard, the Authorized User shall furnish Contractor with a sample format with the purchase order.
                           Formats utilized by Authorized User may include the listing of exhibits at the end of all transcripts.


G. CONFIDENTIALITY REQUIREMENTS

         All recorded and hard copy testimony and material shall remain the property of the Authorized User. The Contractor shall
         maintain the confidentiality of all material, identity of any parties and content of any material released to the Contractor for
         transcription.

         Any requests for information from third parties shall be reported to the Authorized User in writing within twenty four hours.

H. RECORDING MEDIUM

         Contractor shall have equipment to transcribe from audio cassettes, tapes, digital files, CD-ROM or other media.


I. TRANSCRIPTION COPY REQUIREMENTS (PRICE ADDITIONAL)

         All copies shall be reproducible utilizing standard office copy equipment.

         Paper:     Shall be white, 20lb., 8-1/2 x 11 inches wide suitable for plain paper copy machines.

         Copy:      Copy shall be free of smudges and extraneous marks. Copy color shall be black.


J. TRANSCRIPTION IN DISKETTE FORMAT, CD-ROM OR MEDIA (PRICE ADDITIONAL)

         The Contractor shall furnish computer diskette, CD-ROM or other media in addition to paper document original. Price
         additional shall include cost of diskette, CD, or other media.

         The diskette shall be computer readable identical copy of original printed transcript including pagination, 100 percent
         equivalent upper/lower case text and matching page and line numbers in the same sequential order.

         Each diskette or CD shall be clearly labeled on outside of cassette or CD per Authorized User instructions supplied with the
         purchase order and computer file identification shall be per Authorized User requirements.

         Format shall be ASCII, or generic word processing ASCII.


LOT II - HEARING REPORTER SERVICE - STENOGRAPHIC RECORDING

A. GENERAL

         Proceedings are to be stenographically recorded, and transcribed.

         The Contractor shall furnish all labor and materials required to provide proceeding, session or meeting reporting at
         Authorized User designated locations within the region of the contract. Reporters shall be at the scheduled proceeding,
         session, or meeting a minimum of ten (10) minutes prior to start time.

B. COMPLETION REQUIREMENTS

         Normal Completion:
         The Contractor shall deliver transcripts to the Authorized User within seven (7) business days after the recorded proceeding,
         excluding Saturday, Sunday, and New York State designated holidays. Additional copies of PUBLIC HEARING proceeding
         transcripts shall be delivered to all ordering parties within seven (7) business days after purchase order is received, excluding
         Saturday, Sunday, and New York State designated holidays.

         Priority Completion:
         The Contractor shall deliver transcripts to the Authorized User within three (3) business days after the recorded proceeding,
         excluding Saturday, Sunday, and New York State designated holidays. Additional copies of PUBLIC HEARING proceeding
         transcript shall be delivered to all ordering parties within three (3) business days after purchase order for those additional
         copies is received, excluding Saturday, Sunday, and New York State designated holidays.

         Overnight Completion:
         The Contractor shall deliver transcripts to the Authorized User no later than 1:00 p.m. on the business day following the
         proceeding. Additional copies of proceeding transcripts shall be delivered to all ordering parties no later than 1:00 p.m. on the
         business day after receipt of purchase order.

         Immediate Completion:
         The Contractor shall deliver transcripts no later than 9:00 p.m. on the date of the proceeding. Additional copies of public
         hearing proceeding transcripts shall be delivered to all ordering parties no later than 9:00 p.m. on date of the receipt of the
         purchase order.

         Proceeding Cancellation:
         The Authorized User shall provide the Contractor 24 (twenty-four) hours written notice minimum of cancellation of any
         proceeding. Failure to provide notice may entitle the Contractor to Cancellation Fee and expenses as noted under Section II.8.


C. LATE COMPLETION BACK CHARGES
      The following liquidated payment reductions will be assessed by Authorized Users for late completion of transcription work:

         One Day Late:     Five (5) percent per page rate reduction.

         More than One Day Late: Fifteen (15) percent per page rate reduction.

D. RECORDING REQUIREMENTS

         All instructions by the presiding officer to the reporter with respect to the reporter’s conduct and participation in proceedings
         shall be followed without discussion. Except where inconsistent with general or specific instructions issued by the
         Authorized User, every word spoken during a proceeding, session or meeting shall be transcribed by the reporter, unless
         designated specifically as "off the record" by the presiding officer. With specific permission of the presiding officer, certain
         "off the record" statements may be recorded.

         Instructions from anyone other than the presiding officer, concerning what shall or shall not be included in the record, shall
         be ignored.

         The Contractor shall furnish transcript proofread with all words correctly spelled, properly hyphenated and properly
         punctuated. Any corrections to spelling, hyphenation or punctuation requested by the presiding officer shall be made without
         additional cost.

         All original notes or other records taken in connection with any proceeding shall be held in security for a period of time as
         designated by the Authorized User, not to exceed one year. Proceedings are to be stenographically recorded and transcribed,
         and backup electronic verbal recording equipment shall be operating at all times while proceedings are being reported, unless
         prohibited by the Hearing Officer.

         Stenographic recording shall be mechanical or electronic keyboard-operated typing devices, and shall meet the requirements
         of the State Administrative Procedure Act.

                           Authorized User may designate recycled content paper with the same specifications as noted above. Either

         Type:             Shall be black, ten letters to the inch size and reproducible by standard office copy equipment.

         Type Spacing:     Shall be 25 lines minimum double spaced between lines with ruled margin of 3/8 inch on right and
                           1-3/4 inches on left or not to exceed 2-1/8 inches in total.

         Punches:          Paper shall be un-punched unless designated by the Authorized User as punched, with punch specifications.
                           There will be no additional charge for punched paper.

         Format:           All transcripts shall be formatted as noted below: (if Authorized User format requirements deviate from
                           below, the Authorized User shall furnish Contractor with a sample format with the purchase order.

         All pages shall be paginated in consecutive order for each proceeding report and sequential from the first to the last volume.
         Page numbers shall be located in the upper right hand corner of each page. Pagination will not be considered a transcribed
         line unless located on a line with other transcribed material.

         At the opening of each proceeding and as directed by the hearing officer, the Contractor shall record and insert, in location as
         directed by the Authorized User, the names and addresses of persons representing parties and participants in the proceeding.

         When directed by the hearing officer, after an extended recess, the reporter shall place in the appropriate place in the
         transcript on the days proceeding the cumulative list of appearances up to and including that day.

         Each transcript for a proceeding shall include a table of contents or index indicating page numbers of opening statements and
         closing arguments by counsel, lists of witnesses testifying at the hearing and all persons making statements. The table of
         contents or index shall also include a tabulation consisting of the number and description of each exhibit marked for
         identification with the page number on which the exhibit is marked for identification, and in due course, the page on which it
         is either received in evidence, withdrawn or rejected. The index shall also include separate tabulations consisting of a
         description of each document offered in reference, public documents and matters to be officially noted, and the page on
         which each item or document was marked for identification or received in evidence. The table of contents or index shall note
         the page where offers of proof were made and such other matters as the presiding officer directs.

         Upon Authorized User request Contractor shall have rubber stamps manufactured, per Authorized User facsimile sample, to
         be used by the reporter to stamp and date exhibits and copies as directed by the presiding officer for repetitive hearing
         requirements.

         The Contractor shall retain, safeguard or distribute, per instructions from the presiding officer, all exhibits. Additionally, the
         Contractor shall cause the reporter to collect appearance cards from all persons appearing on behalf of themselves or others.
         Hearing cards shall contain information as designated by the presiding officer, and the Contractor shall file all cards with the
         Authorized User at the close of the hearing day.

F. CONFIDENTIALITY REQUIREMENTS

         Closed Hearing (as designated by the Authorized User):
         All recorded and hard copy testimony and material will remain the property of the Authorized User. The Contractor shall
         maintain the confidentiality of all material, identity of any parties and content of any material related to the hearing.

         Any requests for information on closed hearings from third parties shall be reported to the Authorized User in writing within
         twenty four hours.

         Public Hearing (as designated by the Authorized User):
         The Agency, or any other purchaser of transcript or document of any hearing, investigation, session, meeting, etc., may
         duplicate or otherwise reproduce any document for their own use, except for sale to other prospective purchasers, without
         compensation to the Contractor. Any transcript or documents received by the Authorized User are public documents
         accessible for public inspection and copying under the terms and provisions of Article 6 - Section 87 of the Public Officers
         Law.

         The Contractor shall use paper or ink suitable for copying with standard electrostatic office copy equipment.


G. RECORDING MEDIUM

         All transcripts shall be typewritten or mechanical reproduction process if approved in writing by the Authorized User.


H. TRANSCRIPT COPY REQUIREMENTS (PRICE ADDITIONAL)

         All copies shall be reproducible utilizing standard office copy equipment.

         Paper:     Shall be white, 20lb, 8-1/2 inch wide suitable for plain paper copy machines.

         Copy:      Copy shall be free of smudges and extraneous marks. Copy color shall be black.


I. TRANSCRIPT IN DISKETTE OR CD-ROM FORMAT (PRICE ADDITIONAL)

         The Contractor shall furnish computer diskette, CD-ROM or other media in addition to paper document original. Price
         additional shall include cost of diskette, CD, or other media.

         The diskette shall be computer readable identical copy of original printed transcript including pagination, 100 percent
         equivalent upper/lower case text and matching page and line numbers in the same sequential order.

         Each diskette or CD shall be clearly labeled on outside of cassette or CD per Authorized User instructions supplied with the
         purchase order and computer file identification shall be per Authorized User requirements.

         Format shall be ASCII, or generic word processing ASCII.


Lot III - HEARING REPORTER SERVICE - ELECTRONIC RECORDING

A. GENERAL
      Shall be per all requirements as defined on Section II.4 Lot II, except proceedings are to be electronically recorded, and
      transcribed. The reporter/monitor shall obtain an accurate verbatim electronic sound record of the entire proceeding session
      or meetings No part of the proceedings shall be excluded from the verbation transcript for any reason unless the Hearing
      Officer so directs. Electronic recording of proceedings under this contract shall be a reporter/monitor using four track
      electronic recording equipment or using an equivalent system of microphones, mixer, and electronic recorder. Backup taping
      is required.

Lot IV - MEDICAL TRANSCRIPTION SERVICE REQUIREMENTS

A. GENERAL
      The contractor shall furnish all labor and materials required to transcribe medical documents including but not limited to:
      patient case information; patient discharge reports; radiology reports for hospital and medical centers; reports and
      correspondence for specialties such as neurology, orthopedics, cardiology, urology, oncology and other medical specialties.
      Medical transcription requires a highly developed skill and knowledge of the spelling of medical terms including but not
      limited to all anatomical terms, diseases, injuries, treatments, etc.

         All magnetic media will be removed from Authorized User property and transcribed at the Contractor’s location.

         Transcript shall be in verbatim form proofread with all words spelled correctly, properly punctuated and hyphenated. Any
         corrections to spelling, hyphenation or punctuation requested by Authorized User shall be made without additional cost.


B. WORK PICK-UP AND DELIVERY
      After notification by the Authorized User, the Contractor shall take delivery of cassettes, CD or other media at the
      Authorized User designated location and times.

         Completed transcripts shall be delivered to the Authorized User at designated location and within designated times.


C. TRANSCRIPTION COMPLETION REQUIREMENTS

         Normal Completion:
         Work completion will be required in seven (7) business days excluding Saturday, Sunday and New York State designated
         holidays as designated below:

         Priority Completion:

         The first business day will commence on the first business day after work pick-up and work completion will be after delivery
         to the Authorized User by close of business on the third business day.

         Each cassette, CD or other media will be identified by the Authorized User with completion requirements.

         Overnight Completion:
         The Contractor shall deliver transcripts to the Authorized User no later than 1:00 p.m. on the business day following the
         proceeding. Additional copies of proceeding transcripts shall be delivered to all ordering parties no later than 1:00 p.m. on the
         business day after receipt of purchase order.

         Immediate Completion:
         The Contractor shall deliver transcripts no later than 9:00 p.m. on the date of the proceeding. Additional copies of public
         hearing proceeding transcripts shall be delivered to all ordering parties no later than 9:00 p.m. on date of the receipt of the
         purchase order.

D. LATE COMPLETION BACK CHARGES
      The following liquidated payment reductions will be assessed by Authorized Users for late completion of transcription work:

         One Day Late:              Five (5) percent per page rate reduction.

         More than One Day Late: Fifteen (15) percent per page rate reduction.

         More than fifteen (15) percent of transcripts returned late in any calendar month: The State may arrange to have transcription
         work completed by another vendor and the contractor shall be liable for costs incurred over contract costs as noted in
         Paragraph 64 of Appendix B – Remedies for Breach.


E. TRANSCRIPTION REQUIREMENTS

         The Contractor shall transcribe verbatim all audible portions of the recording. If any inaudible portions are encountered, the
         Contractor shall re-play the inaudible portions and if portions are still inaudible, the Contractor shall identify the section as
         inaudible, and identify the length in minutes and seconds.


F. TRANSCRIBED PAGE REQUIREMENTS

         Paper:            Shall be white 20 LB cotton bond 8-1/2 inches wide by 11 inches long.
                                             or
                           Authorized User may designate recycled content paper with the same specifications as noted above. Either
                           paper shall be furnished at no additional cost.

         Type:             Shall be black, ten letters to the inch size and reproducible by standard office copy equipment.

         Type Spacing:     Shall be 42 lines minimum single spaced between lines with ruled margin of 3/8 inch on right and
                           1-3/4 inch on left or not to exceed 2-1/8 inches in total.

         Punches:          Paper shall be un-punched unless designated by the Authorized User as punched with punch specifications.
                           There will be no additional charge for punched paper.

         Format:           Shall be per individual Authorized User requirements. Each Authorized User shall submit a sample format
                           with purchase order. Formats utilized by Authorized User may include the listing of exhibits at the end of
                           all transcripts.


G. CONFIDENTIALITY REQUIREMENTS

         All recorded and hard copy testimony and material will remain the property of the Authorized User. The Contractor shall
         maintain the confidentiality of all material, identity of any parties, and content of any material released to the Contractor for
         transcription.

         Any requests for information from third parties shall be reported to the Authorized User in writing within twenty four hours.


H. RECORDING MEDIUM

         Contractor shall have equipment to transcribe from standard two and one half inch wide by four inch long (2 ½” x 4”) tape
         cassettes.

                            CONTRACT INSURANCE REQUIREMENTS



Prior to the commencement of the work to be performed by the Contractor hereunder, the Contractor
shall file with The People of the State of New York, Office of General Services (hereinafter referred to
as “OGS”), Certificates of Insurance evidencing compliance with all requirements contained in this
Contract. Such Certificates shall be of form and substance acceptable to OGS.

Acceptance and/or approval by OGS does not and shall not be construed to relieve Contractor of any
obligations, responsibilities or liabilities under the Contract.

All insurance required by the Contract shall be obtained at the sole cost and expense of the
Contractor; shall be maintained with insurance carriers licensed to do business in New York State,
and acceptable to OGS ; shall be primary and non-contributing to any insurance or self insurance
maintained by OGS; shall be endorsed to provide written notice be given to OGS at least thirty (30)
days prior to the cancellation, non-renewal, or material alteration of such policies, which notice,
evidenced by return receipt of United States Certified Mail; shall be sent to:

 (insert state agency name and exact address) and shall name The People of the State of New York, its
officers, agents, and employees as additional insured’s thereunder (General Liability Additional
Insured Endorsement shall be on Insurance Service Office’s (ISO) form number CG 20 26 11 85). The
additional insured requirement does not apply to Workers Compensation, Disability or Professional
Liability coverage.

The Contractor shall be solely responsible for the payment of all deductibles and self insured
retentions to which such policies are subject. Deductibles and self-insured retentions must be
approved by OGS. Such approval shall not be unreasonably withheld.

The Contractor shall require that any subcontractors hired, carry insurance with the same limits and
provisions provided herein.

Each insurance carrier must be rated at least “A-” Class “VII” in the most recently published Best’s
Insurance Report. If, during the term of the policy, a carrier’s rating falls below “A-” Class “VII”, the
insurance must be replaced no later than the renewal date of the policy with an insurer acceptable to
the Department and rated at least “A-” Class ”VII” in the most recently published Best’s Insurance
Report.

The Contractor shall cause all insurance to be in full force and effect as of the commencement date of
this Contract and to remain in full force and effect throughout the term of this Contract and as further
required by this Contract. The Contractor shall not take any action, or omit to take any action that
would suspend or invalidate any of the required coverage’s during the period of time such
coverage’s are required to be in effect.

Not less than thirty (30) days prior to the expiration date or renewal date, the Contractor shall supply
OGS updated replacement Certificates of Insurance, and amendatory endorsements.

The Contractor, throughout the term of this Contract, or as otherwise required by this Contract, shall
obtain and maintain in full force and effect, the following insurance with limits not less than those
described below and as required by the terms of this Contract, or as required by law, whichever is
greater (limits may be provided through a combination of primary and umbrella/excess policies):

    a) Commercial General Liability Insurance with a limit of not less than $1,000,000 each
       occurrence. Such liability shall be written on the ISO occurrence form CG 00 01, or a substitute
       form providing equivalent coverage’s and shall cover liability arising from premises
       operations, independent contractors, products-completed operations, broad form property
       damage, personal & advertising injury, cross liability coverage, liability assumed in a contract
       (including the tort liability of another assumed in a contract) and explosion, collapse &
       underground coverage.

    b) Workers Compensation, Employers Liability, and Disability Benefits as required by New York
       State. If employees will be working on, near or over navigable waters, US Longshore and
       Harbor Workers Compensation Act endorsement must be included.

    c) Comprehensive Business Automobile Liability Insurance with a limit of not less than
       $1,000,000 each accident. Such insurance shall cover liability arising out of any automobile
       including owned, leased, hired and non owned automobiles.

    d) The Contractor shall maintain, or if subcontracting professional services, shall certify that
         Subcontractor maintain, errors and omissions liability insurance with a limit of not less than
         $1,000,000 per loss.

         1. Such insurance shall apply to professional errors, acts, or omissions arising out of the scope
            of services covered by this Contract.

         2. If coverage is written on a claims-made policy, the Contractor warrants that any applicable
            retroactive date precedes the effective date of this Contract; and that continuous coverage
            will be maintained, or an extended discovery period exercised, for a period of not less than
            2 years from the time work under this Contract is completed.

   e)    Commercial Property Insurance covering at a minimum, the perils insured under the ISO
         Special Causes of Loss Form (CP 10 30), or a substitute form providing equivalent coverage’s,
         for loss or damage to any owned, borrowed, leased or rented capital equipment, tools,
         including tools or equipment of their agents and employees, staging towers and forms, and
         property of OGS held in their care, custody and/or control.

Waiver of Subrogation. Contractor shall cause to be included in each of its policies insuring against
loss, damage or destruction by fire or other insured casualty a waiver of the insurer’s right of
subrogation against OGS, or, if such waiver is unobtainable (i) an express agreement that such policy
shall not be invalidated if Contractor waives or has waived before the casualty, the right of recovery
against OGS or (ii) any other form of permission for the release of OGS.
