Minute Book Organization – With one phone call an incorporation package will arrive at your
desk with completed bylaws, resolutions, ledgers and share certificates. Legal Link powered by
CorpLink® software will complete your initial minute book organization to your specifications.
Information provided by you will be used to prepare and complete all required documents. Once
completed, all documents will be returned to you for review and signature by your client. You will
also have the ability to view all pertinent information via the Internet at any time. Fee from
$149.95.

Corporate Changes – Law Clerk Services – Legal Link powered by CorpLink® software will
assist you in your requirements for minute book updates, reviews and changes. Legal Link’s law
clerks are experienced in various corporate matters. Due to the variance in complexity of
requests, Legal Link will provide clerking services on an hourly basis. Fee $80.00 / hour

CORPORATE SERVICES - REGISTRATIONS

Application for Federal CCRA Business Number – Applications will be filed with the Canadian
Customs and Revenue Agency (CCRA) in order to obtain a business number (BN). This BN is
required in order to apply for registration with Payroll Deductions, GST, Import/Export and
Corporate Tax. Forms are available through your Legal Link Customer Service Representative.
Fee $34.25

Bank Act Registration (Section 427) - A Notice of Intention is filed with The Bank of Canada to
provide security pursuant to Section 427 of the Bank Act. This Notice reflects security interest in
the inventory and/or equipment of a corporation or individual. Fee $28.50*

Business Name Registration – Legal Link corporate service representatives attend the Ministry
of Government Services office and manually register proprietorships, partnerships, business style
registrations, renewals, amendments and cancellations under the Business Names Act, or
Limited Partnerships Act. If there is a deficiency in filing your registration, we will contact you
immediately and seek authorization to make the necessary corrections. Fee $28.50*

Electronic Business Name Registration – As a vendor through Ontario Business Connects,
Legal Link corporate service representatives will file your Business name registration
electronically and fax you a copy of the Master Business License immediately after registration.
This License also provides for Retail sales Tax, Employer Health Tax and Workplace Safety
Insurance Board registrations. The government fee for a Master Business License is reduced
from $80.00 to $60.00. Legal Link Fee $42.95 (Non-Account Holders $50.00)

Electronic Business Registration Services – The Legal Link Corporation through Ontario
Business Connects offers individual registration services of Retail Sales Tax, Employer Health
Tax or Workplace Safety Insurance Board registrations. Fee $34.25 per item.

Electronic Filing of Articles of Incorporation in Ontario - The Legal Link Corporation will file
your Articles of Incorporation electronically. Extended filing hours are available for electronic
filings. We ensure all Articles of Incorporation are handled to your specifications. A Customer
Service Representative will keep in close contact with you to verify all filing particulars. Ontario
filing fee reduced from $360.00 to $300.00 Legal Link Fee $35.95 (Non-Account Holders $50.00)

Electronic Filing of Federal Articles of Incorporation - The Legal Link Corporation will file
your Federal Articles of Incorporation electronically. We ensure all Articles of Incorporation are
handled to your specifications. A Customer Service Representative will keep in close contact
with you to verify all filing particulars. Federal filing fee reduced from $250.00 to $200.00. Legal
Link Fee $42.95 (Non-Account Holders $50.00)

Filing Ontario Articles – Articles of Incorporation, Amalgamation, Amendment, Arrangement,
Continuance, Reorganization & Dissolution. Articles of Revival, Corrected Certificates, Application
for Authorization to Continue, Restated Articles of Incorporation, Application for Letters Patent/
Amalgamation/ Continuance, Application for Supplementary Letters Patent, Application for
Revival, Surrender of Charter, Corrected Letters Patent/Supplementary Letters Patent, Approval
of Public Guardian & Public Trustee. Fee $30.75*

Filing Special Notices/Notices of Change/Annual Returns – Sets out the name of the
corporation, the date of incorporation, most recent officers and directors and registered office of
the corporation. All Notices of Change or Annual Returns can be immediately filed electronically
or delivered to the Ministry of Government Services for manual filing. Fee $32.75 for electronic
filing. Fee $30.75 manual filing*

Out of Province Registrations--Legal Link will arrange for all corporate filings and registrations
through our network of affiliates anywhere in North America. We have the ability to provide
detailed information on requirements and timelines when filing in various jurisdictions. Please

CORPORATE SERVICES - SEARCHES

Bank Act Search (Section 427) – A provincial search determines whether a Notice of Intention
to give security has been filed with the Bank of Canada in Ontario pursuant to section 427 of the
Canada Bank Act. It indicates whether any banks have taken a security interest in the inventory
and/or equipment of a corporation or individual. A certificate is provided. Fee $28.50

Bankruptcy Search – Manual – A search of the Petition Book is conducted at The Superior
Court of Justice in Ontario for Bankruptcy Petitions filed in Toronto. Fee $28.50

Bankruptcy Search – Official Receiver – A search of the records at the office of the Official
Receiver in Ottawa indicates whether a corporation or individual is or has been bankrupt, whether
an assignment, proposal to creditors or receiving order has been made against the corporation or
individual. A certificate is provided. Fee $28.50

BNLP Document List – Provides information filed relating to all sole proprietorships, general
partnerships, corporation business names, limited partnerships, and limited liability partnerships.
Fee $28.50

Business Names Report – Detailed information on any registered sole proprietorship, general
partnership or business name registrations if not already expired or cancelled. Fee $28.50

Bulk Sales Search – Ontario – A search is conducted through the Ontario Superior Court of
Justice for any filings within the jurisdiction of the corporation, business name or individual where
the assets exist pursuant to the Bulk Sales Act of Ontario. Fee $30.50
(Additional mileage charges may apply depending on search location of court)

Certificate of Compliance – Obtained through Industry Canada – states that a Federal
corporation is a valid and subsisting corporation. If the corporation is not up-to-date in its filings,
a certificate will not be issued. A notice indicating this information is subsequently produced by
Industry Canada. Fee $39.95

Certificate of No Record – Certificate issued when no record of a corporation name as
searched in the Ontario Business Information System (ONBIS) exists. Fee $28.50

Certificate of Non-Filing – Refers to filings under the Corporations Information Act. Issued
based on information recorded in the Ontario Business Information System (ONBIS) on or after
June 27, 1992. It can only be produced if no documents have been filed under the Corporations
Information Act by the subject corporation since June 27, 1992. The Certificate of Non-Filing does
not refer to filings under the Corporations Information Act made prior to June 27, 1992. Fee
$28.50

Certificate of Non-Registration - Certifies that no record of a registration filed under the
Business Names Act or declaration filed under the Limited Partnership Act within the last five
years exists. To determine if a registration was filed more than five years ago, an expired search
must be conducted. Fee $28.50

Certificate of Status – Ontario – Provides the current status of a corporation. Certificates are
available only for Ontario corporations or for Extra-Provincial foreign corporations (Class 3). Fee
$28.50

Certified Corporate Microfiche - Individual certified documents from the microfiche are no
longer available from the Ministry of Government Services. You may only obtain a Certified
Microfiche. A Certified Microfiche is admissible in Court. Fee$28.50

Corporate Document List – Identifies all documents filed by the corporation on or after June 27,
1992. This list includes the filing date for each document. For information prior to June 27, 1992,
please refer to the microfiche record for the corporation. Fee $28.50

Corporate Existence File Search – Confirms whether or not a corporation existed between two
specified dates. Legal Link will order appropriate documentation to obtain accurate information.
Fee $28.50

Corporate Inactive File Search – A paper file ordered through the Ministry of Government
Services storage facility contains documentation pertaining to the history of the corporation. Due
to company inactivity, the file is no longer kept on microfiche. The information in this paper file
chronicles the corporate history up to and including the reason for inactivity. Fee $28.50

Corporate Profile Report - A profile provides correct corporate name & number, date of
incorporation, directors and officers. Information, such as amalgamating corporations, dissolution
dates, if registered business names exist and previous names of the corporation can also be
found on a profile report. The Corporation Profile Report sets out the most recent information
filed by the corporation on or after June 27, 1992 and recorded on the Ontario Business
Information System (ONBIS). Fee $28.50

Corporation Business Names List – Sets out all business names registered or renewed by the
corporation within the last five years. The business name, business identification number (BIN),
registration date and expiry date are included in this report. Fee $28.50

Document List Copies - Order and obtain individual items from The Document List. Please note
any items requested can also be certified by the M.G.S. Fee $28.50

Document Replica – Sets out all information filed on a BNLP document. Available for new,
renewal, amendment and cancellations filed. A Document Replica can only be produced for
documents filed within the last five years. Fee $28.50

Expired Business Searches – Performed to determine or obtain information on business styles,
partnerships or proprietorships that have expired within the last 5 years. Fee $28.50

Federal Corporate Existence File Search – Federal files are requested to confirm corporate
existence between specific dates. We will request a letter of confirmation from Industry Canada
verifying information. Fee $39.95

Federal Corporate Searches - Legal Link Corporation searches all current information provided
by Industry Canada – similar in content to a profile report. Photocopies or certified copies of
forms filed with Industry Canada can be requested and obtained. Fee $39.95

Microfiche – A microfilmed copy of documents not forming part of the ONBIS system appears on
each company’s individual records. Copies of documents may be ordered from this microfilm.
Fee $28.50

Out of Province Searches- Legal Link will arrange for all corporate searches through our
network of affiliates anywhere in North America. We have the ability to provide detailed
information on requirements and timelines when searching in various jurisdictions. Please
contact one of our customer service representatives to provide any information in order to assist
you with any searching requirements. Fee $42.95

Partnership Business Names List – Sets out all business names registered or renewed by a
corporation since July 15, 1996 if not already expired or cancelled. Fee $28.50

Pending Litigation Searches – Conducted to determine if actions exist against individuals,
corporations or business names at a specific Superior Court of Justice in Ontario. Photocopies or

certified copies may be obtained from files when requested. Searches are normally conducted in
the jurisdiction where the head office or assets of a corporation or business partnership is
located, or where an individual resides. Fee $30.50 (Additional mileage charges may apply
depending on search location of court)

Point In Time Report – Provides corporate information at a specific point in time. This search
can be conducted against a corporation only for data filed on or after June 27, 1992 as recorded
on ONBIS. All current directors and officers are included as active administrators on the Point In
Time Report. Fee $28.50

Public Archive Search - Attend the office of the Archives of Ontario to obtain copies from
inactive Ministry of Government Services files. These files are the company records of both
corporations and business registrations that are not currently held at the M.G.S. or its storage
facility. We will attend the office to requisition, copy and review any archived files required. Fee
$60.00 / hour

Statement of No Match Found – Issued when no match is found in the Ontario Business
Information System (ONBIS) for the business name or business identification provided. The
report sets out the business name exactly as it was searched. The Statement of No Match Found
will be produced if there is no record of registration of the business name in the last five years. To
determine if a registration was filed more than five years ago, an expired search should be done
at the Ministry of Government Services. Fee $28.50

Statement of No Record – Statement issued when no record of a corporation name as
searched in the Ontario Business Information System (ONBIS) exists. Fee $28.50

Writ of Execution Search – Search determines whether a person, corporation or other legal
entity has a writ or execution filed against them within the jurisdiction of the Sheriff’s office and/or
the Land Titles office wherein such writs or executions are filed. When executions are found an
abstract with particulars will be provided. Fee $28.50

Writ of Execution – Province Wide Search – Search determines whether a person, corporation
or other legal entity has a writ or execution filed against them in the province of Ontario. Though
no formal certificate is provided for this service, you will receive notification from Legal Link
providing the results. The disbursement for this search is $50.00 plus applicable taxes. When
executions are found an abstract with particulars will be provided. Fee $28.50

NUANS® NAME SEARCH SERVICES

A NUANS® (Newly Upgraded Automated Name Search) printout is a computerized search report
that lists and compares a proposed corporate name or trademark with a database of existing
corporate bodies, business names, proposed names and trademarks. The comparison
generated in this report determines the similarity that exists between the proposed
name/trademark and the existing names in the database. Based on the results of this report, a
client can determine if they would like to proceed with incorporation or business name registration
of the proposed name.

A NUANS® report is available for all provinces except for British Columbia and Quebec, and, is
submitted along with any pertinent documents when incorporating a new company or amending
an existing company’s name. This report is valid for 90 calendar days from the date it is
produced.

PROVINCIAL NAME SEARCHES

Name Approval Request – British Columbia--All proposed Corporate and Business names must
be submitted and approved by The B.C. Ministry of Finance and Corporate Relations Names
Examiner. A NUANS® report is also provided for information purposes only to further assist in the
decision process. Proposed names are approved by The Registrar of Companies and reserved
for 56 days. Fees $60.00 Priority Fee $160.00

Name Search – Quebec with reservation--Quebec has a system that entails searching the
CIDREQ register and the NUANS® preliminary database. If specifically requested, the FICHIER
Central which includes information containing corporate and business names prior to Jan. 01,
1994 can also be searched. Fee $120.00 with reservation, Fee $70.00 without reservation

Name Search – Newfoundland with Reservation – A requisition is submitted requesting a
search, opinion and approval of a proposed name. Upon approval the name will be reserved for
90 days. Fees $49.95

Name Search – Northwest Territories (N.W.T.) Name Search – A requisition is submitted
requesting a search, opinion and approval of a proposed name. Upon approval the name will be

MINISTRY OF TRANSPORTATION SEARCHES & POLICE
REPORTS

The Legal Link Corporation provides investigative searches as they relate to drivers and motor
vehicle information, insurance particulars, police reports, and motor vehicle accident reports. The
majority of these searches are required for litigation purposes.

As Ministry of Transportation (MTO) records are protected under the Privacy Act of Ontario, The
Legal Link Corporation can only provide these services to parties who are authorized to access
this information. Please contact Legal Link to determine if you are entitled to obtain these
protected documents.

Driver License History Report – Conducted for the purpose of revealing the license history for a
given individual. (Date license was issued or changed, or address was amended) Convictions,
charges or other actions will be not be present on this report. Fee $39.50 plus disbursements.

Driver Record Search – Conducted for the purpose of revealing particular driver’s information
with respect to his/her convictions, charges and other actions against their specific driver’s
license within the last three years. Fee $39.50 plus disbursements.

Insurance Particulars Search – A search can be conducted on either a vehicle or individual,
registered or licensed with the Ministry of Transportation. The purpose of this search is to reveal
the name of the insurance company and policy number of an insured party. In order to reveal
insurance particulars on an individual we require the full name, address, driver’s license number
and the date particulars in order to conduct the required search. With this information we can
determine if the individual is insured and with which insurance company. Search results can take
between 4 to 6 weeks. Fee $51.95 plus disbursements.

Plate Search – Conducted for the purpose of determining the registered owner of a license plate
number. This search can be conducted for any specific date or the history of the vehicle. In order
to conduct this search we require the license plate number of the vehicle and the date for which
you require this search. This search will provide the registered owner of the plate, and
information on the vehicle attached to the plate. Fee $39.50 plus disbursements.

Police Reports – Required when investigating an accident in which a motor vehicle was
involved. In order to conduct this search we require as much information as possible with respect
to the accident. As a minimum, we require the date, location, time of the accident and the name
of a party involved. We can also obtain along with the police report, Witness Statements and
Police Officer Notes (ie: handwritten notes). The more information provided, the easier it is to
obtain the police record. Police reports can be requested from all jurisdictions. A report may take
up to eight weeks. Fee $51.95 plus disbursements.

Vehicle Identification Number Search (VIN) – Conducted for the purpose of obtaining the
registered owner of a specific vehicle. This search can be performed to obtain information on a
current owner or to determine the owner of the VIN on a specific date in time. In order to conduct
this search we require the VIN number of the vehicle. With this information we are able to
provide particulars of the owner on the date in question, the current and past history of the
vehicle. Fee $39.50 plus disbursements.

Registrar General of Ontario Searches – Legal Link service representatives will attend at the
Office of the Registrar General and obtain legal documents or conduct searches with respect to
Marriage, Birth & Death certificates. For marriage and birth certificates a letter of authorization
should state the particulars of the certificate, your relationship to the person(s) involved, the date
and reason for the request. It should also state the name of the Legal Link employee who is
obtaining the required documents on your behalf. Call us to arrange the details for this particular
search. No authorization is required when obtaining a certificate of death.

The normal turnaround time to obtain a certificate is approximately one week, however, some
certificates may be obtained on a same-day basis depending on availability of the certificate as
described below. Certificates are available for births that occurred during the past 95 years,
marriages that occurred during the past 80 years and deaths that occurred during the past 70
years. Any certificates prior to these dates are not available on a same-day basis. Certificates
not registered within these guidelines set by the Registrar General take approximately 6 weeks to
obtain. Any recent certificates within 3 months of issuance may also take 6 weeks as they may or
may not have been entered into the records of the Registrar General of Ontario. Fee $75.00*plus
disbursements.
*Please be advised that due to the extraordinary delays at the office of the Registrar General of
Ontario, Legal Link staff are required to attend at the office of the Registrar at approximately 6:30

exclusively for the purpose of obtaining information for litigation/legal proceedings including the

Security Commission Searches – Obtain Certificates of No Default or Reporting Issuer Default
