            A Recap

    • Our existing vendor relationships continue to perform well
    • Our projected 2009 costs were essentially flat (0.3%)
    • Much of this positive result was achieved through Purchasing
      Efficiency
        – Purchasing efficiency refers to:
            • How Diageo purchases health care (e.g., vendor selection, funding
              arrangements, etc.), and
            • How employees purchase health care for them selves (e.g., the right care, at
              the right time, in the right place)
        – We’ve been very focused and successful in optimizing our vendor
          relationships and funding arrangements
        – We continuously look for opportunities to ensure that we maximize how
          many of our healthcare dollars are going directly toward improving the
          health of our employees

            Impact for 2010

    • Our 2010 cost projections continue to be somewhat
      stable, with an increase of ~2.6%
       – This is far below the national average
       – Note: Kaiser HMO 2010 premiums reflect a ~3.2% increase
    • Diageo will absorb this cost increase and freeze
      employee contributions for 2010
       – Health plan contributions will remain the same as what you paid
         for comparable coverage in 2009
       – Dependent Life Insurance and Long Term Disability rates will be
         reduced

            Impact for 2010

    • Plan designs and out of pocket expenses will also remain the
      same as 2009, though there will be new benefits included
       – As part of Mental Health Parity legislation, annual limits on Mental
         Health services have been eliminated
       – In response to a significant amount of specific feedback in our Rewards
         Survey, white fillings will be covered by the Dental plan in 2010.
    • Medco will be the Prescription Drug vendor for all Aetna and United
      Healthcare (UHC) plans
       – Allow for consistency between prescription drug offerings, including the
         drug formulary
       – Administrative cost savings shared with employees in terms of frozen
         2010 paycheck contributions
       – Aetna and UHC members will receive a new prescription drug card for
         2010

         Impact beyond 2010

    • Overall healthcare inflation needs to be closely
      monitored
    • While we’ve achieved our goal of slowing increases for
      2009 and 2010, we’ll need to continue to monitor our
      offerings to ensure we stay ahead of market trends
    • We must continue to assess our designs to identify ways
      to better achieve our ultimate goal of improving health
      and productivity within our workforce

          Key Enrollment Dates
    • Enrollment Window: 11/2 – 11/18
       – If you don’t enroll during this time, your current coverage will be
         carried over to 2010
       – However, if you participate in Flexible Spending Accounts,
         and/or Vacation Buy program, you must reenroll in these
         programs. Your elections will not automatically carry over to
         2010
       – The deadline for enrolling in the Share Value Plan and Deferred
         Compensation Plan (if eligible) is also 11/18/09

            Enrolling

    • www.mydiageobenefits.com, our new self-service
      website rolled out earlier this year, will be used for all
      Health and Welfare elections
       – Access the site from any computer with Internet access
       – Available 24 hours a day, 7 days a week
       – Use the ―First-Time User?‖ link if you haven’t registered for the
         site yet
    • The Diageo Benefits Center can also be called to enroll
      in benefits and to answer your enrollment questions
       – 800-523-2309
       – Available 8 a.m. to 8 p.m. Eastern, Monday through Friday

            ShareValue Plan

     • The Diageo ShareValue Plan is an employee stock
       purchase plan. You have the opportunity to buy Diageo
       stock at a discount based on the terms of the Plan.
       Details about the Plan and enrollment are available in
       Diageo One.
        – Click on the Open Enrollment link on the Diageo One homepage
          and then on the ShareValue Plan link
     • Eligibility
        – You are eligible to participate if you work 20 or more hours per
          week and at least five months during the year and have a hire
          date of 10/1/2009 or earlier
        – International Assignees on a home country package working in
          the U.S. and excluded from participation in a comparable plan in
          your home country may also participate

            ShareValue Plan

     • This year’s purchase price is: $52.41
     • The enrollment period began on 11/2 and will end on 11/18. You
       must enroll online using Diageo One
     • You can elect to deposit from $250 (minimum) to $20,000
       (maximum) after-taxes during calendar year 2010. You must elect a
       flat dollar amount per paycheck not to exceed $20,000 per year
     • Your deductions during the year are set aside in an account in your
       name. At the end of the Plan year (January 1 – December 31), your
       total deposits are used to purchase shares of Diageo stock (Diageo
       American Depositary Shares).
     • You can elect to suspend your deductions any time during the Plan
       Year, or withdraw your funds during the annual Withdrawal Period

            ShareValue Plan

     • The Withdrawal Period for the 2009 offering will occur
       between 11/20 and 12/10
        – Details about Withdrawals can be found in the Plan Summary on
          Diageo One
     • This is the time during which active employees, who
       have contributed to the Plan during 2009, may withdraw
       their contributions rather than have the shares
       purchased for them
     • Additional details about the Withdrawal Period will be
       provided separately

          401(k) Savings Plan
     • You can enroll in and update your 401(k) Savings Plan
       investments at any time during the year
     • However, Open Enrollment is a great time to review and
       update your contributions and investments
        – Visit www.401k.com to log into your account and for additional
          information
     • Also, additional financial planning seminars will be
       scheduled for the beginning of 2010
        – More information will be provided in the future

            New Offerings

     • Based on your responses to last year’s Rewards Survey,
       we’re excited to offer these new programs for 2010
        – Access to Bright Horizons back-up child care centers and in-
          home care
        – College Coach expertise in helping alleviate the stress and
          distraction of the college admission and application process
        – Quorum Financial will offer a unique suite of credit union banking
          services—including one of the largest free ATM networks,
          checking accounts that earn interest, and vehicle/home loans
        – Access to Concierge services for everything from gift ideas to
          running errands
