Hereinafter called the “Owner"

Hereinafter called the “Publisher" -

       NOW, THEREFORE, for good and valuable consideration the receipt of which is
hereby acknowledged by each party hereto, it is agreed as follows:

1. DEFINITIONS

(1)     "Works" shall mean all the musical works listed in the attached Schedule A composed
by Owner (including but not limited to the titles, words, lyrics, music, libretti and musical
scores thereof and all interpolations, collections, compilations and all arrangements,
adaptations, versions, editions and translations thereof) also for his heirs and legal successors
in which the Owner and/or Affiliate of Owner now has or from time to time during the Term
of this Agreement acquires for the Territory (or any part thereof) any right, title, interest or
control whatsoever, whether directly or indirectly and whether in whole or in part.

(2)    "Territory" shall mean the territory of _______________________

(3)    "Term" shall mean the period of Five (5) years

(4)    "Cover Record" shall mean any recording of a Work which was originated in and
commercially released in the Territory and which is procured by the Publisher or its
Licensees.

(5)     "Rights Period" shall mean the Term of this Agreement plus One (1) years thereafter,
provided that "Rights Period" for each work which is a Cover Record and is Commercially
Released in the Territory shall mean the Term of this Agreement as aforesaid plus Two (2)
years thereafter.

(6)    "Affiliate of Owner" shall mean the Owner and its successors in title and any
company, firm or person which directly or indirectly owns or controls the Owner and any
company, firm or person which is directly or indirectly owned or controlled by the Owner or
any person who owns or controls the Owner.
(7)     "Commercially Released" shall mean phonograph records (including tapes)
manufactured and distributed for general retail sale to the public through normal channels of
distribution.
