Exhibitor Contract 1. Exhibitor agrees to abide by all applicable laws, ordinances & regulations pertaining to health, fire prevention, public safety, business licenses, sales tax permits and applicable liability insurance for food booths. 2. Exhibitors may set up after 1pm on Friday September 12, 2008 or after 7am on Saturday September 13, 2008. Exhibits must be opened and staffed during all hours of the festival. Food booths must be in place and staffed by 11am on Sat & Sun. All exhibitors are responsible for securing their exhibit structures after closing on Sat. Structures and debris must be removed by 7:00pm Sunday September 14, 2008. 3. The exhibitor agrees to indemnity and hold harmless Children’s Medical Aid Foundation, it’s Board of Directors its agents and employees from any & all claims, causes of action suits, damages, theft, injuries, & loses to any person or goods arising out of or connected in any way with the renting of space in the festival. Exhibitor agrees that this release is intended to be a full& final compromise and release of any claims, demands, actions, & causes of action, known & unknown, and in consideration of this contract, Exhibitor expressly waives the provision of Section 1542 of the California Civil Code, which reads as follows: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him, must have materially affected his settlement with the debtor. 4. The producers will not be liable for refunds or any other liabilities whatsoever for the disruption of the Festival due to reasons of enclosure in which the Festival is to be produced, being before or during the Festival, destroyed by fire or other calamity, or by any act of God (including but not limited to weather), public enemy, strikes, statutes, terrorists, ordinances or any other cause. Producer has the option to cancel the Festival by Aug 13th and will return booth fees to the exhibitors. Producer reserves the right to alter the booth layout plan. 5. Exhibitor agrees to maintain dignity and integrity of the Festival and will not perform any acts of a harmful nature. The Festival reserves the sole right to ask any Exhibitor or its employees to leave the Festival whom they feel are not acting in the best interest of the Festival. 6. Exhibitors agree to permit photographs and video to be taken of their booths and their work at the Katmandu Fall Festival 2008, to be used for the purposes of promoting and advertising the event. All photographs video footage remains the property of Katmandu Fall Festival if taken by a video/photographer for the Katmandu Fall Festival. 7. This agreement constitutes the entire contract between the Katmandu Fall Festival and the Exhibitor. Should the Festival seek legal action to enforce this contract, Exhibitor agrees to pay all fees and costs that the Festival incurs, whether or not legal action is instituted.
