Contract of Works
Agreement

This agreement is hereby made and entered into this _____ day of _________________, _____, by and between
Acorn Sash Windows, hereafter called the Contractor, and _________________ _________________, hereafter
called the Client, in regard to sash window repair and replacement work at _________________
_________________, hereafter called the Property. The Contractor and the Client hereby agree as follows:


Article 1. Scope of Work

The Contractor shall perform all of the work described in the Quotation, as it pertains to the Property, including the
furnishing of all of the materials and equipment required for the prosecution and timely completion of the work.


Article 2. Schedule of Work

The Contractor shall commence the work on or before _________________, _____, and shall substantially
complete the work on or before _________________, _____. The Contractor shall not be liable for any delay due to
circumstances beyond its control, including strikes, casualty or general unavailability of materials.


Article 3. Conduct of Work

The Client shall supply to the Contractor the details of all conservation requirements for the Property and the
Contractor shall not be liable for any work not pursuant with conversation requirements. The work shall be performed
in a professional manner and in compliance with all building regulations, health and safety laws and other applicable
laws. Unless otherwise specified, all materials shall be new and of good quality. To the extent required by law, the work
shall be performed by individuals duly licensed and authorised by law to perform said work. The Contractor may, at its
discretion, engage Subcontractors to perform work hereunder, provided the Contractor shall fully pay said
Subcontractors and in all instances remain responsible for the proper completion of this Contract. The Contractor shall
remove all waste within 5 days following completion and leave the premises in broom clean condition.


Article 4. Contract Price

The Client shall pay the Contractor for the work the sum of _________________ Pounds Sterling, subject to
deductions and additions pursuant to this Contract. Payments of the contract price shall be made by cash or cheque
payable to “Acorn Sash Windows”, in the manner following: Deposit on or before _________________, _____,
Balance 1 on or before _________________, _____, Balance 2 on or before _________________, _____.

Article 5. Additions and Deductions from the Contract Price

Wholly in addition to the contract price, the Client shall reimburse the Contractor for all costs related to accessing the
Property to perform the work, including parking and congestion charges, and pay the Contractor for all additional work,
authorised in advance by the Client, required to correct unforeseen material defects and/or breakages in glass with a
thickness of less than 4 millimetres. The Contractor shall deduct from the contract price sums allocated for planned
work that is subsequently deemed unnecessary.


Article 6. Insurance

The Contractor warrants that it is adequately insured for injury to its employees and for loss or injury to others as a
result of the acts of the Contractor or its employees. (Public liability insurance is provided by AXA Insurance UK PLC.)
For materials and workmanship constituting the installation of complete new box sash windows, the Client is insured
for loss of deposit due to insolvency of the Contractor for up to 25% of the Contract Price. (Deposit indemnity insurance
is provided by GGF Insurance Ltd.)


Article 7. Cooling Off Period

For up to 7 days following the signing of this Contract, the Client shall have the unconditional right to cancel this
Contract and be reimbursed within 28 days for all payments made, less the cost of labour and materials of goods
already manufactured fully, or in part, to the specification of the Client.


Article 8. Disputes
In the event the Client shall fail to pay any payment due hereunder, the Contractor may cease work without breach
pending payment or resolution of any dispute. All disputes hereunder, not resolved via the customer complaints
procedure administered by the Contractor, shall be resolved as advised by the Citizens Advice Bureau.


Article 9. Guarantees

The Contractor guarantees to cover the cost of completing rectification work to all defective materials and workmanship
for a period of 12 months following completion and of completing rectification to all defective materials and
workmanship constituting the installation of complete new box sash windows for an insurance-backed period of 5 years
following completion. (Insurance backed guarantee is provided by GGF Insurance Ltd.)
