									                              SPONSORSHIP AGREEMENT

This Sponsorship Agreement (the "Agreement") is entered into by and between
________________________         ("Company")   and   ________________________
("Organizer") for an event known as ________________________ (the "Event").

The particulars are as follows:

Description of Event: ________________________

Date(s):              ___________________________

Location of Event: ___________________________

Organizer:            ___________________________

Sponsoring Brand(s): _____________ (the “Brand(s)”)

NOW, THEREFORE, in consideration of the premises and the mutual covenants and
conditions hereinafter set forth, and intending to be legally bound, the parties agree as
follows:

1.       SPONSORSHIP

         The parties agree that Brand shall be designated as presenting sponsor of the
         Event. Organizer shall not offer rights of sponsorship for the Event to any entity
         in connection with the marketing of a brand that is in the same category as the
         Brand(s) without first obtaining the written consent of Company.

2.       SPONSORSHIP FEE

         The sponsorship fee payable to Organizer by Company shall be $_________
         payable in installments as follows: 50% upon execution of this Agreement and
         50% at the conclusion of the Event.

3.       TERM

         The term of this Agreement begins on the date of execution by the last party to
         sign and ends at the conclusion of the Event.

4.       RIGHTS AND BENEFITS

         As the presenting sponsor of the Event, the following rights and benefits shall
         accrue to Company:

        Title sponsorship
        Exclusive category sponsorship
        Guaranteed press coverage

        Display of logos and branding throughout Event space

5.       COMPANY'S OBLIGATIONS

         A.    Logo. Unless otherwise agreed by the parties, Company shall provide to
               Organizer or its designated agent, camera-ready artwork for the Brand(s)
               for use in designing printed materials.

         B.    Advertising Messages.        Company shall provide Organizer with
               suggested copy for advertising messages to be used in connection with
               the Event.

6.       ORGANIZER’S OBLIGATIONS

        Secure event location mutually agreed upon by all parties
        Manage all event site logistics which include design and set up of space,
         managing event staff, managing event provisions
        Hire event staff
        Promote event act
