           TERMS OF BUSINESS AND LETTER OF ENGAGEMENT

        (Including for LIFE ASSURANCE, PENSION & INVESTMENT)

These terms of business set out the general terms under which our firm will provide
business services to you and the respective duties and responsibilities of both the firm
and you in relation to such services. Please ensure to read these terms thoroughly and
if you have any queries, please contact Patrick Purcell, of Advise Business
Consulting, who will be happy to clarify.

Regulatory Status with the Financial Regulator

Patrick Purcell, t/a Advise Business Consulting, is regulated by the Irish Financial
Services Regulatory Authority and is registered as a Multi-Agency Intermediary Ref
Number 44494. A copy of the Statement of Authorised Status is enclosed or has
previously been or will be supplied.

Our Services

Advise Business Consulting offers independent financial advice and is not tied to any
financial institution. The firm can provide financial planning consultancy, and is
authorised to advise and arrange facilities on investments, deposits, life insurance,
pensions, pension transfers and PRSAs.

Accounting & Taxation – Individuals, Sole Traders, Partners in Partnerships and
Company Directors are responsible for maintaining proper accounting records,
preparing financial statements which give a true and fair view and which comply with
relevant applicable legislation. They are also responsible for making correct and
timely taxation returns.

It is agreed that we may carry out accounting & taxation services on the basis that you
have maintained proper records, will make full disclosure to us of all relevant
information and that you retain full responsibility for accounts and returns produced.
We are not registered auditors and therefore cannot provide audited accounts. Most
businesses do not require audited accounts.

Any fines, penalties or qualification for entitlements are the client’s responsibility.
Patrick Purcell will not be liable for any loss to the client, real or perceived, arising
from advice given or work carried out on behalf of a client.

List of Product Producers with whom the firm holds agency appointments:-

Canada Life, Eagle Star, Friends First, Hibernian, Irish Life and New Ireland.

Professional Indemnity Insurance

The firm carries Professional Indemnity cover of €1,500,000.

Fees, Commission and Charges

Both commission and fees remunerate the firm. Our professional fees may be charged
at a fixed rate, charged as a percentage of a transaction or are charged on a time spent
and disbursements basis. Our current basic hourly rate is €50. In determining the rate
and any additional charges, factors such as specialist skills, complexity, value, risk
assessment, and urgency will be taken into account.

The firm is paid a commission on business placed with each product provider it holds
an appointment with. This payment is taken into account in the quotation provided to
you and summary information is contained in the product information document.
Before completion of your application it is important that you receive this information
and that you understand the details contained. Full details will be included in the
cooling-off letter issued by the product provider. Our professional fees may be paid or
offset via product commission from a product provider where we agree this in
advance.

Conflicts of Interest

It is the policy of our firm to avoid conflicts of interest in providing you with
insurance and investment business services. If this is not possible, we will notify you
as soon as practicable after we become aware of the conflict of interest and you may
rest assured that you will be treated fairly where such a conflict is unavoidable.

Default on payments by clients

Our firm will exercise its legal rights to receive payments due to it from clients for
investment business services provided. In particular, without limitation of the
generality of the foregoing, the firm will seek reimbursement for all payments made
to insurers on behalf of clients where the firm has acted in good faith in renewing a
policy of insurance for the client. Insurers and other product producers may withdraw
benefits or cover in the event of default on payments due under policies of insurance
or other products arranged for you. We would refer you to policy documents or
product terms for the details of such provisions.

Complaints Procedure

In the event that you have any complaint against the firm, please address your
complaint to Patrick Purcell using the contact details of the firm. We will
acknowledge your complaint within 14 days. All complaints will be fully investigated
and the outcome of the investigation will be communicated in writing to the person
who raised the complaint. In the event that you are still dissatisfied with our handling,
response and outcome, and satisfaction is not reached, you are entitled to refer the
matter to: Financial Services Ombudsman, 3rd Floor, Lincoln House, Lincoln Place,
Dublin 2 and/or the Irish Financial Services Regulatory Authority.
