Rockland Trust Company is the wholly owned subsidiary of Independent Bank Corp., (NASDAQ: INDB). The company is independently owned and has maintained a longstanding tradition of community service. History Rockland Trust Company was founded in 1907 with the goal of “promoting the business activity and growth of Rockland and its vicinity.” By building new branches and acquiring others over the past 100 years, the bank has grown from a single branch in Rockland to a financial institution with more than 135,000 customers. Today Rockland Trust is one of the largest employers in southeastern Massachusetts, and one of the largest companies headquartered on the south shore. Rockland Trust offers a diverse set of financial products and services for personal and business customers, such as online banking and cash management products. EXECUTIVE OFFICERS Christopher Oddleifson, President and Chief Executive Officer Mr. Oddleifson was elected President of Rockland Trust Company on January 9, 2003, and further appointed as Chief Executive Officer on February 24. Mr. Oddleifson came to Rockland Trust from the First Union Home Equity Bank in Charlotte, N.C., a national bank subsidiary of First Union, where he was President. During his tenure, he led the bank into new business channels generating significant opportunities for growth. Prior to First Union, he was the Executive Vice President for Consumer Financial Services at Signet Bank where he was responsible for Consumer Banking. This unit was comprised of the branch banking, consumer lending, private banking, trust, mortgage banking, investment broker dealers and marketing divisions. Thomas Teuten, Chairman of the Board Mr. Teuten was appointed Chairman of the Board of Independent Bank Corp. and of Rockland Trust Company in July, 2003. Mr. Teuten has served as Director of Rockland Trust since 1975 and served as a Director of Independent Bank Corp. since its formation in 1986. Mr. Teuten is a member of the Executive Committees of the Independent Bank Corp. and Rockland Trust Company Boards of Directors. Mr. Teuten is President of A.W. Perry, Inc. and A.W. Perry Security Corporation, real estate investment companies with offices in Boston, Mass. and Hingham Mass. Denis K. Sheahan, Chief Financial Officer Mr. Sheahan has served as Chief Financial Officer of the Company and Rockland Trust since May 2000. From July 1996 to May 2000, Mr. Sheahan was Senior Vice President and Controller of the Company and Rockland Trust. Prior thereto, Mr. Sheahan served as Vice President of Finance for BayBanks, Inc., Boston, Mass. Jane L. Lundquist, Executive Vice President and Director of Retail Banking and Corporate Marketing Ms. Lundquist joined Rockland Trust as Executive Vice President of Retail Banking and Corporate Marketing on July 19, 2004. Prior to joining Rockland Trust Company, Ms. Lundquist served as President and Chief Operating Officer of Cambridgeport Bank in Cambridge, Mass. and President of Port Financial Corp., the holding company for the Bank. Gerard Nadeau, Executive Vice President, Commercial Banking Mr. Nadeau is the Executive Vice President in charge of Commercial Banking. He started his career with Rockland Trust in June of 1984 as a Management Trainee. For over twenty years he has consistently been one of the Bank’s top lenders , working his way up through the ranks of the Commercial Lending department. In 1995, he was promoted to Senior Vice President /Brockton Commercial Lending Center Manager, and in 1998 he became Senior Vice President/Brockton Regional Lending Center Manager. Raymond G. Fuerschbach, Senior Vice President and Human Resource Officer Mr. Fuerschbach has served as Senior Vice President and Human Resource Officer of Rockland Trust since April 1994. Prior thereto, Mr. Fuerschbach had been Vice President and Human Resource Officer of Rockland Trust since 1992. From January 1991 to October 1992, Mr. Fuerschbach served as Director of Human Resources for Cliftex Corp., New Bedford, Mass., a tailored clothing manufacturer and served in the same capacity for Chesebrough-Ponds, Inc., Health-Tex Division, Cumberland, R.I., from 1987 to 1991. Edward H. Seksay, General Counsel Mr. Seksay has served as General Counsel of Rockland Trust since July 2000. Mr. Seksay is a graduate of Suffolk University Law School, where he was Editor-in-Chief of the Law Review. Prior to joining Rockland Trust, Mr. Seksay was with the Boston law firm of Heller, Levin & Seksay, P.C. from 1991 to 2000 and with the Boston law firm Choate, Hall & Stewart from 1984 to 1991. Edward Jankowski, Chief Technology and Operating Officer Mr. Jankowski has served as Chief Technology and Operating Officer of Rockland Trust since November, 2004. Prior to that Mr. Jankowski served as Chief Risk Officer of Rockland Trust since October 2003. From November 2000 to October, 2003 Mr. Jankowski was Chief Internal Auditor of Rockland Trust. Prior thereto, Mr. Jankowski served as Senior Vice President of North Shore Bank, Peabody, Mass., from 1995 to 2000. From 1985 to 1994, Mr. Jankowski was Senior Vice President of Multibank Service Corp., a subsidiary of Multibank Financial Corp. in Dedham, Mass. Michael E. Nickley, Senior Vice President, Residential Mortgage Division Mr. Nickley joined Rockland Trust as Director of the Residential Mortgage Division in September of 2006. Prior thereto, he was Senior Vice President and Northeast Regional Manager for People’s Mortgage, a division of Webster Bank. He has been an appointed Board member of the Massachusetts Housing Finance Agency for the past five years and chairs the Homeownership Committee. David Smith, Senior Vice President, Chief Investment Officer, Investment Management Group Mr. Smith has served as Chief Investment Officer and Senior Portfolio Manager for Rockland Trust since June of 2005. From December of 2003 to June of 2005 he served as Senior Portfolio Manager and Senior Investment Officer for Rockland Trust. Prior thereto, Mr. Smith was a founding partner, Senior Vice President and Senior Portfolio Manager of Mellon Growth Advisors (MGA), a subsidiary of Mellon Financial Corporation. Cozzone, Senior Vice President and Treasurer Employed at Rockland Trust since 1998, Mr. Cozzone was promoted to Senior Vice President and Treasurer in April 2006. Ralph Valente, Senior Vice President, Director of Marketing, Strategy and Communications Mr. Valente joined Rockland Trust in May 2008 as the Director of Marketing, Strategy and Communications. He was previously employed as Director of Marketing for Network Health, from 2005 - 2008. From 1999-2005 he was Senior Vice President and Division Marketing Manager for Bank of America (formerly Fleet Bank). William Matteson, Senior Vice President, Retail Branch Banking Mr. Matteson is the Senior Vice President in charge of Retail Branch Banking. His career started with Rockland Trust in March 1994 as Director of Marketing with oversight for the Retail Branches. With the retirement of the Retail Branch Senior Manager, Mr. Matteson assumed the position of Senior Vice President, Retail Branch Banking in March 1998.
