                                        NO PROFITS, INC.
                                   (A Not-for-Profit Corporation)


                                        ARTICLE I - PURPOSE
        The corporation is organized for the purposes as set out in its Articles of Incorporation
which have been filed in the Office of the Secretary of State, State of _________.


                                        ARTICLE II - OFFICES
        The corporation may have such offices as the Board of directors may require. The initial
office shall be located at (Address).


                                    ARTICLE III - MEMBERS
        Membership shall consist of (Set out the class of persons and/or entities who will be
members, and the qualifications for membership) ___________________________________

                           ARTICLE IV - MEETINGS OF MEMBERS
        1.      ANNUAL MEETINGS.               Annual meetings shall be held on the _______
Saturday of ______ at 10:00 a.m. in each year, beginning in the year 20__. The president shall
determine the place of the meetings, and may change the time and date of the meetings as
necessary. The annual meetings shall be for the purposes of holding elections and other business
as may come before the meetings.
        2.      SPECIAL MEETINGS. Special meetings may be called by the president or by a
majority of the Board of Directors.
        3.      NOTICE OF MEETINGS. Written notices shall be delivered or mailed to each
voting member, and shall be received not less than 10 days nor more than 60 days before the date
set for the annual meeting, and not less than 5 days before the date set for a special meeting.
        Such notices shall state the place, day and time of the meeting. Notice for an annual
meeting shall state that the meeting is being called for the holding of elections and for the
transaction of such other business as may properly come before the meeting. Notice of a special
meeting shall state the purpose for which the meeting is being called.

          Notice shall be deemed to have been given when deposited with postage prepaid in a U.S.
post office or other official U.S. mail depository. Any meeting of members may be postponed or
adjourned from time to time. In such event, it shall not be necessary to provide further notice of
the time, date and place of the meeting if announcement of the time, date and place of the
postponed or adjourned meeting is given at the meeting so postponed or adjourned.
          Formal notices may be deemed waived by the attendance of meetings by any member or
members.
          4.     QUORUM.         A quorum shall consist of those members present at any
membership meeting, so long as notice was given to all members in accordance with p
