MRC Intellectual Property Policy Agreement
I understand that, consistent with applicable laws and regulations, the Medical Research Council of South Africa (MRC) is governed in the handling of intellectual property by its Intellectual Property Policy, which imposes and sets forth certain obligations and requirements with respect to rights in inventions, copyrightable materials and other intellectual property. In consideration of my employment by the MRC, the receipt of remuneration from the MRC, participation in projects administered by the MRC, access to or use of facilities provided by the MRC and/or other valuable consideration, I hereby certify that I have read and accept the MRC’s Intellectual Property Policy and agree to abide by its terms and conditions. Furthermore, in conformance with the provisions of the Intellectual Property Policy I hereby agree: To disclose fully and promptly to the MRC Innovation Centre the details of any and all potential ideas, inventions or processes, copyrights or software (intellectual property) conceived or first reduced to practice in whole or in part in the course of my involvement with the MRC. I understand that it is important to report inventions in sufficient time to permit the filing of patent applications prior to public disclosure of the work. To assign to the MRC all my right, title and interest in such intellectual property and to execute and deliver all documents and do any and all things necessary and proper on my part to effect such assignment. To assist the MRC Innovation Centre, as may be required, in the preparation and prosecution of any patent applications for any such inventions, the registration and prosecution of any copyrights, and any other procedures related to commercialization of the intellectual property. To inform the MRC Innovation Centre of any existing consulting or other obligations to any third person, organization or corporation in respect to rights in any intellectual property which are, or could be reasonably construed to be, in conflict with this agreement. To refrain from entering into any agreement creating any intellectual property obligations in conflict with this agreement. That by execution of this agreement I understand that I am not waiving any rights to a percentage of income received by the MRC from such intellectual property, as determined by the MRC’s Awards for IP Beneficiaries scheme.
This agreement shall apply to all copyrightable materials created, to other intellectual properties, and to all inventions made, conceived, or first actually reduced to practice after the date of

execution hereof, and which are subject to the Intellectual Property Policy, and shall be binding on myself, my estate, heirs, and assigns.
