INTERNATIONAL CHAMBER OF COMMERCE (I.C.C.) NON-SOLICITATION, NON-CIRCUMVENTION, NON-DISCLOSURE AND WORKING AGREEMENT
We, the undersigned, wish to enter into this agreement to define certain parameters of their future obligation. Whereas, the undersigned desired to enter a working business relationship to mutual and common benefit of the parties hereto, including their affiliates, subsidiaries, stockholders, partners, co-ventures, trading partners, and other associated organizations, herein after referred to as, affiliates. Now therefore in consideration of the mutual promises, assertions and covenants herein and other good and valuable considerations, the receipt of which is acknowledged hereby, the parties hereto for themselves personally as well as for their affiliates agree as follows: The parties will not in any manner, directly or indirectly, solicit, nor except any business from sources, nor their affiliates, that are made available by other party(ies) to this agreement, at any time or in any manner, without the expressed written permission of the party who made the source available; and That they will not in any way whatsoever, directly or indirectly, circumvent or attempt to circumvent each other or any of the parties involved in any of the transactions the parties are desirous of entering into, and that they will not, to the best of their abilities, ensure that the original transaction codes established will not be altered; and That they will not disclose any names, addresses, e-mail, telephone and telefax or telex numbers of any contacts revealed by either party to third parties and that they each recognize such contacts to be the exclusive and valuable contacts of the respective party, And that they will not enter into any direct or indirect negotiations or transactions with such contacts revealed by other party; and that they further undertake not to enter into business transaction with bank investors, sources of funds or other bodies, the names of which have been provided by one of the parties to this agreement, unless written permission has been obtained from the other party(ies) to do so. For the sake of t his agreement, it does not matter whether information obtained from a natural or a legal person. The parties also undertake not to make use of a third party to circumvent this clause. That in the event of circumvention by either party, directly or indirectly, the circumvented party shall be entitled to legal monetary penalty equal to the maximum advantage it should realize from such a transaction plus any and all expenses, including legal that would arise in the recovery of these funds, plus further damages as attributed.

Buyer and/or Seller and /or Funder and/or Client or their agents, and undersigned agree to notify the other party by facsimile, certified or express mail prior to request for any contract and upon reaching of an agreement and/or contract of any kind. All considerations, benefits, bonuses, participation’s fees and/or commissions received as a result of the contributions of the parties to this agreement, relating to any and all transactions, shall be allocated as mutually agreed to and paid immediately upon their respective allocation. This agreement is valid for any and ALL transactions between the parties hereto and enforceable in any UK court, US court, Australian court, Canada court, Singapore court, German court, or Swiss Law, and the local law of the respective court shall apply, the signing parties and their affiliates hereby accept such selected jurisdiction and venue as exclusively agreed. In the event of any breach with regard to the provisions outlined in this agreement the plaintiff has the sole right to nominate the country in which the legal procedures or settlement by arbitration shall take place. This agreement shall remain in force for 1 (one) year from the date hereof. All fax copies or E-mailed copies shall be considered as originals to all terms and all signatures of the responsible parties shall in good faith be considered as originals too. Each party involved accepts transfer of this document via fax or E-mail as fully valid. All signatories hereto acknowledge that they have read and understood the foregoing agreement and by their signature(s) typed or hand signed, that they have full and complete authority to execute the document for and in the name of the party for which they have given their signature. It is understood and agreed that the standard Non-Circumvention and Non-Disclosure rules apply. We hereby confirm that neither of us, or anyone associated with each of our organizations have been solicited in any way. All parties agree that this is not a sting operation, nor are they members of any agency whose purpose is to collect information for defamation or prosecution. Any documents or information received by each party will not be construed as solicitation in any way whatsoever, but are intended for our general knowledge. Any communication received, written or verbal will be kept confidential and will not be released by to any party. We further affirm that there has not been any offer to buy or sell securities. We agree that we will not use the materials or information received by each other to circumvention and/or for any evasion of the stated purpose. Facsimile documents, when properly endorsed, are hereby declared to be as originals
