(“us” or “we”) and ________________________“you”), regarding professional recruitment. l. Preconditions. You have NO OBLIGATION to pay us until you have actually hired a person (“candidate”) that we have introduced or referred to you. A candidate shall be considered referred to you by us when you accept from us your first appointment to interview that candidate (the “initial interview”), regardless of whether or not you had any previous contact with or knowledge of the candidate. Fees. If you hire a candidate that we introduced or referred to you within one (1) year from the initial interview, regardless of whether the candidate is hired for the position for which they initially applied, you agree to pay us a service fee based on 30% of the candidate’s first year total earnings as established at the date of hire. Payment Terms. Invoice will be sent as of date of hire. Fees are due within 30 days of agreed upon start date. Guarantee. If the candidate we introduced and referred to you is terminated for cause or resigns without just cause within 90 days of the date of hire, we agree to seek a replacement candidate for you for no additional service fee. This guarantee applies only if you pay the service fee due to us in full within 30 days from the discharged or resigning candidate’s start date. Terms of Agreement. This Agreement shall apply to all candidates we introduce or refer to you. This Agreement has an indefinite term. We reserve the right to modify the fee schedule set forth in Section 2 above, but only after written notice to you, and such modification will apply to persons we introduce or refer to you after such notice. 2. 3. 4. 5.
