An AGREEMENT

It is agreed that the Representative will present the interests of IHG in the geographic area of : Worldwide This agreement does not provide exclusivity of territory. 3. This agreement shall commence on and shall continue until cancelled by either party unless terminated as provided below. 4. The representative is authorised to promote the following IHG Language programmes: All courses offered on the IHG website – www.ihgeneva.com
5. The Representative agrees to : 5.1. To keep IHG fully informed of educational and political developments in the above specified geographic region that might affect IHG 5.2. Use their professional endeavours to represent the best interests of IHG and maintain its good reputation. 5.3. Maintain and inform IHG of an accurate and adequate telephone, postal, and e-mail communication system.. 5.4. Follow the rules and guidelines “International House Geneva Agents Handbook” attached to this agreement. 5.5 Communicate with IHG in English – if this is not possible either French or German may be used. 6. IHG will endeavour to provide relevant, adequate, and accurate information and promotional materials to the Representative about the school, its programmes, and eligibility for study. This information will be provided electronically and may be re-produced locally, at the expense of the agent. 7. The Representative shall not undertake paid advertising or publicity on behalf of IHG without the prior written permission of IHG – all advertising of this nature will be at the expense of the agent. The agent is not obliged to undertake any advertising of this kind. 8. IHG actively promotes their programmes of study through their web site and other means of electronic recruitment. IHG may refer leads to the Representative from these sources in which case commissions payable may be reduced for that applicant. Applications to the school generated from these IHG electronic sources and direct from a student in the Representative’s territory without involvement of the Representative will not attract commission. 9. The Representative shall be entitled to represent other educational establishments and institutions and shall not be obliged to represent solely the interests of IHG. 10. In consideration for services rendered by the Representative under this agreement, IHG agrees to pay the Representative a commission provided that the student is enrolled as a direct result of the Representative’s efforts and not through the school’s existing academic collaborative arrangements. Commission rates are 25% of tuition fees for the courses offered on the website of IHG. A detailed list of commission amounts payable is attached. Payment will be made as follows:
10.1. Commission will be paid to the Representative on the basis of tuition fees actually received by IHG. 10.2. The commission will be sent to the designated bank account of the Representative within 7 days of receipt of full payment. A separate list of commission payable is attached to this agreement and forms an integral part of the agreement. 10.3. No commission is payable on hotel accommodation. 10.4. All payments are made in Euros directly into the Representatives designated bank account by electronic wire transfer. Other methods of payment may be agreed by IHG on written request. 10.5. If, in exceptional circumstances, a refund is made to a student, any commission previously paid to the Representative on these fees shall be repaid to IHG or used as credit against future commission payments. 10.6. Commissions paid on leads generated by IHG via their electronic recruitment resources and referred by IHG to the agent will be maintained at 25% of tuition fees. 10.7. All sums referred to in this agreement as payable are exclusive of VAT unless otherwise stated. 11. The Representative shall insure that all application forms submitted by students introduced by the Representative to IHG are complete and bear the stamp or other agreed identification of the Representative. The on-line booking system should be used where possible All applications must: a. Be accompanied by the student’s passport photo page. b. Have the student’s home address and not list the representative’s address as the student’s contact information c. Indicate the student’s plans for accommodation. This information should be sent by email or fax – pdf copy of passport is acceptable 12. IHG reserves the right to assess the suitability of all applicants, to determine for themselves the accuracy and authenticity of the applicant’s credentials and documents, and to deny entry onto the school’s programmes of study if the applicant is deemed unsuitable.
14. This agreement may be terminated at any time by either party giving the other three calendar months notice in writing. In the event of such termination, payment of any commissions due the Representative will be made following normal procedures outlined above. In the event of a breach of the above conditions or the guidelines contained in the Agent’s manual by the Representative, IHG reserves the right to terminate this agreement immediately and without notice. 15. This agreement gives the Representative no authority to enter into agreements on behalf of IHG. 16. The construction, validity and performance of this agreement shall be governed in all respects by the Laws of the Canton of Geneva, Switzerland and procedures of IHG and the Representative agree to submit to the jurisdiction of the Courts of Geneva. 17. This document of four pages plus commission annex forms the whole of the agreement between IHG and the Representative.
