INDEPENDENT SPEAKING SERVICES AGREEMENT Between FRENCHTOWN SCHOOL DISTRICT #40 and ________________________________ This agreement dated ______________, is made between _________________________________________, hereafter referred to as the Speaker, and Frenchtown School District, Contact Person: __________________, P.O. Box 117, Frenchtown, MT 59834, Phone #: 626-26__, FAX #: 626-26__ hereafter, referred to as District. Parties to this Agreement: The District, in order to properly conduct its business, employs the Speaker. The Speaker is duly engaged in the business of providing independent speaking services for the schools/organizations. Services to be provided: For the duration of this agreement, the Speaker shall provide the District with ______ presentation(s) of no less than ___________ in duration on ___________________. Payment to the Speaker: The District agrees to pay the Speaker for these services at the following rate: Honorarium: $________ , $______ for materials, and $______ for mileage. Furthermore, the District agrees to pay the Speaker as soon as possible upon the completion of the last presentation and receipt of the invoice. The Speaker shall provide an invoice to the District Administration Office prior to payment being made. The payment shall be made payable to the ___________________ for the total amount of $________. Term of the agreement: This agreement becomes effective when both parties have signed and dated the agreement and shall be terminated upon the completion of the last presentation on______________. Either party prior to the scheduled workshop may terminate this agreement by giving fifteen (15) days notice in writing to the other party. All such notices shall be by certified mail or delivered personally. Entire agreement: This contract expresses the entire agreement between the District and the Speaker regarding this matter. This agreement can only be modified by another written agreement that is entered into by the District and the Speaker. This agreement shall be binding upon the District and the Speaker and their respect heirs, legal representatives, and successors in interest. Legal fees: If either party brings a lawsuit in order to enforce or interpret the terms of this agreement, the prevailing party shall be entitled to reasonable attorney’s fees in addition to any other relief to which the party is entitled. Governing Law: This agreement shall be interpreted according to the laws of the state of Montana. Independent Contractor stipulation: Both the District and the Speaker agree that the relationship created by this agreement is that of Independent Contractor and not that of employee and employer. The Speaker is responsible for the payment of any taxes, including without limitations, state, local, business, income, sales and use taxes, other business taxes and license fees arising out of the activities of the Speaker. Contractors are required to comply with the provisions of the Montana Workers' Compensation Act while performing work for the Frenchtown School District #40 in accordance with sections 39-71-120, 39-71-401, and 39-71-405, MCA. Proof of compliance must be in the form of workers' compensation insurance, an independent contractor exemption, or documentation of corporate officer status. This insurance/exemption must be valid for the entire agreement or contract period. A renewal document must be sent to the Frenchtown School District #40, P.O. Box 117, Frenchtown, MT 59834, upon expiration.
