PROFESSIONAL SERVICES AGREEMENT
This Agreement for Professional Services ( the “Agreement”) is made by and
between Lana Thomas (hereinafter the “Contractor”) the Sole Proprietor of Ambicorp
(the “Company”) a documentation service company for the sole purpose of but not
limited to Home Inventory and/or Home Business Inventory governed under the laws of
South Dakota and _________________________________ (hereinafter the “Client”)
with regard to property located at __________________________________________
____________________________________ and is effective on this ______ day of
__________________, 2008.
1. Term. The “Term” of this Agreement shall commence on date specified above
and terminate once Professional Services have been performed as outlined therein
the attached Schedule to this Agreement.
2. Schedule. Said Schedule (hereinafter the “Schedule”) outlines Professional
Services to be performed by Contractor and Fees (also referred to herein as
“Compensation”) to be paid by Client in accordance with the attached Schedule to
Agreement.
3. Professional Services. Said Contractor agrees to perform Professional Services
outlined therein the attached Schedule at Client’s property located at the address
stated above unless otherwise indicated in Schedule attached to this Agreement.
4. Fees for Professional Services Rendered. Client agrees to pay Contractor said
Fees as outlined under “Compensation” in accordance with Agreement for
Professional Services Rendered within attached Schedule under “Professional
Services” and “Compensation.”
5. Ownership. Contractor acknowledges and agrees herewith that all information
obtained while performing Professional Services as outlined within attached
Schedule are the property of the Client.
6. Confidential Information. Said Contractor acknowledges that information
furnished, received or otherwise having access to with regard to Client’s personal
property, assets, and finances are all deemed and considered strictly confidential
information (herein “Confidential Information”). Such Confidential Information
shall not be disclosed or distributed to any third party except as instructed or
requested by Client or as otherwise indicated and outlined herein this Agreement
and attached Schedule.
7. Submission of Inventory Documentation. Submission of Inventory
Documentation upon completion and delivery to Client is the sole responsibility
of said Client (also known as “Insured” or “Policy Holder”) as stated herein this
Agreement and attached Schedule. Contractor is not responsible at any time or
for any reason for the submission of Inventory Documentation to Client’s
insurance agent, insurance provider or insurance company.
8. Termination of Agreement and/or Contract. This Agreement and/or Contract may
be terminated by Contractor and/or Client in writing at any time and for any
reason. However, in the event of breach of this Agreement by Client with regard
to any Professional Services performed or rendered prior to the termination of
said Agreement and/or Contract, such Professional Services performed will be
deemed the sole responsibility of Client and will be paid in full in accordance
with the Fees as outlined under Compensation and Professional Services rendered
within the Agreement and attached Schedule herein.
9. Damages. In no event shall Contractor or Client be liable to each other for any
consequential, incidental, special or specific damages arising out of this
Agreement and Schedule therein attached, whether in contract or tort.

~ COMPENSATION ~
Client Agrees to Pay Contractor a Base Service Fee of $375.00 (the “Base Service Fee”
includes the first (3) three hours of Professional Services Rendered) at Commencement
(the “Commencement” shall be deemed the day of Execution of this Agreement and/or
the beginning of the Actual Professional Services being Rendered at said property listed
in Agreement or Schedule attached) of any “Professional Services” or “Professional
Service Package” offered above including, but not limited to Earth Package, World
Package, and Universe Package in accordance with the outlined “Professional Services”
documented and listed above on this Schedule for said Client. [Each Client’s home is
different in square footage and contents and therefore an On-Site Appraisal will be
conducted prior to any Agreement and/or Execution of Professional Services to be
rendered.] After the (3) three hours of Base Service Fee has been used in accordance
with Agreement and Schedule attached for said Client, thereinafter Client agrees to pay
Contractor an hourly fee at the rate of $_________ per hour for every additional hour of
Professional Services rendered. If less than an hour of Professional Services are
performed at any given time under this Agreement and Schedule therein attached, the
hourly rate will be assessed in increments of not less than an hour for every half-hour of
Professional Services performed in order to insure that both Client and Contractor are
treated on an accurate and fair basis.
