LICENSING AGREEMENT The Holiday Project, a California Non-Profit Public Benefit Corporation (hereafter Referred to as (“Licensor”), with its business mailing address at 104 Kingsland Road, Landing, New Jersey 07850, hereby grants a license for the non-exclusive use of the name “The Holiday Project” to (hereafter referred to as Licensee”), With a mailing address of under the following terms and conditions: 1. Licensee agrees to be financially responsible for all of its activities, and agrees that Licensor shall have no liability or responsibility for activities of Licensee, whether financial or otherwise. This License Agreement may be terminated in writing at any time by either party for any reason whatsoever. Licensee agrees to comply with any and all laws of the geographical area in which it operates. Licensee agrees that it will not represent that contributions made to it are tax deductible unless Licensee has qualified itself as a tax exempt organization under Internal Revenue Service Code Section 501 (c)(3) or other applicable Internal Revenue Service tax laws. This License Agreement shall be effective for one year as of January 1, 2004, and shall terminate on December 31, 2004 unless it is extended by application of Licensee which is Approved by Licensor. Licensee shall pay to Licensor an optional annual fee of $25.00. (First time locality or Volunteer Center does not pay a license fee, for renewals, fee is an optional donation) day of LICENSOR:
