TRADEMARK LICENSE AGREEMENT/ LICENSE AGREEMENT
This Trademark License Agreement is made and come effective on the date below between The Licensor Companies and The Licensee Company. Article 1- The subject of the agreement, in the name of The Licensor in Turkey with number of................. and have a registration of...................................mark only The Licensee can use. Article 2- The Trademark License Agreement’s period of circulation from date of the barnd’s entry made in register in .................. years. If any part do not inform before at least in ... months date of ending period of circulation ending of The Agreement with letter, the period of circulation will extent for ... years. The same method will apply in following end of times. Article 3- The licensee will pay .......... new Turkish liras to The Licensor in consideration of this agreement. This amount/rate will determine by the parties in a state of extention of the agreement. Article 4- The licensor will give all information about products, which will produce by the licensee with their prescriptions. And The Licensee will produce in acceptable of Turkey’s judgments. The licensee will protect quality and take measure for every product one by one before the production. Article 5- The licensee will use same brand, which has taken from products with license. If there is any necessity in brands, the brand with new design will use by The Licensee after the registration in the name of The Licensor. Article 6- The Licensor cannot give secondary license without The Licensee’s written permission to legal or real person in borders of Turkey. Article 7- If there will be any kind of dispute in this agreement, judges who will appoint from International Chamber Of Commerce will solve it. Article 8- The Licensee’s raw material prices, which will demand by Turkish Government’s foundations of Import Regime, will not high then secondary price.
Article 9- If the import stops and the payments delay for temporary period in Turkey, the agreement will not cancel by The Licensor. Because these reasons are not in wield control by The Licensee. Article 10- In usual conditions, if The Licensee takes the necessities for it’s raw material from another company despite of all warning that The Licensee must take the necessities from The Licensor, this agreement will cancel by The Licensor. Article 11- The products, which will produce, by The Licensee will send to staff of The Licensor’s Company for the check up. And The Licensee will make easier for work to the staff. Article 12- This agreement can not dependent on any other kind and condition.
