Intellectual Property License Agreement For property “Trick or Vote” This agreement is entered into on this _____ day of _________, 2008 by the Oregon Progress Forum DBA Bus Project Foundation (IRS Tax Identification Number 93-1314754), hereafter known as “Bus Project Foundation,” and _______________________________________ (IRS Tax Identification Number ______________________), hereafter known as LICENSEE. 1.1 Term of Agreement The stipulations outlined herein will take effect on this _____ day of _________, 2008 and expire on the 31st day of December 2008. If LICENSEE has interest in renewing their use of the “Trick or Vote” brand in future years, a separate contract must be re-instated. 1.2 Ownership Bus Project Foundation retains exclusive rights to the “Trick or Vote” name and brand. It is understood by the undersigned parties that the scope of the license is limited accordingly. 1.3 Agreement Details (a) (b) The event, brand and all associated materials, advertising and publicity must retain the title “Trick or Vote.” “Trick or Vote” may only be held, and all associated branding, advertising and materials may only be used, during such time as an election is held during the first fifteen days of November of that particular year. “Trick or Vote” name, branding, advertising and materials may only be used to describe, advertise for and execute a nonpartisan costumed door-to-door canvass on or near Halloween for one or more of the following purposes: encouraging the electorate to register to vote, encouraging eligible voters to vote, and providing information about the upcoming election. (c) (d) (e) “Trick or Vote” events shall include a socially-focused function following the door-to-door volunteer engagement activity. “Trick or Vote” advertising and publicity produced and distributed (both physically and electronically) by LICENSEE will include the graphic known as “Patriotic Pumpkin” in at least 75 percent of overall material. In printed and electronic publications, a standard text treatment of the words „Trick or Vote‟ will be used. Credit will be given to the “Bus Project” in all press releases, fliers, and other official printed or electronic promotional material. Official webposts associated with the event will include the words “Bus Project” and a weblink to http://www.busproject.org. Logos for national sponsors shall be included in promotional materials. In addition to the logo and text treatment mentioned above, the Bus Project Foundation may provide the following - Funding - Organizing handbook - Exclusivity for the LICENSEE‟s state, city, or county - Connections with musical acts - Access to -athon-style online pledge technology - Designed/printed materials (e.g. fliers, posters, stickers, t-shirts, door hangers) - Canvass training videos or presentations - Boilerplate press releases and media talking points - Promotion on a shared website - National media coordination - Online Trick-or-Vote trailer video (f) (g) (h) (i) If all agreements are met, Bus Project Foundation will provide the “Trick or Vote” license free of charge. These organizations enter into this agreement in good faith.
