ELP MEMBERSHIP AGREEMENT
Please return original to European Leadership Programme Limited office. Please consider this my formal application for membership of THE EUROPEAN LEADERSHIP PROGRAMME (“ELP”) provided by the European Leadership Programme Limited, which has been signed by me to signify my agreement to the following terms. 1. I agree and will use my best endeavours to attend full day meetings four times per year as scheduled with ELP which will commence at 0830hrs and will finish around 1800hrs. I agree to contribute my skills and knowledge to assist my fellow ELP Members. I also agree to keep all our discussions and conversations absolutely confidential and to abide by the ten principles set out in the attached Schedule - Charter of Commitment for Members of the ELP. I agree to pay the membership fee of £3,950 plus VAT for one year’s* membership within 14 days of receipt of the invoice or prior to the first meeting whichever is the sooner. Membership is deemed to commence on the day of invoice and will run in yearly increments from that date. I agree ELP may in its absolute discretion, cancel my membership and terminate this agreement by giving me 90 days notice in writing. In this instance a pro-rata reimbursement for annual membership fees will be provided by ELP. I understand that if ELP considers I have breached the principles set out in the attached Schedule - Charter of Commitment for Members of the ELP, ELP may cancel my membership and terminate this agreement by providing me with 30 days prior written notice. I understand that in this instance I will not be entitled to any reimbursement of my annual membership fees. I understand the role of ELP, its members, its chairs and employees is purely to provide a forum for discussion of contemporary issues and its intention to enhance the business experience of both the group and its individual members. I also understand and agree that ELP, its chairs, employees, resource speakers and ELP members offer their comments and suggestions about such concerns and problems only to stimulate analysis and discussion and not in such a way that they will specifically will be acted upon or relied upon by me. I am solely responsible to evaluate the value and correctness of any such comment or suggestion given. ELP, its chairs, employees, resource speakers and ELP Members each expressly disclaim any duty of care or liability to any person including, without limitation, myself arising out of reliance on anything said or represented by any of them. If I do take any action or decision following any discussion, comment or suggestion, I acknowledge that I am totally responsible for the outcome of my actions and decisions, and to the extent permitted by law I release each of ELP, its chairs, employees, resource speakers and other ELP Members from all liability and responsibility in any way for loss arising at any time as a result of any reliance on any representation or suggestion made to me or anything else that is said or occurs at a ELP function, including, without limitation, claims for negligence. The releases in this paragraph are ongoing and survive termination of this agreement. I agree that the information divulged by other ELP Members to me is their confidential information and may not be divulged by me to third parties including without limitation my employer or its employees. To the extent that I divulge any confidential information of my employer, I have my employers consent to do so. I acknowledge and consent to the recording of the meeting by way of notes taken which I agree may be circulated amongst the attendees of that meeting and other ELP members. I agree and consent to becoming a participating member of LeaderConnect, the ELP online community.

In the event that I cancel my attendance less than seven days in advance of a date I have previously agreed to attend, I accept that I shall forfeit that day from my Membership allocation. This agreement becomes operative when the signed original agreement has been returned to ELP and ELP has advised me in writing that my application has been successful. GENERAL 14.1 The obligations of confidentiality in this agreement are ongoing and survive its termination. 14.2 This agreement constitutes the entire agreement between the parties and supersedes and replaces any previous understandings or agreements between the parties in relation to the subject matter of this agreement, save that this clause is not intended to relive any party of liability for any fraudulent pre-contractual misrepresentations. 14.3 This agreement may only be varied in writing, under the signature of all the parties or their authorised representatives. 14.4 Each party shall bear its own costs of and incidental to this agreement and its subject matter. 14.5 No party that is not a party to this agreement is intended to benefit from these terms and, accordingly, the Contracts (Rights of Third Parties) Act 1999 is hereby excluded from operating in relation to this agreement to the fullest extent permissible at law. 14.6 This agreement shall be governed by the laws of England and Wales and the parties agree that the courts of England shall have exclusive jurisdiction over any and all disputes arising out of or in relation to this agreement.

*Membership is for one year which includes four sessions. If the member is unable to attend four sessions within his or her membership year, the
renewal date may be extended for up to six months or until four sessions have been attended – whichever is sooner.

ELP MEMBERS AGREE: 1. 2. 3. 4. 5. 6. 7. 8. 9. 10. To attend all meetings, so that every ELP Member receives maximum value and is able to make a contribution. To maintain absolute confidentiality. To arrive at all meetings promptly and remain through the whole duration of the meeting. To arrange not to be disturbed during ELP meetings, one on one meetings or other ELP activities unless there is a real emergency. To participate fully in the mentor/professional advisor (“the Resource Speaker”) session of the meeting, the executive session, the one on one meeting, and network activities. To be open and honest whilst participating in the ELP process, to enter into the spirit of the meetings and to respect the desire of the group to learn collectively. To be candid in their evaluations of Resource Speakers, and of their group chair, other ELP Members and themselves. To help maintain and grow the community by referring appropriate CEO’s for membership. To provide input to the future programme agenda. To give feedback on an ongoing basis to the ELP team. ELP AGREE: 1. 2. 3. 4. 5. 6. 7. 8. To build a programme that offers genuine and significant impact to the attendees. To maintain absolute confidentiality. To deliver high quality content at all meetings and to continue to add ongoing value, to provide sponsors pledged to discuss areas of generic interest and not deliver the corporate pitch. To arrange meeting and dining facilities conducive to good discussions. To provide ongoing account support to all ELP Members and facilitate interaction between peers, sponsors and other advisors. To provide additional support and innovation wherever possible. To be open and honest whilst leading the ELP process. To continue evolving ELP to an industry leading position and credibility. To provide formal feedback on an ongoing basis to the ELP Members in the form of written report on the conclusions and outcomes of each group session.
