The amount of dues for this membership category is described on a separate Schedule of Dues and Charges. Upon approval of this Agreement, the MLS Store will invest said monies into structural improvements relevant to members space agreement, marketing material and promotion for member, Membership is at the sole discretion of management and the MLS Store reserves the right to cancel member, for any reason, without cause and without notice. Membership is contingent upon approval by the MLS Store, which approval shall be at it’s discretion. The undersigned acknowledges that membership in MLS Store permits the Member to use the MLS Store marketing platform for advertising services in a manner consistent with agreement, rules and regulations and membership level. Membership in the MLS Store is not an investment in the Company referred to below, the MLS Store, it’s facilities, and does not provide the Member with an equity or ownership interest or any vested or prescriptive right or easement in or to use the Store or it’s facilities. A member only acquires a revocable license to use Store facilities in accordance with terms and conditions of Membership Plan and Rules and Regulations as the same may be amended from time to time at MLS Store management discretion, and this Membership Agreement. The Store reserves the right, in it’s sole discretion, to reserve membership, to issue, modify or terminate any or all categories of membership, to increase or decrease the number of memberships or to make any other changes in the terms and conditions of the membership of the Store facilities available for members use. In the event that the Store fails to execute a successful grand opening within 90 days of given date, the member will be entitled to full refund of initial deposit and MLS Store is released from all liability thereafter. Upon signing this Agreement, I authorize the disclosure and release of information requested by the Store for investigating my qualifications for membership, including without limitations my credit history. I hereby acknowledge that the use of the Store facilities any any privilege or service incident to membership is undertaken with knowledge of risk or possible injury. I hereby accept any and all risk of injury to myself, my guests and my clients sustained while using the Store facilities or while involved in any event or activity incident to membership in the Store. In accepting the risk of injury, i understand that I am relieving MLS Store, L.L. C, Colorado limited liability company {the Store, MLS Store}, and it’s directors, officers, partners, shareholders, employees, agents and affiliates of any and all loss, cost, claims, injury, damages or liability sustained or incurred by me, my guests, and clients resulting from or arising out of any conduct or event connected with membership in the Store and use of any Store facilities. I hereby acknowledge receipt of The MLS Store Membership Plan and Regulations and that I have read and understand them, and agree to be bound by terms and conditions thereof as the same may be amended from time to time by the Store. I further acknowledge that I am not relying on any oral representation in applying for membership in the Store.

name: company: address: email, phone, fax, other: Guaranty In Consideration for membership at MLS Store pursuant to this Agreement, the undersigned {alone or together, “Guarantor”} hereby guaranties jointly and severally, absolutely and unconditionally to MLS Store the prompt payment and performance of each and every obligation of Member under this Agreement and any renewals, extension, therefore and hereby covenant and agree that if default shall at any time be made by Member in the payment of rent, fees or other sums due, however designated, or in the performance of any other covenants of Member contained in said Agreement, the undersigned will pay to MLS Store, it’s successors or assigns, the sums due, however designated, and any arrears thereof, and all damages that may arise in consequence of any default by Member under said agreement. This guaranty shall be a continuing, and liability hereunder shall in no way be affected or diminished by reason of any extension or time that many be granted to Member or any of the undersigned guarantors or any other personal liable hereunder by MLS Store, nor by any surrender, settlement or compromise of any claim of MLS Store against Member of any of the undersigned guarantors or any other person liable hereunder. The Guarantor hereby agrees that this is a guaranty of payment and not of collection, MLS Store, at its option, may proceed in the first instance to enforce any obligation imposed by the Guaranty against the Guarantor without first proceeding against Member and without first resorting to any other security at any time held by or in the possession of MLS Store. Indemnity Member hereby agrees to defend, pay, indemnify, and save free and harmless The MLS Store, from and against any and all claims, demands, fines, suites, actions, proceedings, orders, decrees, and judgements of any kind or nature or by or in favor of anyone whomsoever and from and against any and all costs and expenses, including reasonable attorney fees, resulting from or in connection with loss of life, bodily or personal injury or property damage arising, directly or indirectly, out of or from or on account of any occurrence in, upon, at, the Store or occasioned wholly or in part through the use by Member of the Store or by an act of omission or negligence of Member or their respective employees, agents or contractors. In case any action or proceeding be brought against The MLS Store by reason of any obligation on Members part to be performed under the terms of this agreement, or arising from any acto of negligence of the Member, or if its agents or employees. Member upon notice from The MLS Store shall defend the same at Members expense by counsel determined by Store. The MLS Store shall be held harmless from any and all actions of members. The MLS makes no warrantee of any representation made by any member either in writing or verbal. Legal Proceedings In the event of any legal proceedings wherein The MLS Store, without being in default as to it’s covenants under the terms hereof, shall be made a party to any litigation by reason of members interest in the Store,, in the event The MLS Store shall be required to commence any legal proceedings relating to the Store and/or members occupancy thereof and /or members relation thereto, Store shall be allowed and member shall be liable for ad shall pay all costs and expenses reasonable incurred by the MLS Store as a result thereof, including reasonable attorney fees, settlement or adverse judgement.

Disclosures The MLS Store is NOT a real estate broker, bank, financial institution, mortgage broker, or other real estate services company. The MLS Store is a marketing platform for licensed real estate professionals and other service providers to advertise their goods or services. The MLS Store shall be held harmless from any member advice, representation, or action. Members shall not enter into any contracts for services or goods in the name of The MLS Store. All agreements for supplies, vendors, services, consulting, training, or other are to be paid directly to said vendors by member individually and NEVER in the name of Store. All members agree to use “as seen in The MLS Store” in ALL advertising. Insurance Responsibility of member. It is the Members responsibility to provide personal property and general liability insurance for any employee, guest, visitor, vendor, or other third parties associated with Member. Full compliance with RESPA and all other regulatory agencies. By signing below, I authorize The MLS Store to charge, or to initiate transfers from, the account designated above for the purpose of making the payments which I owe to The MLS Store each month until all of my obligations {other than the Balance Due and related fees, taxes and charges, if any} are paid under this agreement, or until the applicable membership is terminated or cancelled, whichever occurs first. I also understand that the charges and transfers authorized by my signature below are different from the transfers {if any} authorized by any other agreement with The MLS Store {including transfers in payment of Balance Due}, and that such charges and transfers are likely to occur on dates which are different than the dates designated above. Cancellation or revocation of this authorization, or stopping any payment hereunder, does not affect any other payments authorized on the date of this agreement or in the future.

I understand and acknowledge that the amounts debited to my account may vary each month between the amount shown in the application box above, and three times that amount, due to a change in monthly dues, past unpaid dues, applicable taxes, and other fees and charges. I understand that I have the right to receive notice in writing at least 10 days in advance of any ACH Debit {checking, savings, debit card, credit card} that will faill outside of this range. I confirm that I am authorized under the terms of this applicable agreement with my financial institution {the “bank agreement”} to use the account I have designated for the purchase of gods and services from The MLS Store. I certify that all statements made in this payment authorization are true and correct to the best of my knowledge. I understand that any failure by the applicable financial institution to pay any charge in full does not release me from any liability for obligations owing to The MLS Store.
