1. Introduction

HelpSaveLife is a non profit charitable organization registered in New
Jersey. This document describes the mission, organizational structure
and by-laws of HelpSaveLife. This is intended to be the source of first
hand information and a reference point on by-laws of HelpSaveLife.

2. Mission Statement
Lend a hand to mend a life.

2. 1 Mission

Our Mission is to extend charitable help to people who are in need
irrespective of race, religion or nationality.

Emphasis is given to cases where in there is a life threatening
situation, medical or otherwise where we can prevent a loss of life.

All effort is made to find genuine cases and reaching out on time, and
at the same time maximizing help to the beneficiary.

Request for help comes through members who make sure that the case is
genuine and submit to the group for help. Polls are setup for cases and
willing members can donate financial aid if they wish to those cases.

Members are encouraged to spread the word and collect money from their
friends and others who are willing to help.

There is no liability on part of any member of this group regarding the
money contributed or collected.

This is a friendly group and the success solely depends upon the
goodwill and trustworthiness of the members and having a kind and broad
heart to reach out to people who are suffering.

All   the   groups’   activities   are  driven   through  our   website
www.helpsavelife.org. Request for new cases as well as details of cases
we handled earlier can be seen at the website.

We encourage people to join this exciting group and try to make little
difference in the life of someone on this beautiful planet.

3. Organizational Structure

HelpSaveLife is a registered non-profit organization (corporation). The
organizational  structure   consists  of   the  following   bodies  and
officials.


3.1 Members

Anyone who is above 14 can be a member of this organization by
registering through www.helpsavelife.org. A person below 14 can also be
a member with guardian assistance.    All members are recommended to be
active members by contributing to at least one case in a year. Members
can contribute through check, Money Order, Pay pal or EFT to the
HelpSaveLife’s   bank   account.   Registration  and   cancellation  of
membership can be done through our website www.helpsavelife.org. See
section 4.1 for complete by-laws on membership.

3.2 Executive Committee

Executive Committee is consists of 10 active members of this
organization. 2005-07 executive committee members were selected based
on top ten active members who made the maximum number of contribution
in the past cases.    The executive committee for future years will be
elected by active members (See section 4.3.2).

3.3 Officials

The executive committee will elect the following officials to carry out
day-to-day activities of the organization.

3.3.1 President & Vice President

The President and Vice President of this organization are elected by
the executive committee based on the majority of vote. These positions
are valid only for 12 months after designation.

3.3.2 Secretary & Joint Secretary

The Secretary and Joint Secretary of this organization are elected by
the executive committee based on the majority of vote. These positions
are valid only for 12 months after designation.

3.3.3 Treasurer & Joint Treasurer

The Treasurer and Joint Treasurer of this organization are elected by
the executive committee based on the majority of vote. These positions
are valid only for 12 months after designation. Any money transaction
like deposit of money, withdrawal of money, money transfer across the
United States, shall be informed either to executive committee,
Secretary or President (email is recommended). The treasurers shall
take necessary steps to make every money transaction legal and
accountable. All money transaction must be done through Check, Money
Order, Pay pal or EFT

Treasurer.

3.3.4 Public Relation Coordinators

The executive committee based on the majority of vote elects two Public
relation coordinators. These positions are valid only for 12 months
after designation. The Public relation coordinators are responsible for
media   interactions,   advertising   drives.   The   public   relations
coordinators are expected to represent the organization to the outside
world expressing the true value and purpose of our organization.

3.3.5 Web Site Coordinators

Two Web Site Coordinators are elected by the executive committee based
on the majority of vote. These positions are valid only for 12 months
after designation. Web Site Coordinators are expected to come up with
new ideas on improvising our organization’s web site, which is the main
source of information about our organization.

4. By-laws

By-laws set forth a set of guidelines for day-to-day activities of
HelpSaveLife. The by-laws categorized into different sections are
described below.




4.1 By-laws for managing the memberships

HelpSaveLife is an organization that always welcomes new members. In
order to ensure that the set mission and goals are shared among the
members, the following guidelines are to be followed for admitting new
members.

The membership is open to public. Anyone who is interested to be part
of the organization and 14 years or older could join the group. The
prospect member can submit their request through email to helpsavelife-

The prospective member is required to be introduced to the group either
by an existing member or by self.

The president will review the application and make a decision on the
request. The president may seek the opinion of executive committee if
required and the member will be added.

An email will be sent to the group welcoming the new member.

Any existing member who wish to terminate the membership can do so by

A membership in the organization does not in any way make the member
obliged to contribute to any specific case or request. However,
member’s active participation is requested for meeting the set goals of
the organization.

From time to time, the executive committee will come up with ideas on
improving membership and participation within the organization.

Members   are  encouraged  to  spread   the  word   around  about  the
organization. This could be done by adding links to the personal
homepage, emails etc. Also printed promotion materials can be used for
this purpose.

Members are encouraged to invite their friends and colleagues to the
organization. While there is no obligation to contribute to any cases,
more members could eventually mean extending more help to save many
lives.

A quarterly update of activities will be sent to all members in the
form of a newsletter summarizing all activities for the quarter. This
is a good way to keep in touch with members who are not very active.

Members are advised to keep their current emails in the group list for
better communication.

To be considered as an active member of HelpSaveLife, a member is
required to contribute for at least 10 cases an year.

Only active members will be allowed to vote in decision-making polls.

The president can remove a member from the group after seeking the
advice of the executive committee if necessary.

4.2 By-laws on Handling Cases

This section describe a set of rules and guidelines on handling help
requests efficiently. The purpose is to make sure our help reaches the
very deserved beneficiaries on time and all of our members get equal
opportunity in bringing up help requests.

    1. We consider two types of help requests – help with medical
       treatment expenses and help with educational expenses for poor
       students.

    2. We consider help requests brought forward by our members (A
       member is required to contribute for at least 4 help requests
       before bringing up a help request) only. The member should know
       the beneficiary through friends or relatives so that the member
       can confirm the request is genuine.

    3.    The following documents are mandatory from the party in order
         for our organization to consider such a help request.

             A Letter from the party or referrer
             Complete address of the party
             Doctor’s certificate (for cases seeking help for treatment)
             Academic Documents showing the course details/ fee details
              (for cases seeking help in education)
             In case of educational cases, the party is required submit the
              necessary documents to prove the party’s financial difficulty
              in pursuing the given course of study.
             For educational cases, total fees per year should not exceed
              Rs. 50,000.


    4. Family members or relatives of HelpSaveLife executive committee
       members are not eligible to apply for financial assistance from
       HelpSaveLife.

    5. Once a member received the required documents, he/she should send
       an email to the group (helpsavelife@yahoogroups.com) introducing
       the case and send the documents to the secretary/joint secretary
       for uploading. If there are active/pending cases, the new case
       will be added to the pending cases list.

    6. An individual member can have only one case in pending cases list
       under his/her name. This way, when a member receives several help
       requests, he/she can do a filtering and bring up the neediest
       case to the group. At the same time, we always have option for
       emergency cases, as described in section 14 below. If a member
       comes across a really needy emergency case, he/she can bring that
       up to the group regardless of the number of cases pending in
       his/her name in the pending cases list.

    7. We take up to 3 cases per month for collection. The cases will be
       put for collection in the order the requests were received. At
       the beginning of the month, Secretary will open up 3 cases for
       collection and default contributions (members can specify a
       default contribution amount) will be automatically applied.
       Members can always login to our web site and change their amount
       of contribution.


    8. The secretary will send email notifications to the group upon
       opening of the cases for collection at the beginning of the
       month, collection reminders at the middle of the month and
       closing notifications at the end of the month when the collection
       for the cases are closed.

    9. If the total collection for a case is less than $600 and the
       amount requested is $600 or more, then the balance amount will be
       taken from HelpSaveLife’s general fund and the total collection
       will be made to $600.

    10.         Once the collection is closed, the Treasurer shall send
          money to recipient as DD and shall send an email to the group
          with the DD request information.

    11.         Once the money has been arranged to sent to the party, the
          secretary/joint secretary will move this case to the ‘Help
          Requests - Collection Closed’ list on our web site.


    12.         The regional coordinator or the member who brought up the
          case is responsible for getting acknowledgements /receipts from
          the party upon receiving the payment and send to Secretary for
          uploading to our web site.

    13.         A case is deemed closed upon the receipt / acknowledgement
          getting   uploaded   onto   the   site.  Once   the   receipt   /
          acknowledgement got uploaded to the site, the status of that case
          to be changed to ‘Closed’.

    14.         There is option for another stream of help requests where
          default contributions won’t be applied. If a member wants to
          organize an urgent collection for a help request, he/she can
          bring up the help request and ask Secretary to open it up as a
          special case. No default contributions will be applied for these
          requests. Member will be responsible for arranging collection for
          such cases. All document requirements are same as regular help
          requests. Collection for such help requests will be closed any
          time upon the request of the member and money will be immediately
          sent to the beneficiary.

4.2.1 Poll for voting
The cases will be put for polling in the order the cases were received
and in such a way that only one case is in collection process at a time
and maximum of only two cases considered in a month.

A poll for voting on a case should be created in such a way that it
will be closed automatically on 4th day of creation and the results
should be sent to the group.

The treasurer should send out few emails to the group on initial,
updated and final collection lists and make arrangements with the
member who brought up the case to send money to the party.

The member who is arranging to send money should send an email to the
group informing the total amount (in recipient currencies) sent to the
party and the methods by which they are planning to transfer money to
the recipient.

Once the money has been arranged to sent to the party, the
secretary/joint secretary/site coordinators should add this case to the
‘Executed Cases’ list and with the status ‘In Process’ and update the
corresponding case page and collection summary pages.

The member who brought up the case is responsible for getting
acknowledgements /receipts from the party upon receiving the payment
and send it for uploading.

A case is deemed closed upon the receipt / acknowledgement getting
uploaded onto the site. Once the receipt / acknowledgement got uploaded
to the site, the status of that case to be changed to ‘Closed’.

If a member has two consecutive cases in ‘In Process’ status (Except
for continuing cases such as cases for Education), he/she cannot bring
up a new case.

4.2.2 Procedures for supervising educational grants

The following procedures are followed to supervise and monitor                                 the
progress of the student receiving the grants in his/her studies.

         A responsible person is identified who has direct contact with
          the student and who will be able to provide update to
          HelpSaveLife about the progress of the student. He/She will
          locally monitor the dispersal of the funds and the progress of
          studies and provide updates to HelpSaveLife.

        Student has to submit grade sheets or mark sheets in every
         year/semester in order to get grant for subsequent year/semester
         of the course.

        Student has to submit a certificate from the Office of his/her
         educational institution along with the application for subsequent
         grants certifying that he/she is proceeding successfully to the
         next year/semester of the course.

4.2.3 Procedures       for   handling   requests   for   assistance           from      foreign
countries

a. The making of grants and contributions and otherwise, rendering
financial assistance for charitable purposes shall be within the
exclusive power of HelpSaveLife board of directors (aka Executive
Committee).

b. The board of directors shall have the power to make grants to any
organization  organized   and  operated   exclusively  for   charitable,
scientific or educational purposes within the meaning of section 501
(c) (3) of the Internal Revenue Code, as opposed to a specific foreign
organization(s).

c. The board of directors shall review all requests for funds from
other organizations, shall require that such requests specify the use
in which funds will be put, and if the board of directors approves the
request, shall authorize payment of such funds to the approved grantee
for those specified project(s) only.

d. In such cases that the grantee be in a foreign country, the board
must determine that it is organized and operated to meet all
requirements of section 170(c)(2) of the Code excepting the requirement
set forth in section 170 (c)(2)(A).

e. The foreign charity/recipient must agree to make periodic reports of
the funds it has received to ensure that they are being used for its
intended purposes. It must further agree that any donated funds not
spent must be returned to you.


4.3 By-laws on Organizational Structure and Officials

At the end of every year (As per the status of cases on November 1 st
every year), the list of active members (See section 4.1.12) for the
following year will be published.

Active members will elect an executive committee of 10 members. Any
active member is eligible to be considered as member of the executive
committee.

The executive committee will elect the officials (See section 3.3) from
among executive committee members who will be responsible for different
activities (Section 5) of the organization.

The executive committee will meet once in every two months to discuss
the activities of the organization. The president can call for an
executive committee meeting any time on a need basis.

The executive committee can introduce new by-laws or change existing
by-laws based on majority opinion of executive members.

Any change/addition      of    by-laws   should   be      communicated             to     all     the
members.

If more than five active members express disagreement with any decision
that executive committee takes, a poll should be created where all
active members can vote and the executive committee is bound to accept
the majority opinion of the members.

If any member of the executive committee has inconvenience being part
of the executive committee for a period of time, he/she can recommend
any active member of the group in his/her place. The new member assumes
the same positions and responsibilities the outgoing member. However,
the President, Secretary or Treasurer cannot use this privilege.

If an executive committee member resigns, the president can nominate a
new member to the executive committee by following the same procedure
how the executive committee was originally formed (See section 4.3.2).

If an official resigns, the executive committee will nominate a new
member and re-elect an executive committee member to occupy the
position of outgoing official.

President can remove an executive committee member based on majority
opinion of the executive committee.

The executive committee can remove any official from the occupied
position based on the majority opinion of the executive committee.

5. Compensation
      All members and executive committee members of HelpSaveLife Inc
are working as volunteers and will not compensate by HelpSaveLife Inc
for their services.

6. How to contribute.
Each case will be put for polling in the order the cases were received
and in such a way that only one case is in collection process at a time
interested member need to accept the poll and need to transfer money to
HelpSaveLife Inc account. A member has the privilege to accept or
reject the poll.

6.1 How to transfer money for contribute.

 7. Eligibility and Case selection criteria.
 Financially poor students and patients are eligible to get financial
 support form HelpSaveLife. Genuine case will be accepted if the
 requester could provide required document to prove the eligibility.
 Please see 4.2 By-laws on Handling Cases to see the documents needed to
 prove eligibility.


 8. Dissolution
 upon the dissolution of the organization, assets shall be distributed
 for one or more exempted purpose within the meaning of section
 501(c)(3) of the internal revenue code, or corresponding section of any
 future federal tax code, or shall be distributed to the federal
 government, or to a state or local government, for a public purpose.
 Any such assets not disposed of shall be disposed of by the court of
 common pleas of the county in which the principal office of the
 organization is then located, exclusively for such purpose or to such
 organization or organizations, as said court shall determine, which are
 organized and operated exclusively for such purpose.
