          International Bar Association
the global voice of the legal profession

                                          About the International Bar Association

In its role as a dual membership organisation, comprising 30,000 individual lawyers and over 195 Bar Associations and Law
Societies, the International Bar Association (IBA) influences the development of international law reform and shapes the future
of the legal profession. Its Member Organisations cover all continents, and almost all nations.

Grouped into two Divisions – the Legal Practice Division and the Public and Professional Interest Division – the Association covers
all practice areas and professional interests. It provides members with access to leading experts and up-to-date information as
well as top-level professional development and network-building opportunities through high quality publications and world-class
conferences. The IBA’s Bar Issues Commission provides its Member Organisations with substantive programmes and social activities in
and between meetings and the IBA’s Human Rights Institute works across the Association, helping to promote, protect and enforce
human rights under a just rule of law, and to preserve the independence of the judiciary and the legal profession worldwide.

                                           Investment Funds Committee Overview

Fuelled by the global move to defined contribution pensions with much-enhanced investor education and expectations of increased
service through cyberspace, a growing breed of lawyers is needed who are familiar with cross-border and globalisation issues.

The Investment Funds Committee provides a convenient forum for its members to consider current developments in the global
investment funds industry, including both regulatory and product development. It also produces an annual newsletter for its
members.

The Committee has also established the Private Investment Funds Subcommittee. The Subcommittee focuses on specialised
collective investment vehicles such as private equity, real estate, venture capital, mezzanine, hedge and commodity funds.

                         About the
                  American Bar Association
The American Bar Association (ABA) is the largest voluntary professional association in the world. It serves as the national voice of
the profession. It is a maker of models, a codifier, a searchlight, an experimenter, a moral force helping to make the justice system
work better for all Americans. During the past decade, the ABA has initiated hundreds of programmes addressing a wide range of
public concerns.

                                                    Section of Business Law

The mission of the Section of Business Law is to serve the public, the profession and the section by furthering the development and
improvement of business law. The section seeks to educate its members in business law and related professional responsibilities
and to help them serve their clients competently, efficiently and professionally. Within the Section of Business Law, there are over
70 substantive committees and several hundred subcommittees, task forces and working groups, which deal with emerging legal
issues and are the force behind many developments in business law. These committees produce CLE programmes (including National
Institutes, Satellite Seminars and Teleconferences), publications, report, model statutes and comments on pending legislation.

                                        Federal Regulation of Securities Committee

One of the most substantive committees in the section is the Federal Regulation of Securities Committee. This committee follows the
federal securities laws and underlying regulations, as well as the rules of the various self-regulatory organisations (the ‘SROs’), such
as the New York Stock Exchange. The committee monitors reported cases and arbitration decisions, comments on rules proposed
by the Securities and Exchange Commission and the SROs and reviews legislation affecting securities. The committee also publishes
guidance for those subject to the substantive provisions of the securities laws.

                                                            Publications

The two premier publications of the section are The Business Lawyer and Business Law Today. The Business Lawyer is the most
widely read legal periodical. It publishes reports and annual surveys on topics such as federal regulation of securities and the Uniform
Commercial Code. Business Law Today reports on fast-breaking developments and trends of vital interest to the business world. In
addition to those leading publications, the section also publishes a wide array of books on topical areas of the law.

                                                            Membership

Membership of the Section of Business Law is open not only to US lawyers, but also to non-US lawyers and non-lawyers. Call the
section office at +1 (312) 988 5588 for inquiries regarding membership, section benefits and services, committee appointments,
publications and meeting and registration information. Also visit the Section of Business Law online at www.abanet.org/buslaw
