					                              SECURITY AGREEMENT
                                 Personal Property

                        KNOW ALL MEN BY THESE PRESENTS,
       That BNS and DLS, husband and wife, hereinafter collectively referred to as debtor,
do hereby grant, bargain, sell, convey and give to WRM and BJM, husband and wife,
hereinafter referred to collectively as secured party, a security interest in and to the personal
property listed on Exhibit A, which is attached hereto, made apart hereof and incorporated
herein by reference, as security for payment of a certain promissory note signed by the debtor
on ________, 20__, in the principal sum of $_________, along with interest as provided
therein, and payable to secured party.
       The number of payments, the amount of each payment, the due date of first and all
payments are disclosed within the body of the said promissory note. The description of the
property to which a security interest is granted is shown on the attached Exhibit A, as
disclosed in the preceding paragraph.


                 DEBTOR REPRESENTS, AGREES AND WARRANTS:
       1. That secured party shall have the right to negotiate or assign the security interest
evidenced by this Agreement and the promissory note which it secures and understands that
secured party may do so without any notice to debtor. Debtor specifically agrees that if there is
any assignment or transfer of the Security Agreement or promissory note, the assignee or
