IBM Offering Guide IBM BladeCenter and Storage Solution Center Offering Letter of Intent (optional)
(NAME OF BUSINESS PARTNER) wishes to advise IBM of its intent to participate in the IBM PartnerWorld BladeCenter and Storage Solution Center offering in (NAME OF COUNTRY). Although (NAME of BUSINESS PARTNER) has identified, and IBM has inspected and approved, a site meeting the BladeCenter and Storage Solution Center hardware offering requirements, all required demonstration hardware as described in the Offering Guide for IBM BladeCenter and Storage Solution Center has not yet been acquired (NAME OF BUSINESS PARTNER) will submit orders for the required demonstration hardware within the next sixty (60) days. As provided for in the referenced Offering Guide, (NAME OF BUSINESS PARTNER) requests the ability to participate in the IBM BladeCenter and Storage Solution Center lease component of the offering though IBM Global Finance during the next sixty (60) days (NAME OF BUSINESS PARTNER) understands that the Letter of Intent can only be executed one time and will expire 60 days after the approval date from IBM. (NAME OF BUSINESS PARTNER) understands that after the Letter of Intent expires they will not be eligible to utilize the IBM BladeCenter and Storage Solution Center lease offering for future purchases of IBM products. In any event, nothing in this letter of intent shall serve to modify or waive (NAME OF BUSINESS PARTNER)’s obligations under the lease documentation associated with purchases made during (NAME OF BUSINESS PARTNER)’s participation in the IBM BladeCenter and Storage Solution Center lease offering. (NAME OF PARTNER) understands that IBM’s acceptance of this Letter of Intent and IBM’s approval for (NAME OF BUSINESS PARTNER) to participate in the IBM BladeCenter and Storage Solution Center lease component of the IBM BladeCenter and Storage Solution Center offering will be confirmed by IBM in writing, and conditioned upon an executed lease agreement by (NAME OF BUSINESS PARTNER) through IBM Global Finance. (NAME OF BUSINESS PARTNER) understands that participation in the IBM BladeCenter and Storage Solution Center lease offering is contingent on participation in the IBM BladeCenter and Storage Solution Center offering and if (NAME OF BUSINESS PARTNER)’S participation in the IBM BladeCenter and Storage Solution Center offering ends for any reason, or if (NAME OF BUSINESS PARTNER) withdraws from the offering before completing all required qualification criteria, the IBM BladeCenter and Storage Solution Center lease offering may be terminated and the lessor may demand return of the Items and Programs.
