							INDEPENDENT CONTRACTOR AGREEMENT

[Company Letterhead] Date: [DATE] Dear: [RECIPIENT] This letter agreement confirms that you have agreed to provide the following services to the above named Corporation (hereinafter the Corporation):

The following terms and conditions shall apply: 1. You will provide your services as an independent contractor, and you are neither (a) an employee of the Corporation nor (b) an agent of the Corporation entitled to represent it in any dealings with any third person. 2. As an independent contractor you are not (a) entitled to take part in any medical, insurance, retirement or other fringe benefit program offered by the Corporation to its employees, or (b) subject to or entitled to benefits or requirements set out in the Corporation's Personnel Handbook or in any employee rules or regulations promulgated by the Corporation. 3. You will supply all materials, personnel and supplies necessary for you to perform the above-listed service or services. 4. You will be responsible for paying and withholding all federal, state, local, and FICA withholding taxes on any compensation you may pay to individuals you may hire to assist you in performing your obligations under this letter agreement. Similarly, you shall be responsible for paying all federal, state, local, and FICA withholding and income taxes that shall become due from you based on payments made by the Corporation to you under this Agreement. You further agree to indemnify the Corporation from any claim or assessment made against it by any (a) federal, state or local taxing agency based on payments made by the Corporation to you under this Agreement, or (b) any employee or independent contractor serving you for unpaid wages or other compensation. 5. This Agreement is not to be changed, modified or terminated except in written form signed by the parties hereto.
