            Sam is a Tax Partner in the Tax and Business Advisory Services group in Beijing. Prior to joining the Firm,
            he worked in another big 4 accounting firm for a few years. Before that, he worked in tax bureau for more
            than 8 years. He has been very active in the tax field over the past 15 years as a preferred tax and business
            advisor to a variety of clients. Being have extensive knowledge of turnover tax, income tax, tax implica-
            tions on merge and acquisition, double tax treaty and custom regulations, Sam had provided profes-
            sional services such as tax planning, tax advisory, foreign exchange advice and transfer pricing services to
            various multinational companies and Chinese domestic companies.
            Sam has established excellent working relationships with various Chinese authorities and been working
            closely with the government authorities to resolve regulatory and operational issues for clients. As a
            recognized tax practitioner, his clients are including various manufacture companies, real estate compa-
            nies, financial institutions and information technology companies.

            Rocky Lee is Head of Venture Capital & Private Equity - Asia at DLA Piper. As DLA Piper's top venture and
            private equity lawyer in Asia, he leads the market with numerous awards and accolades.
            Rocky represents many start-ups, venture backed companies and emerging growth companies in the
            technology sectors as well and traditional businesses sectors. He regularly advises founders, CEOs and
            company boards on business and legal issues. He was also recently elected to the Board of Governors for
            China Entrepreneurs and is a top-rated advisor to Chinese CEOs in financing and capital markets matters.
            His active involvement in the China venture and private equity community has led to numerous acco-
            lades and recognitions, including his appointment to the international investment division of China's
            Ministry of Foreign Commerce (aka MOFCOM) as the exclusive international lawyer commenting on draft
            Chinese rules and regulations in connection with venture capital, private equity, fund formation and
            cross-border mergers and acquisitions. Most recently he was promoted as Deputy Chairman of the China
            Council for International Investment Promotion (aka CCIIP).
            Rocky is an established China venture industry speaker and has published numerous articles on China
            legal and business issues.
            Rocky graduated from the University of California Berkeley with High Honors and Academic Distinction.
            He received his law degree, specializing in Business Law from the University of California Los Angeles. He
            is fluent in English and Mandarin.

            After completing his MA in Oriental Studies at Cambridge University with a paper entitled China's Oil &
            Gas Development Strategy, Tom Kirkwood began his career at the emerging Markets Group of Wall Street
            investment bank, Wasserstein, Perella & Co. In 1993 he moved to China where he established several
            family businesses. He is resident in Beijing and speaks and writes fluent Mandarin Chinese. He has made
            oil & gas, real estate, and high tech investments in China and advises KW & Co. Asian energy matters.
