Advisory Board

ABC Corp. Advisory Board Charter The Company's Advisory Board is comprised of industry executives who provide on going guidance to the Company. Occasionally, the Company will host formal Advisory Board meetings in order to review the Company's plans accomplishments and to address the issues that challenge in the development of the Company. Primarily, the Company's executives would seek the counsel of our advisors on specific matters. Advisory Board members may be asked to participate in an occasional Board of Director's meeting. Purpose • To provide the Company with business, market and product advice as well as introductions that would assist in developing our business • To provide counsel and feedback to the management team • To meet formally once or twice per year to review the Company's strategy, options and opportunities • To be available to attend occasional meetings of the Board of Directors • To meet and/or provide telephone support for the executive team members on specific issues To review Company and industry related materials and provide feedback and intelligence services • To help further the Company's success through networking with industry executives • On occasion and perhaps with compensation undertake special projects to assist the Company in furthering its objectives Duties and Responsibilities • The Advisory Board member will attend occasional formal meetings, review materials and provide reasonable counsel to the executives of the Company on an as needed basis. The Company does not expect that the total time commitment will exceed 4 days per year or approximately 32 hours. On occasion, an Advisory Board member may be asked to assist on special projects; for these services additional consideration will be given Compensation • Subject to requisite Board of Director approvals, the Company will grant to the Advisory Board members a stock option to purchase shares of the Company's Common Stock under the 2007 Stock Plan. • For meetings and consulting services, the Company will reimburse all business expenses incurred on behalf of the Company. • The Company will reimburse Advisory Board members for reasonable out of pocket expenses incurred on behalf of the Company.
