					                MAGSAYSAY MINISTERIAL FELLOWSHIP
                      Constitution and by Laws
We, the members of the Magsaysay Ministerial Fellowship composed of ministers,
pastors and authorized representatives of the different evangelical churches in the
Municipality of Magsaysay, Province of Davao del Sur, Philippines, hereby bind
ourselves for a common aspirations, to attain with the aid of Almighty God, a united,
strong, God-loving and Christ centered fellowship, with the end-in-view of spreading the
Christian gospel among the people of the said municipality, do ordain and promulgate
this Constitution and By-laws.

                                      ARTICLE 1
                                       NAME

Section 1. The name of this association shall be MAGSAYSAY MINISTERIAL
FELLOWSHIP herein called the MMF

                                     ARTICLE II
                                  BASIC PRINCIPLES

Section 1. In the attainment of its basic objectives and programs ,MMF and its officers
and members shall be committed to the following basic principles constituting MMF
philosophies:

    a. THEISM – Faith in:
       a.1 God/Supreme Being
       a.2 The Trinity of God: and
       a.3 Jesus Christ, the Savior, the Baptizer of the Holy Spirit, the Healer, and the
       Coming King.
   b. CHRSTIAN BROTHERHOOD- spirit of Christian belief, techings and manner of
       worship.
    c. ECUMENICAL – respect of one’s Christian belief, teachings and manner of
       worship.
    d. UNITY IN ONE BODY – every evangelical church irrespective of its name or
       title, is acknowledge to be a part of God’s kingdom and united into one body of
       Christ
    e. POLITICAL NEUTRALITY- the MMF is a rel;igoius fellowship, therefore. If
       shall maintain a status of political impartiality and in no case shall maintain a
       status of political impartiality and in no case shall participate in any political
       contest.

                                     ARTICLE II
                                  BASIC OBJECTIVES

Section 1. The MMF shall ensure the establishment and maintenance of a united, strong,
God-loving and Christ- centered fellowship characterized by:
       a. PRAYERFUL LIFE – where every MMF officers and members may fully
           develop a way of life where prayers, with the presence of fellow MMF
           members, are regularly conducted;
       b. SOLIDARITY – where every MMF officers and members may fully develop a
           way of life where prayers, with the presence of fellow MMF members, are
           regularly conducted;
       b. COURTESY – where every MMF officers and members shall ensure that the
           respective policies, programs, manner of worship and teachings of every
           member-church shall be respected and shall ensure further that the practice of
           proselyting shall have no place in the fellowship; and
       c. SELF-RELIANCE AND SUFFICIENCY – where every member – church ,
           and MMF officers and members shall be motivated and maybe assisted to be
           industrious, productive, creative, health conscious and commiteed to the
           conservation of God-given resiources and to the protection of the quality of
           the environment.

                                          ARTICLE IV
                                         MEMBERSHIP

       Section 1. The member- church is the basic unit of the association.
       Section 2. Any evangelical church is qualified to apply as member-church in the
                  MMF, provided, it has the following qualifications:

                      a.   It has art least five (5) members,
                      b.   It has at least five (5) officers including the pastor;
                      c.   It has identified worship center or church building; lastly
                      d.   Its objectives, principles, programs, teachings and doctrines are
                           not contrary to, or inconsistent with, MMF principles,
                           objectives, programs, teachings and doctrines.

       Section 3. The procedures relative to the membership accreditations, admissions
       and expulsions shall be determined by the MMF council.

                                     ARTICLE V
                      RIGHTS & DUTIES OF FELLOWSHIP MEMBERS

       Section 1. Each member- church is entitled to three (3) representatives who will
       compose the MMF Council, provided however, that no person could become
       member of the MMF Council if he is not duly authorized by the member-church
       where he belongs.
       Section 2. Each member-church upon determination and approval of the majority
       of all members of the fellowship council, may have the right to use or utilize any
       properties or may avail any financial assistance from the association

       Section 3. Any member of the MMF Council, as determined in Section 1, Article
       V hereof, shall have the following rights:
              a. To attend the fellowship council meetings;
              b. To vote and to be voted to any position except for chairperson and
                  vice-chairperson who should be a senior pastors;
              c. To have the full information about the activities, programs, projects
                  and the financial status of the association; and
              d. To participate in the discussions, deliberations and any decision-
                  making process during the regular and special fellowship council
                  meetings.


       Section 4. Any good standing individual member of the member-church who is
       not a member of the fellowship council shall have the following rights;

               a. To participate in the activities of the MMF;
               b. To be appointed as officer or member of any working committees of
                  the association subject to the concurrence of the majority of all
                  members of the MMF Council and
               c. To have full information about the activities of the association through
                  the member-church, and
               d. To other rights maybe defined by the MMF Council.


Section 5. It shall be the duty of the following:

               a. To fully participate in the association/fellowship activities;
                                1. To fully participate in the association/ fellowship
                                   activities
                                2. To keep its members educated and informed about the
                                   principles , objectives, programs and activities of the
                                   associations;
                                3. To abide and comply with dully promulgated and
                                   rightful decisions and rules; and

                              4. To pay all fees, dues or contributions prescribed by
                                  the MMF Council.
              b. For the authorized representative
                              1. To conduct himself at all times in accordance with the
                                  principles, objectives, and programs of the
                                  associations;
                              2. To keep himself educated and informed about the
                                  principles, objectives, and programs of the
                                  association;
                              3. To fully participate in all association activities
                              4. To help other association/fellowship members and
                                  the immediate families who maybe in need; and
                              5. To be loyal to the association and to comply with
                                  duly promulgated and rightful decisions and rules.


                                      ARTICLE VI
                                      DISCIPLINE

        Section 1. A member-church may be expelled ny majority vote of all members of
the fellowship council on any following grounds;

                      a. Failure to support the programs, projects and activities of the
                      association and habitual absence of all of its representatives to the
                      fellowship council meetings; and
                      b. Other acts inimical to the association.

       Section 2. Any member-church or any authorized representatives of the member-
       church to the fellowship council maybe expelled by majority vote of all members
       of the fellowship council on any of the following grounds.

                      a. Misrepresentation of his/her qualifications;
                      b. Refusal to pay dues; and
                      c. Other acts inimical to the association/ fellowship

       Section 3. The fellowship council shall set guidelines relative to the specifics of
       the grounds in section 1 and 2, Article VI, hereof.

       Section 4. Every decision may be appealed within thirty (30) days upon receipt of
       written notice from the fellowship council, whose decision shall be final.

       Section 5. The procedural rules relative to the imposition of and relief from
       association discipline shall be promulgated by the fellowship council, subject to
       modification by said council when necessary.

                                 ARTICLE VII
                         GENERAL PROVISIONS OF THE
                        MMF STRUCTURE OF GOVERNMENT

       Section 1. The structure of Government of the MMF shall consist of the
       followings;

               a. The member-church; and
               b. The MMF Council

       Section 2. The member-church shall be composed of all bonafide or regular
       church- members. I shall be accredited in accordance with the qualifications set in
       Section 2, Article IV hereof.

       Section 3. The MMF council is composed of pastors and authorized
       representatives of the member-churches.

                                        ARTICLE VIII
                                    THE MEMBER-CHURCH


     Section 1.      The –church shall be the basic unit of the association. Every
member of the association shell belong to a member-church

        Section 2. All information, discussions and decisions and relative to the activities
of the association shall be done regularly at the time and date set by the member-church.
Minutes of which may be submitted to the fellowship council.

                                     ARTICLE IX
                                  THE MMF COUNCIL

       Section 1. There shall be an MMF Council which shall serve as the highest
       policy- making, administrative and implementing body of the association.

       Section 2. The fellowship Council shall have the power to:
              a. pass upon any program, project or activity of the association.
              b. Choose from among themselves the association officials;
              c. Declare vacancy on any positions of the associations offices and fill up
                  the same through a special election called for that purpose, serving
                  only the unexpired term;
              d. Reverse, alter, modify, or repeal any resolutions, decisions, or accords
                  approved by the chairperson of the association not in accordance with
                  the policy formulated by the fellowship council; and
              e. It shall administer the affairs and implement the programs of the
                  association.

Section 3. The MMF Council shall be composed of ministers or pastors and
           authorized representatives of the member-churches, provided however,
           that every member-church shall be entitled to one (1) pastor or
           minister and two (2) authorized representatives to the fellowship
           council.

Section 4. The fellowship council shall meet every month. It shall determine the
           date, time and place of such meeting. Written notice shall be served
            upon each member-church at least ten (10) days before the date of the
            meeting, however, any defect in giving notice shall not invalidate the
            proceedings of a quorum exists.

                                  ARTICLE X
                              THE MMF OFFICERS

Section 1. The fellowship council shall elect from among themselves the
following association officers who shall serve a term of one (1) year who shall
oversee the regular operations of the association.

a.   chairperson
b.   vice-chairperson
c.   secretary
d.   treasurer
e.   auditor
f.   public information officer (PIO)
g.   committees chairpersons

Section 2. No member of the fellowship council shall be elected chairperson and
vice-chairperson of the association, unless, he or she a pastor of the member-
church.

Section 3. The association officers shall be elected by the majority of all members
of the MMF fellowship council called for that purpose.

Section 4. The duties and functions of the MMF officers shall be as follows:

        a. CHAIRPERSON
                  The chairperson shall be the chief administrator in the
                  administration of the association/fellowship, subject to the
                  policies laid down by the fellowship council. He/She shall
                  preside over the meetings of the fellowship council, direct
                  and supervise the affairs of the working committees of the
                  association, sign documents for the association, represent
                  the association in ceremonies and functions, prepare and
                  circulate reports to any fellowship gatherings. He/She shall

              also perform such duties maybe assigned to him by the
              MMF Fellowship Council.

b. VICE – CHAIRPERSON

              The Vice-Chairperson shall assist the Chairperson in the
              administration of the affairs of the association. In case of
              incapacity, resignation, or death of the Chairperson shall
              assume the office of the Chairperson only for the unexpired
              term. The Vice Chairperson shall also perform other duties
              that maybe assigned to him by the chairperson and the
              fellowship council.

c. SECRETARY
    The Secretary shall keep the records of the membership of the
association, keep the records of the fellowship council, the working
committees, cause the recording of minutes of meetings of the ICF
Council and keep the record of minutes of meetings of the working
committees. He/she shall be assisted by the secretariat, whose composition
shall be determined by the fellowship council.

d. TREASURER
     The MMF treasurer shall safeguard the funds of the association
     and shall disburse the same according to the rules or guidelines set
     by the fellowship council. He/she shall keep the financial records
     including all records of properties of the association.

e. AUDITOR
     The MMF auditor shall be responsible in the regular conduct of
     auditing of the collections and disbursement of funds by the MMF
     treasurer and shall conduct the regular inventory of the properties
     of the association. He/ she shall submit his/her auditing and
     inventory reports to the fellowship council regularly.


f. PIO
      The public information officer shall serve as spokeperson of the
      MMF. He shall be responsible in the preparation and circulations
      of information to the public relative to the programs, projects,
      activities and operations of the association.

g. COMMITTEE CHAIRPERSON

       There shall be working committees of the MMF to be created by
       the fellowship council whose respective committee chairpersons
       shall be chosen by the MMF chairperson from the mebers of the

               fellowship council. The functions, terms of office shall be set by
               the fellowship council.


                     ARTICLE XI
     AMENDMENTS TO THE CONSTITUTION AND BY-LAWS


Section 1. Amendments to the constitution and by-laws may be proposed by the
fellowship council who may pass amendment by majority vote of all its
membership.

Section 2. Amendments to the constitution and by-laws shall be effective
immediately upon approval unless, a specific affectivity date had been fixed such
amendment.

                               ARTICLE XII
                          TRANSITORY PROVISIONS

Section 1. The ratification of this constitution and by-laws shall be done by the
Interim Fellowship Coumcil called for this purpose.

Section 2. Upon ratification of this constitution and by-laws, all resolutions
policies and programs inconsistent with this constitution and by-laws shall be
deemed repealed.
