world. We export CTC & Orthodox tea from hundreds of tea gardens in India (Assam,
Darjeeling & Nilgiri), Sri Lanka & China. We aim to strike the right balance between

sourcing the right kind of tea year after year.

YOUR ROLE :
As we have said before we treat our agents as our partners. You will have to approach tea
importers & buyers and get us orders from them. We will help you with samples,
brochures and all details you have to know. Just Read On.


YOUR REWARD
You’ll be entitled to 3% of the FOB value as a commission. This might seem small but it
is not considering that tea business is always done in volumes. Usually, tea is exported in
containers. The average value of each container is is US$35,000. Now, 3% of that is
US$1,050. Suppose you can get us 10 importers who agree to buy 1 container each
month, then you’ll be able to earn US$10,500 every month. Moreover, you’ll have to
work only on the first deal. After the contract is made, you’ll receive your money every
month continuously without any effort.




YOUR INVESTMENT

Well, the best part is that you don’t have to pay us anything to be our agent. We can have
a formal agreement between us. That’s all. Your only investment will be contacting
importers & buyers. So, your investment will depend upon which medium you choose to
use and how may buyers you contact. As you already know e-mail is the most cost-
effective solution. However, most buyers expect you to call them on phone at least once
or go to their office to establish trust.
SAMPLING CHARGE
We will provide Agents with FREE tea samples. However, until the first order, the agents
will have to bear the Courier Charges. One brochure will be sent free. However extra
brochures have additional charges.


A set of 3 brochures = $10+Courier Charges (More than 3 brochures can be bought in
groups of 3 at the same rate in the same package. This way courier charges will be
better distributed)


TEA SHIPMENT
Tea is exporter in containers. Container can be 20ft or 40ft. 20ft & 40ft containers usually
contain 10,000 and 20,000 kgs of tea respectively. A full container is also called
FCL(Full Container Load). Containers can also be filled up partially. Assam tea is
exported from Haldia or Kolakata Port while Nilgiri teas are exported from Cochin or
Koimbatore Port in India.


Tea is available in abundance in India. However, tea is mainly produced from April to
November. After that tea is stored in warehouses. So, some the teas may not be available
from January-March. The best & freshest tea is found from April to July.




WHAT YOU HAVE TO DO:

STEP 1: At first the agent should try to learn about the market conditions for tea
prevailing in his area. He shoulf find out which teas are most consumed, at what price
rate and who are the major importers in his area. He should also go the supermarket and
try to study the price structure of packaged tea.


STEP 2: The first step to get an order is to Contact an importer & get details of his
requirements. You can also show them the standard price-lists, but warn them that these
are the prices of only some of our tea. We export several other kinds. We should have the
following data.


   1. Type(CTC/Orthodox - Black/Green):
   2. Grades:
   3. Price Range(most important):
   4. Quantity:
   5. Destination Port:
   6. Packaging:
   7. Payment Terms:


Let us know the above data and we might be able to provide you some helpful advice.


The above topics are discussed in details later. Apart from the above, try to get some
inside information like what does the importer do with tea, from whom has he exported
below, etc.


STEP 3: Simply telling us the grades won’t do as in India the classification of tea grades
are not standardized all over the world. We can’t have a perfect idea of the tea without
seeing the samples. You should then ask the importer to give you a sample of the
kind of tea he wants. We need at least 50gm of the tea to evaluate it. Mail that sample to
us. We’ll analyze it and send you matching tea samples back to you

STEP 4: If the tea importer likes the sent tea samples & its prices, he will place an
order. Bingo – You’ve got an order! Direct them to us now. Ask them to give us a
formal written order along with L/C or the chosen mode of payment.




WHAT YOU HAVE TO KNOW:
Were you confused by the words in the requirements in STEP 1? Well, here’s an
explanation of those Tea Terms.


1. TYPE


There are various kinds of tea. Eg. A tea can be Assam CTC Black Tea


A CTC / Orthodox
CTC & Orthodox tea are two methods of tea production. Orthodox teas are more leaf-
like while CTC tea is like grains. Orthodox tea are more expensive then CTC.


B Assam / Darjeeling / Nilgiri
Darjeeling makes world famous Orthodox teas. Darjeeling tea is very expensive and they
are less in production. Assam makes both CTC and Orthodox, although CTC tea is more
in production. Nilgiri also produces both CTC & Orthodox. The Nilgiri teas are very
low-priced. However, there quality is much less than in Assam tea.


C Black / Green
Black teas are fully fermented while Green teas are partially fermented. Black tea has a
stronger color & aroma. While green tea liquor is pale. Black tea is most common.


2. Grades
Both CTC & Orthodox teas are further sub-divided into several grades. Grades are used
to indicate the size & structure of the tea. Unfortunately, the grades are not
standardized all over the world. So, it is always best to get a sample. We can see the
size ourselves & match them. So, what your client means by BOP may not match with
my idea. Examples of grades in CTC are BP,BOP,PF,PD,OF, etc. Some Orthodox grades
are FBOP, GBOP, TGFOP, STGFOP, etc

3. Price Range
This is very important. Some importers might hesitate to give this detail. If we know the
price range, then we will be able to know more about the required quality. So, we
will be able to offer more suitable teas & the chance of getting an order will be much
higher. You can also show them the standard price-lists in the file teainfo.doc, but warn
them that these are the prices of only some of our tea. We should have the following data.




Prices can be FOB or CIF. FOB(Free on Board) prices contain only the price of tea &
the container excluding the shipping freight charges. CIF(Cost Insurance & Freight)
contains the price of tea including shipping freight to the destination port & Insurance.
CIF= FOB + Freight + Insurance.


4. QUANTITY
Buyers can either give this information in terms of number of containers(FCL) or
quantity(quality). A 20ft & 40ft container usually contains 10,000 and 20,000 kgs
respectively. However this might vary based on grades. 3X20FCL means three 20ft
containers and 5X40FCL means five 40ft containers. If someone asks for quantity less
then 10,000 kgs then it will mean the tea will be sent along with other items in one
container.


5. Destination Port:
We of course need to know the destination port & country where the tea will be shipped.
This is also required for estimating CIF prices.




6. Packaging:
Bulk tea can be packed in paper sacs / jute bags of around 40kgs each. Ask them about
the preferred packing format. Other than Bulk tea, we can also provide tea bags & poly
pouch packing of 100gm / 250 gm / 500 gm / 1kg. But we’ll need more details like the
materials & designs to be used in case of these packing.

7. Payment
It’s always better to clear the payment terms. Tell your buyer about the following
payment terms. The most preferred way is through L/C. Show your buyer the Letter of
Credit Details. In case your buyer doesn’t agree to any terms, contact us for more details.

   Which kind of tea do you deal in?
    We deal in CTC and Orthodox teas of all grades, quality and prices. We export
    teas from Assam, Darjeeling and Nilgiri.

   How do I submit my requirements ?
    You        can        submit            your     requirements        online          at
    www.majumdartea.com/requirements.htm . However, to do so you have to be a
    Registered   Importer.     OR     You       may also   e-mail   us   all   details   at
    sales@majumdartea.com but the former method is preferred.


   How do I become a Registered Importer ?
    To become a Registered Importer, you must fill up the Registration form at
    www.majumdartea.com/register.htm. You can also register by faxing the
    Registration Form sent with the samples.


   What do you do after getting the requirements ?
    After getting the requirements, we will forward it to several tea gardens, brokers
    and buyers. We will re-check the samples sent by them and send you only those
    samples that exactly match your requirements.


   How do I order tea?
    You can order tea online at www.majumdartea.com/order.htm OR You can fax us
    the Order Form sent along with the samples. After receiving your order, we will
    confirm it within a week and send you a Performa Invoice.


   What are your payment terms ?
    We accept only confirmed, irrevocable Letter of Credit 100% at sight. Read the
    Payment terms.


   What is the minimum order you take ?
    We don’t accept orders below 1 FCL.


   How is MAJUMDAR different from others ?

Why should a Tea agent represent only one exporter?
Tea market is a perfect competition market, i.e., the products of all exporters are
almost same. The difference comes in marketing (here agents come into picture).

There is a need for close connection & respect between Agents & exporters. Agents
should be truly proud of their exporters. Without honesty in heart, he will not be
able to perform his duties properly. It does not make sense to represent more than

one exporter as all of them will offer same products. As a result, Agents won’t be
able to properly promote any of the exporters. He will not be convinced of any of his
exporters and this will finally lead to a situation where he’ll try to keep all exporters
happy. This will be the cause of several problems. The relationships will be very
hard to maintain this way.

Therefore, we discourage importers from representing more than one Indian Tea
Export Firm.

 An agent can however maintain different sources for tea based
                on Indian/ Ceylon/ Kenyan tea.

Why should an agent represent only MAJUMDAR TEA CO. ?
Many Agents ask us why should they represent only us? Well here’s a few reasons.
Basically, we don’t believe in limiting our Agents with geographical
boundaries/countries. However, this leads to a situation where we cannot appoint an
exclusive agent for a particular country This might seem one-sided, but it is a trade-

This agreement is made and entered into by and between the parties concerned on February 1,
2004 on the basis of equality and mutual benefit to develop business on terms and conditions
mutually agreed upon as follow:




Article 2. Appointment
Party A hereby appoints Party B its Agent / Representative to solicit orders for the products
stipulated in Article 3 from customers / importers / buyers. Party B accepts and assumes such
appointment.


Article 3. Product
All types of tea in all forms of packing.


Article 4. Quality and Standard
Party A is liable to fulfil all aspects regarding quality and quantity of the products in time to time
according to various specifications from the second party and the importer.


Article 5. Expenses
Party B has to bear all expenses of communication to the importers himself.


Article 6. Payment
Part B will receive payment within 10 days after the importer clears his payment. If due to any
reason whatsoever, the importer fails to clear all his payments, the Party B will not be entitled to
his commission.
Article 7. Commission
a) Party A will grant Party B a commission of 3% on the F.O.B. price for interacting and
coordinating all marketing activities.


b) If Party B introduces another Agent to Party A, then Party B will be entitled to 1% of all the
orders of that Agent for 3 years. However, Party B will not get any commisson from orders
procured by Agents furthur introduced by the Sub-Agent.

c) If Party A introduces Party B to a particular importer for negotiating a deal, then Party B will get
only 1.5% of the F.O.B. value.


d) In case, the mode of payment is Unconditional, Irrevocable, and Confirmed Letter of Credit at
100% Sight, Party B will get 3.5% commission.


e) In case of tea bags, Party B will get $250 per 20ft Container and $600 per 40ft Container


Article 8. Order Placement
The orders have to be directly placed by the importer in favour of Party A.
Party B can place order directly to Party A irrespective of customer and in such case no
commission will be paid.


Article 9. Payment
Part B will receive payment within 10 days after the importer clears his payment. If due to any
reason whatsoever, the importer fails to clear all his payments, the Party B will not be entitled to
his commission.
Article 10. Information
Party B has to provide Party A with detailed information about the importers so that Party A can
confirm the orders. Party B should disclose names, addresses, email address, telephone and
telefax or telex numbers or any other information required by Party A.


Article 11. Exclusive Right
Party B shall not, place order of any products competitive with or similar to the above commodity
and it should not act as agent / representative of any company dealing with a similar product.


Party A shall not conduct any business with the importers / buyers introduced by Party B without
informing Party B. However Party A can contact the importers, if required, for any clarification or
enquiry regarding orders placed.
Article 12. Promotion Support

Party A will provide to Party B - Offers, relevant samples and all other advertisement aids
and literature to support sales.

Article 13. Market Report
Party A will keep Party B informed about the production, quality and availability of the products.


In order to keep Party A well informed of the prevailing market conditions, Party B should
undertake to supply Party A, at least once a quarter or at any time when necessary, with market
reports concerning changes of the local regulations in connection with the import and sales of
the commodity covered by this agreement, local market tendency and the buyer's comments on
quality, packing, price, etc. of the goods supplied by Party A under this agreement.

Article 14. Validity of Agreement
This agreement will be valid until terminated by the two PARTIES. It will be renewed
automatically unless, otherwise notified in writing 2 (Two) months prior cancellation.
Any addendums or Amendments to this Agreement should be signed by both Parties.


Article 15. Termination
During the validity of this agreement, if either of the two parties is found to have violated the
stipulations herein, the other party has the right to terminate this agreement.


Article 16. Force Majeure
Either party shall not be held responsible for failure or delay to perform all or any part of this
agreement due to flood, fire, earthquake, draught, war or any other events, which could not be
predicted, controlled, avoided or overcome by the relative party. However, the party affected by
the event of Force Majeure shall inform the other party of its occurrence in writing as soon as
possible and thereafter send a certificate of the event issued by the relevant authorities to the
other party within 15 days after its occurrence.


Article17. ARBITRATION AND DISPUTES
All disputes arising from the performance of this agreement shall be settled through friendly
negotiation. Should no settlement be reached through negotiation, and then the construction,
meaning and operation or effect of this contract or breach thereof shall be settled by arbitration in
accordance with Rules of Arbitration of the Economic Commission for Asia and Far East
(ECAFE), Bangkok or any other arbitrator appointed by the mutual understanding of both the
parties and the award made in pursuance thereof shall be binding on the parties.


Signatures on this Agreement received by the way of Mail shall be deemed to be an
executed contract. All signatories hereto acknowledge that they have read the foregoing
Agreement and by their initials and signature that they have full and complete authority to
execute the document for and in the name of the party for which they have given their
signature.
