A. Invitation to Bid:
     Until Closing Time, British Columbia Housing Management Commission (BC Housing) will receive bids for the
     furnishing of goods and/or services described in the bid documents. However, BC Housing reserves the right to
     add to or delete from or otherwise amend and/or clarify the bid documents and/or the specifications up to four (4)
     business days prior to Closing Time. Therefore, bidders may wish to submit their bids in the last three (3) business
     days prior to Closing Time to ensure that they have complete information on the goods and/or services described in
     the bid documents. All bids are subject to the terms and conditions of the bid documents, which shall become part
     of a legal contract.
     NOTE:             All bids will be considered complete and capable of acceptance if submitted earlier than three (3)
                       business days before Closing Time and such bidders assume all risks of such bidding. Bid
                       modification or withdrawal is allowed as per sections B.5 and B.6.

B. Information for Bidders:
     1. BC Housing/Provincial Rental Housing Corporation (PRHC):
           a. BC Housing was established as an agency of the Province of British Columbia in 1967 to manage
              provincial and federal-provincial housing and property. In all its programs and activities it is accountable
              to the provincial ministry responsible for housing.
           b. The Provincial Rental Housing Corporation (PRHC) is the land holding corporation for provincially
              owned social housing. BC Housing administers PRHC, which buys, holds and disposes of properties, and
              leases residential properties to non-profit societies and co-operatives.
           c. When British Columbia Housing Management Commission enters into an agreement on its own behalf it is
              also acting as agent for the Provincial Rental Housing Corporation. All terms and conditions of an
              agreement are for the benefit of both the British Columbia Housing Management Commission and the
              Provincial Rental Housing Corporation and may be enforced against the other party(ies) to this agreement
              in the name of the British Columbia Housing Management Commission or the Provincial Rental Housing
              Corporation or both.
           d. BC Housing provides affordable housing to families, seniors and disabled persons of varied cultural and
              ethnic backgrounds. During the performance of a task, contractors and their employees may be required to
              work in a sensitive environment.
           e. BC Housing requires all contractors and their employees to treat all people working and/or living at the
              work site with respect.
     2. Alternate Specifications:
           A bidder shall bid the entire project without alteration, substitution or amendment, unless otherwise
           specifically authorized by the written terms of the Bid Call.
     3. Interpretation of Bid Documents:
           If a prospective bidder is in doubt as to the meaning of any part of the specifications or other part of the bid
           documents, or finds an omission or discrepancy, he may request an interpretation or correction from
           BC Housing a minimum of four (4) business days prior to Closing Time. If deemed necessary by BC Housing
           an addendum will be issued to all registered holders of bid documents. An addendum will also be issued if
           BC Housing, of its own accord, wishes to expand or delete any portion of the bid documents. Acknowledge
           receipt of addenda in the space provided in the Bid Form.
     4. Freedom of Information:
           Information contained in bids submitted to BC Housing may become subject to disclosure under the Freedom
           of Information and Protection of Privacy Act, RSBC 1996. Pursuant to section 21 of the Act, BC Housing

           may be required to release information and/or records which do not satisfy all of the following three
           conditions.
           i.  Information that would reveal either:
                  trade secret(s) of a third party, or;
                  commercial, financial, scientific or technical information of a third party.
           ii. Information that is supplied implicitly or explicitly, in confidence; and
        iii. Disclosure of the information could reasonably be expected to either:
                Harm significantly the competitive position or interfere significantly with the negotiating position of a
                 third party, or
                Result in undue financial loss or gain to any person or organization.
     5. Submission of Bids:
           Two (2) copies of the Bid Form, pages 1 to 6, are supplied. Please complete one copy and seal same in the
           envelope provided, noting on the envelope the bidder's name and address, the bid call number and the
           closing date and time. No oral (by telephone or otherwise) or written unsealed bids (by telegraph, facsimile,
           or otherwise) will be accepted for the original bid submission. See Section 6 with respect to the method for
           submitting modifications to the original bid. All submissions must be received not later than Closing Time,
           which will be the time shown on BC Housing's clock. All bid forms must be properly signed, dated and
           sealed. Where a bidder is a corporation have the Bid Form signed with the legal name of the corporation
           followed by the legal signature and capacity of an officer authorized to bind the corporation into the Contract.
           Submit a certified copy of a resolution naming the person or persons as authorized to sign the bid for and on
           behalf of the corporation to the Consultant if requested. Where a bidder is a partnership, have the bid form
           signed by the general partner or the partner with the authority to bind all partners. Where the bidder is a sole
           proprietor, have the Bid Form signed by the proprietor and witnessed.
           Bids that are unsigned, improperly signed or sealed, conditional, illegible, obscure, contain arithmetical errors,
           erasures, alterations, or irregularities of any kind may be declared informal and rejected.
           Bids may not be withdrawn or revoked after Closing Time. If, after Closing Time, the bidder attempts to
           withdraw his bid, BC Housing may, at its sole option:
           a.    accept the repudiation and retain the Bid Security as liquidated damages in full satisfaction of any claim
                 against the bidder; OR
           b.    accept the repudiation and retain the Bid Security on account of damages without prejudice to
                 BC Housing's remedies for the bidder's breach of contract; OR
           c.    refuse to accept the repudiation and require the bidder to perform the work as bid.
           It is anticipated that a contract will be awarded by BC Housing within thirty (30) days from Closing Time.
     6. Bid Revisions:
           Bid revisions must be received before Closing Time, and may be delivered in a sealed envelope or may be sent
           by facsimile transmission.
           A modification must be on the BID REVISION FORM supplied in this package and must include the bidder's
           name, address and bid call number. If a modification is not on the required form, the bid modification will be
           disqualified. The Bid Revision Form must not state the value of the original bid, but must state only the
           amount by which the value of the original bid is to be increased or decreased. If a modification is sent by
           facsimile, the time shown on BC Housing's Fax Transmission/Activity Report will be considered the time of
           receipt. Late submissions will not be considered.
     7. Bid Security:
           a.     For bid amounts less than ONE HUNDRED THOUSAND DOLLARS ($100,000.00), (excluding GST),
                 no bid security is required.

           b.    For bid amounts greater than ONE HUNDRED THOUSAND DOLLARS ($100,000.00), (excluding
                 GST), all bidders are required to provide along with their bid, a bid security in a form acceptable to and
                 payable to BC Housing. The amount must be equal to ten percent (10%) of the total bid price, and in one
                 of the following types:
                  bid bond;
                  certified cheque;
                  irrevocable letter of credit; or,
                  bank draft.
           c.    BC Housing will retain the Bid Security of the successful bidder until the contract for the goods and/or
                 services has been signed.
     3.1 If, after award of the contract, the bidder refuses to enter into the contract, then the Bid Security (if any) will be
              absolutely forfeited to BC Housing on account of its damages, without prejudice to BC Housing's remedies
              for the bidder's breach of contract.
              Failure to provide a Bid Security (when required) will result in disqualification.


     8. Performance Security:
           a.    For Bid amounts less than ONE HUNDRED THOUSAND DOLLARS ($100,000.00), (excluding GST),
                 no performance security is required.
           b.    For Bid amounts from ONE HUNDRED THOUSAND DOLLARS ($100,000.00) to ONE HUNDRED
                 AND FIFTY THOUSAND DOLLARS ($150,000.00), (excluding GST), the successful bidder will be
                 required to provide to BC Housing, in a form acceptable to BC Housing, immediately following Notice of
                 Award, a Performance Security and a Labour and Material Payment Security. Each security must be
                 in an amount equal to ten percent (10%) of Bid Price and in one of the following types:
                         certified cheque;
                         irrevocable letter of credit;
                         bank draft;
                     Or
                         a Performance Bond and a Labour and Material Payment Bond each in the amount equal to fifty
                          percent (50%) of the Bid Price.
                          Note: Where the successful bidder is not providing certified bonding for the Performance
                                   Security and Labour and Material Payment Security, Irrevocable Letters of Credit must
                                   be issued each in an amount equal to ten percent (10%) of the Bid price. These will be
                                   held for the warranty period as defined in the CCDC-2 Stipulated Price Contract under
                                   General Conditions clause GC 12.3, Warranty.
           c.    For Bid amounts greater than ONE HUNDRED AND FIFTY THOUSAND DOLLARS ($150,000.00)
                 excluding GST, the successful bidder will be required to provide to BC Housing, in a form acceptable to
                 BC Housing, immediately following Notice of Award, a Performance Bond and a Labour And Material
                 Payment Bond only, each in an amount equal to fifty percent (50%) of the Bid Price.
           d.    The retention period for Performance and Labour and Material Security is:
                        An Irrevocable Letter of Credit will be retained until the expiration of the warranty period as defined
                         in the CCDC-2 Stipulated Price Contract under General Conditions clause GC 12.3, Warranty;
                        A Performance Bond and Labour and Material Payment Bond will be retained for two (2) years from
                         the date of final invoice payment.

     9. Duration of Offer:
           In submitting a bid, the bidders agree that its bid will remain firm and open for acceptance by BC Housing for
           a period of thirty (30) calendar days from the Closing Time.
     10. Award of the Contract:
           The successful bidder is required to enter into a Contract with the Owner. The form of Contract and
           Agreement is specified in this document and supplemented by the Supplementary Conditions.
     11. Bid Opening:
           For Stipulated Price Contracts, the bidder's name, bonding details, acknowledgement of addendum(s) (if
           applicable) and total bid price (all taxes included) will be read.
           For Unit Price Contracts, the bidder's name, bonding details, and acknowledgement of addendum(s) (if
           applicable) will be read. No unit prices will be read or released subsequent to the opening. After award of the
           contract, only the successful bidder's total estimated contract value will be released upon written request.
     12. Contract Negotiations:
           BC Housing reserves the right to negotiate with the lowest qualified bidder when all bids exceed the project
           budget. Negotiations will be conducted as per section 5 of the CCDC-23 document entitled "A Guide to
           Calling Bids and Awarding Contracts".
     13. Documents:
           The successful bidder will be required to submit some or all of the following documents and/or requirements
           within ten (10) business days from the date of the Notice of Award:
           a.     Certification of Good Standing from the Workers' Compensation Board;
           b. Proof of Insurance as required under the CCDC-2 Contract and the Supplementary General Conditions of
              this Bid Call, Section GC-11.1 Insurance;
           c. Proof of Comprehensive General Liability Insurance, with BC Housing named as additional insured,
              covering the duration of the contract for the value of $2 million;
           d. Proof of Vehicle Third Party Legal Liability Insurance (if possible, ICBC Form #APV47) covering the
              duration of the contract;
           e. Proof of other insurance as required in the Bid Call Documents;
           f.    Names of subcontractors and description of the work to be performed by them, or confirmation that no
                 subcontractor will be involved in this project;
           g. Written assurance of sufficient manpower in your employ to satisfactorily fulfill this contract; and,
           h. A schedule of work completion dates.


     14. Right to Reject:
           BC Housing reserves the right to reject any or all Bids and to accept any Bid it considers advantageous. The
           lowest or any or all Bid(s) may not be accepted if BC Housing determines, in its sole discretion and after
           appropriate investigation and evaluation, that:
           a. the financial or work references are, in the opinion of BC Housing, unsatisfactory; OR
           b. the bidder, or any company with whom the bidder is or has been associated, has performed work for
              BC Housing in the previous two (2) years in an unsatisfactory way; OR

           c. in the opinion of BC Housing, the bidder appears to be unable to fully and properly perform its contractual
              obligations during the term of the contract; OR
           d. the Bid Call must be cancelled due to financing problems or changing economic circumstances; OR
           e. information becomes available after Closing Time which significantly changes the scope or extent of the
              project; OR
           f.    the lowest bid is not the most economical to BC Housing; OR
           g. the Bid, or any of the Bids, exceeds the Bid Call spending approval; OR
           h. less than three Bids are received.
     15. Site Meeting:
           A mandatory site meeting will be held for bidders:

           mandatory site meeting to arrange to visit the site at 750 Pidcock, Courtenay.
           Bidders not represented at a mandatory site meeting will be disqualified.


     16. Statutory Declaration:
           A Statutory Declaration (form CCDC 9A) must accompany the second and all subsequent progress draws and
           your request for release of the lien holdback.
     17. Occupational Health and Safety Compliance
           17.1 Workers Compensation Board Coverage:
                    It is a requirement that all contractors, prior to commencing the work, substantial completion of the
                    work, and the issuance of the final certificate for payment, provide evidence of Workers' Compensation
                    Board insurance coverage appropriate to the place of work.
           17.2 Occupational Health and Safety Regulations:
                    At all times during the term of the contract, the contractor and subcontractors must comply with the
                    Workers' Compensation legislation and adhere to all relevant Occupational Health and Safety
                    Regulations on the job site.
                    If requested, by BC Housing, during the terms of the contract, the contractor and/or subcontractors shall
                    provide evidence of compliance with provincial Occupational Health and Safety Regulations. This may
                    include, but is not limited to, the submission to BC Housing of “Fall Protection Plans”, “Notice of
                    Projects” or other documents required under provincial OH&S Regulations.

           17.3 Asbestos Inventory
                    BC Housing maintains an inventory of representative samples, at each site, of all materials tested for the
                    presence of asbestos fibres. This inventory is available for viewing by all contractors and subcontractors.
                    Contractors/subcontractors are responsible for viewing this inventory if they believe work being carried
                    out may disturb any suspected asbestos containing materials. If insufficient testing results are available
                    to assess risk, and/or the Contractor or subcontractor suspects asbestos containing material may be
                    present at the work site, then, BC Housing will be responsible for conducting further testing.
                    Unless specifically included in the scope of work for this contract, BC Housing will be responsible for
                    the containment/removal and disposal of asbestos containing materials in the effected area(s).
