                        WELSH PURCHASING CONSORTIUM

                                -rm'Ainr AGREEMENT

THIS AGREEMENT is made the             ?    day of u?«vt)ne Thousand Nine Hundred and
Ninety &i6tff BETWEEN the Councils whose names are set out in Schedule 1 and who are
collectively known as the Welsh Purchasing Consortium (hereinafter referred to jointly as
"the Consortium") and individually as "the Member" or "the Members".

WHEREAS:

(1)    The Councils which comprise the Consortium are principal Councils within the
       meaning of the Local Government (Wales) Act 1994 ("the 1994 Act").

(2)    The Members wish to continue the arrangements which have been in place since 1 974
       and consider that they should establish a joint committee to improve the co-ordination
       of local authority purchasing with the object of effecting savings in public
       expenditure.

IT IS AGREED AS FOLLOWS:

1 . (a) In this Agreement the following expressions shall have the meanings set out below
        (unless the context otherwise requires) :-

        "The Arrangements"      The procurement of those commodities listed in Schedule 4
                                by the Responsible Authority also detailed in that Schedule.

        "Call-off               Those Arrangements where no commitment has been given
        Arrangements'           to purchase any specific quantity from the nominated
                                supplier and do not prevent the Members from purchasing
                                the items the subject of the Arrangement from any other
                                source. The Arrangements are those set up by a Responsible
                                Authority but where a contract only exists when an order is
                                placed with the nominated supplier by a Member, Call-off
                                arrangements appear in Schedule 4 Part 2.

        "Contract"              Those arrangements that appear in Schedule 4 Part I.

        "Greater Gwent          Those formal joint committees comprised as follows:
        Central Supplies and
        Joint Supplies          (i)    in respect of Greater Gwent Central Supplies:
        Service"                       Caerphilly County Borough Council, Newport
                                       County Borough Council, Torfaen County Borough
                                       Council and Monmouthshire County Council and

                                (ii)   in respect of Joint Supplies Service:
                                       Bridgend County Borough Council, Caerphilly
                                       County Borough Council, Merthyr Tydfil County
                                       Borough Council and Rhondda Cynon Taff County

                                         Borough Council.

        "The Management          The joint committee of the Welsh Purchasing Consortium as
        Committee"               detailed in Clause 6 and paragraph 1 of Schedule 2.

        "The Officers' Panel"    The Panel comprising officer representatives          of the
                                 Members as detailed in paragraph 1 of Schedule 3.

        "The Responsible         That Authority responsible for effecting an arrangement as
        Authority"               detailed in Schedule 4.

        "Trading                 The Greater Gwent Central Supplies Organisation or the
        Organisation"            Joint Supplies Service or any other member who offers a
                                 similar service to another Member.



1. (b) In this Agreement:-

       (i)     the masculine includes the feminine and the neuter and vice versa; the singular
               includes the plural and vice versa;

       (ii)    headings are included for ease of reference only and shall not affect the
               interpretation or construction of the Agreement;

       (iii)   references to Clauses, Schedules and Appendices are, unless otherwise
               provided, references to Clauses, Schedules and Appendices within this
               Agreement.

       (iv)    'Act of Parliament' or any Order, Regulation, Statute, Statutory Instrument,
               Code of Practice, Byelaw, Directive or the like, whether detailed expressly or
               incorporated by general reference, shall be deemed to include a reference to
               any amendment, re-enactment or replacement of it.

2.     This Agreement is made under the terms of the powers conferred by Section 25 of the
       1994 Act and Sections 101 and 102 and 113 the Local Government Act 1972 ("the
       1972 Act") and the Local Authorities (Goods and Services) Act 1970 ("the 1970 Act")
       and is constituted to formalise the Arrangements.

3.     The Members shall use their best endeavours to obtain their requirements for such
       commodities as may be agreed by the Management Committee through the
       Arrangements.

4.     Each Member shall not act in a manner which is prejudicial to other Members without
       reasonable cause which should be justified to the Management Committee.

5.     The term of this Agreement shall be from the date hereof up to and including 31st
       March, 1999 and thereafter from year to year unless terminated in accordance with
       this Agreement.

6.   The Consortium shall constitute:

     (a)    A joint committee ("the Management Committee") of the Members whose
            powers and duties and constitution are more particularly described in Schedule
            2 (and hereby agreed) to which each and every Member hereby delegates
            subject to the terms of this Agreement such powers as are necessary to operate
            the Arrangements (provided always that every Member shall retain the right to
            exercise the same powers by themselves at all times) subject to any liability
            that may arise under Clause 9 (c) other than powers to:-

            (i)    incur capital expenditure and/or

            (ii)   enter into an Arrangement or order goods or make purchases on behalf
                   of a Member or in any other way incur revenue expenditure without
                   that Members previous consent.

     (b)    An Officer Working Group ("the Officers' Panel") comprising staff from the
            Members whose powers duties and constitution (which the Members hereby
            agree) are more particularly described in Schedule 3.

7.   In respect of the Arrangements:

     (a)    details of those to be provided and access to those Arrangements shall be
            available to Members by themselves or by the Greater Gwent Central Supplies
            and the Joint Supplies Service as set out in Schedule 4 as may be amended
            from time to time by the Officers' Panel which Schedule also defines the
            relevant Member ("the Responsible Authority") and

     (b)    each Member shall be responsible for its own costs in respect of complying
            with its obligations in respect of Clause 9 below.

8.   The Members severally agree that throughout the duration of this Agreement each will
     comply with the terms of this Agreement and without prejudice to the generality of
     the foregoing shall endeavour to supply or contribute such staff and resources as may
     from time to time be necessary under the terms of this Agreement to ensure that the
     Arrangements are properly effected.

9.   (a)    The Arrangements will be carried out by the Management Committee with the
            assistance of the Members carrying out those functions as set out in Schedule
            4.

     (b)    The Responsible Authority shall ensure that a suitably qualified Officer will be
            available wherever appropriate to give advice to:

            (i)    the Management Committee or
            (ii)   the Officer Panel

            in respect of the Arrangements it provides as set out in Schedule 4.

      (c)    Any Arrangement shall be made by and in the name of the Responsible
             Authority on behalf of the Consortium and shall comply with the Standing and
             Financial Orders for the time being of that Responsible Authority. The
             liabilities and risks attaching to any Contract shall be the liability of all
             Members taking advantage of the Contract in question in equal proportions
             except where the liability arises as the result of the act or default of a Member
             whereupon that Member shall be solely liable for such liability.

10.   Each Member shall ensure that throughout the duration of this Agreement it shall
      effect and maintain at its own expense adequate insurance cover in respect of any
      liability to a third party of whatever nature associated with the carrying out of the
      Arrangements together with any or all such product liability insurance and
      professional indemnity insurance as may be necessary.

11.   For the avoidance of doubt IT IS FURTHER AGREED that:

      (a)    Any Member may at any time during the currency of this Agreement by notice
             in writing of not less than 6 months expiring on 31st March for any year given
             to each party to this Agreement withdraw from the Agreement.

      (b)    No Member may withdraw from any obligation whether financial or otherwise
             imposed by the terms of this Agreement in respect of the Arrangements
             detailed in Part 1 of Schedule 4 upon that party or created by any other
             contractual obligation entered into as a result of this Agreement.

      (c)    No Member may at any time during the currency of this Agreement without
             the express written consent of each Member (which consent shall be in the
             absolute discretion of each Member) assign transfer pledge or in any way pass
             to a third party (of whatever nature) any of the benefits accruing under this
             Agreement or any of the obligations created by this Agreement other than the
             transfer of a benefit by a Member to any body specified under the 1970 Act.

12.   Each Member acknowledges:-

      (a)    that in consideration of the following they shall be entitled to take the benefit
             of the Arrangements as set out in Schedule 4:-

             (i)    they shall acknowledge they are bound by the terms of Schedule 5; and

             (ii)   they shall include the terms of Schedule 5 in their catalogue if they
                    have one and/or other such documentation which is issued when
                    entering into Arrangements with customers (including details of
                    contracts) who are public bodies for the provision of administrative
                    and/or professional and/or technical services under the 1970 Act which
                    are Call-Off Arrangements as set out in Part 2 of Schedule 4.

      (b)    that as individual Members they shall indemnify the other Members for any
             loss whatsoever arising from a failure to take that action required by Clause
             12(a)(ii) above;

          (c)    a representative of the formal joint committees of Greater Gwent Central
                 Supplies and the Joint Supplies Service as defined in Clause l(a) above may
                 attend meetings of the Management Committee and the Officer Panel by
                 invitation as observers and consultees but shall not have any voting rights
                 except when their representative attending the meeting has been appointed to
                 exercise a proxy vote in accordance with paragraph 4(a) of Schedule 2 or
                 paragraph 6(b) of Schedule 3;

          (d)    other local authorities or outside bodies may by the decision of the
                 Management Committee be permitted to join the Consortium upon such terms
                 as the Management Committee may decide where such membership would be
                 in the best interests of the Public Procurement practices of the Consortium
                 provided that such an arrangement is not detrimental to the interests of any or
                 all of the Members;

          (e)    in respect of those Arrangements in Part 2 of Schedule 4 orders will be placed
                 by individual Members and contracts will be effected when such orders are
                 placed upon the supplier or contractor whose tender has been accepted on
                 behalf of the Consortium. The normal contractual relationship will then ensue.

13.       Any unresolved dispute between any or all of the parties to this Agreement arising out
          of this Agreement shall be referred to and determined by a single Arbitrator to be
          agreed between the parties in dispute or in default of agreement nominated by the
          President for the time being of the Institute of Arbitrators and for the avoidance of
          doubt IT IS AGREED that the costs of that arbitration shall be met as determined by
          that Arbitrator and shall not form part of the costs under the terms of this Agreement.

                                      SCHEDULE 2

               POWERS OF THE CONSORTIUM MEMBERS AND

          THE CONSTITUTION OF THE MANAGEMENT COMMITTEE

Establishment and Constitution   1.     There shall be constituted a joint committee
of the Management Committee             known as the Management Committee of the
                                        Welsh Purchasing Consortium consisting of
                                        twelve elected members one member to be
                                        appointed by each of the Members having the
                                        functions powers and duties upon and subject to
                                        the terms and conditions hereinafter set forth.

Appointment of Representative 2.        Each of the Members shall appoint members to
Members                                 serve on the Management Committee and subject
                                        to paragraph 4 of this Schedule the members
                                        concerned shall serve until the expiry of the
                                        Agreement or until he or she is removed from
                                        appointment by his or her respective Council or
                                        dies or resigns or becomes disqualified or ceases
                                        to be a member of the Council he or she represents
                                        whichever may first happen.

                                        Any member may be accompanied by one or more
                                        Senior Officer who may attend meetings of the
                                        Management Committee but may not vote.

Nomination of Deputy to attend 4.       (a)        Any of the Members may nominate a
Meetings and Exercise of Proxy                     deputy for any member appointed by them
Votes                                              to attend and exercise a proxy vote at any
                                                   meeting or series of meetings of the
                                                   Management Committee in place of the
                                                   member so elected who for any reason is
                                                   unable to attend that meeting.          The
                                                   appointment of a proxy who is not an
                                                   elected member of the Member appointing
                                                   the proxy but is an elected member from
                                                   another Member shall be notified in
                                                   writing to the Secretary at least three
                                                   working days in advance of the meeting at
                                                   which the proxy vote is to be exercised,
                                                   and such notification shall state whether
                                                   the proxy is a general or specific proxy.

                                         (b)       The withdrawal of a proxy shall also be
                                                   notified in writing with three working days
                                                   notice to the Secretary or alternatively by
                                                   the attendance of the             Member's
                                                   representative at the meeting where the

                                             vote is to be exercised.

Appointment of Chairman and 5.    The Management Committee shall annually in
Vice Chairman                     June appoint a Chairman and Vice Chairman for
                                  the ensuing year with the Vice Chairman
                                  automatically succeeding to the Chair in the
                                  following year.

Meetings                          The Management Committee shall hold at least
                                  four meetings in every year for the transaction of
                                  general business and may hold such other
                                  meetings at such intervals as they shall find
                                  necessary or convenient.

Quorum and Voting                 Five voting members shall form a quorum. Each
                                  Member shall have one vote and in the case of
                                  equality of votes the Chairman shall have an
                                  additional casting vote.

Special Meetings                  The Chairman of the Management Committee
                                  may call a special meeting at any time and shall
                                  do so within seven days of receipt of a requisition
                                  signed by any member of the Management
                                  Committee and setting forth the nature of the
                                  matter requiring consideration; the notice
                                  summoning any special meeting shall specify the
                                  matter to be discussed.

Powers                      9.    To carry out subject to the terms of the Agreement
                                  the functions delegated by the Members by the
                                  Agreement with reference to the policy, prudent
                                  conduct and management of the Arrangements
                                  during the currency of the Agreement.

Special Emergency Powers of 10.   (a)        The Chairman and Vice Chairman in
the Chairman and Vice Chairman               conjunction with one other member of the
                                             Management      Committee      shall   be
                                             consulted by the Chairman and/or Vice
                                             Chairman of the Officers' Panel when
                                             exercising those special Emergency
                                             powers as set out in Schedule 3 paragraph
                                             13.

                                  (b)        The other member referred to in paragraph
                                             10(a) shall be a member nominated by the
                                             Member which is to host the next meeting
                                             of the Management Committee in
                                             accordance with a rota of meetings as
                                             shall be agreed between the Members from
                                             time to time. In the event of the non-

                                                  availability of a member from the Member
                                                  which is to host the next meeting the other
                                                  Members shall be approached in turn and
                                                  requested to nominate a member in respect
                                                  of paragraph 10(a) above.

Secretary                        11.   (a)        The Director of Legal and Administrative
                                                  Services of Rhondda Cynon Taff County
                                                  Borough Council for the time being shall
                                                  be appointed Secretary to the Management
                                                  Committee.

                                       (b)        The Secretary and such person or persons
                                                  as he or she may designate and Officers of
                                                  the Members will attend meetings as
                                                  officers of the Management Committee
                                                  and the Secretary shall have responsibility
                                                  in consultation with those officers to
                                                  prepare reports for the Management
                                                  Committee.

                                       (c)        The maintenance of the records and
                                                  minutes of the Management Committee
                                                  and the Officers' Panel, correspondence
                                                  and administrative work generally shall be
                                                  carried out by the Secretary or his
                                                  nominated representative.

Convening of Meetings            12.   The meetings of the Management Committee and
                                       any Sub Committee shall be convened by notice
                                       in writing by the Secretary and delivered to each
                                       member of the Management Committee or sent by
                                       post to or delivered at his residence or place of
                                       business and to the Chief Executive of each of the
                                       Members at least seven days before the day of the
                                       meeting.

Confidentiality of Information   13.   (a)        Written reports, circulated to the
                                                  Management Committee in advance of
                                                  meetings, should not contain details of
                                                  individual prices, but should show only the
                                                  names of the contractors, the estimated
                                                  values of those contracts, and the savings
                                                  estimated to be made;


                                       (b)        Save where matters are considered of a
                                                  non confidential nature the Press should be
                                                  excluded    from     meetings of        the
                                                  Management Committee, in accordance

           with the provisions of Part VA and
           Schedule 12A of the 1972 Act as amended
           by the 1985 Act and Statutory re-
           enactment or modification thereof and any
           Press enquiries should be referred to the
           Secretary;

(c)        In the event of there being any particular
           problem arising on details of Consortium
           contracts, members of the Management
           Committee should consult with the
           Secretary before making any disclosures;

(d)        For the avoidance of doubt the Consortium
           is a body to which the provisions of the
           1972 Act and the 1985 Act apply.

                                      SCHEDULE 3

                          POWERS OF THE OFFICERS' PANEL

Composition                             Each of the Members shall provide one officer
                                        representative ("The Officer") who shall serve on
                                        the Officers' Panel together with the Secretary and
                                        such other persons as the Management Committee
                                        or Officers' Panel deem appropriate.

Deputies                                The Officer shall be entitled to appoint a deputy
                                        on behalf of his respective Council for the purpose
                                        of carrying out the duties of that Officer under this
                                        Agreement.

Appointment of Chairman and 3.          The Officers' Panel shall annually in March
Vice Chairman                           appoint a Chairman and Vice Chairman for the
                                        ensuing year.

Replacement Officers                    In the event of the Officer or any appointed
                                        deputy ceasing to be employed by his respective
                                        Council or appointed as a deputy he shall
                                        thereupon automatically cease to be a member of
                                        the Officer Panel and the respective Member shall
                                        immediately provide a replacement representative.

Officer Confidentiality                 Any person attending the Officer Panel shall
                                        observe and if required sign a confidentiality
                                        undertaking in respect of matters which may come
                                        to his knowledge as a result of his or her
                                        attendance at the Officers' Panel.

Quorum and Voting Proxy Votes    6.     (a)        The Quorum shall be five taken from each
                                                   Member's Officer. There shall be five
                                                   individual Officers present to constitute a
                                                   quorum. Each Member's Officer shall
                                                   have one vote and in the case of equality
                                                   of votes the Chairman shall have an
                                                   additional casting vote.

                                        (b)        Members shall be entitled to exercise their
                                                   voting rights at the Officer Panel by the
                                                   use of a proxy vote. The appointment of a
                                                   proxy shall be notified in writing to the
                                                   Secretary at least three working days in
                                                   advance of the meeting at which the proxy
                                                   vote is to be exercised, such notification
                                                   shall state whether the proxy is a general
                                                   or specific proxy.

                                     (c)        The withdrawal of a proxy vote shall also
                                                be notified in writing with three working
                                                days notice to the Secretary or
                                                alternatively by the attendance of the
                                                Member's representative at the meeting
                                                where the vote is to be exercised.

Meetings                             The Officers' Panel shall meet each month, but in
                                     circumstances where this is not possible on such
                                     other date or dates as may be appropriate.

Functions                            The function of the Officers' Panel shall be to deal
                                     with issues arising from the provision of the
                                     Arrangements and to advise and report to the
                                     Management Committee.

Invitation of Third Parties to 9.    The Officers' Panel may within its absolute
Meetings                             discretion invite to the Officers' Panel such
                                     individuals or organisations as it feels may be of
                                     assistance to the functioning of the Panel and the
                                     Consortium.

Contract Procedure             10.   (a)        The Responsible Authority with the
                                                approval of the Officers' Panel is given
                                                plenary powers to arrange for the
                                                invitation, and receipt of standing and
                                                other offers in accordance with the
                                                Responsible Authority's Standing Orders,
                                                whether obtained by invitation or
                                                negotiation. The Officers' Panel shall
                                                approve such offers and a report giving
                                                details will be submitted to the next
                                                meeting of the Management Committee
                                                for information.

Price Variation                      (b)        The Responsible Authority subject to the
                                                approval of the Officers' Panel is given
                                                plenary powers to deal with variations of
                                                contract prices in those cases where
                                                contracts contain price variation clauses
                                                and the criteria on which such variations
                                                could take place are met by the
                                                applications from suppliers. Details will
                                                be submitted to the next meeting of the
                                                Management Committee.

Operational Procedures         11.   (a)        The Officers' Panel shall be authorised to:-

                                                (i)    consider and recommend to the
                                                       Management     Committee  the

                                                  possible range of commodities with
                                                  which the Consortium might deal;

                                          (ii)    determine which Member will
                                                  make the contractual arrangements
                                                  for particular commodities on
                                                  behalf of the Consortium provided
                                                  that the Member consents;

                                          (iii)   exchange      information      in
                                                  confidence between the individual
                                                  Members;

                                          (iv)    set up, from time to time, such ad
                                                  hoc Technical Panels as they think
                                                  necessary to advise them on such
                                                  matters as they may wish to refer to
                                                  those Panels;

                               (b)        (i)     Notwithstanding any authority
                                                  given to the Officers' Panel under
                                                  10(a) above, it shall be open to the
                                                  Officers' Panel to refer any matter
                                                  arising at the Officers' Panel to the
                                                  Management        Committee       for
                                                  decision.

Special Emergency Powers 12.   The Chairman (or in his absence the Vice
of the Chairman and Vice       Chairman) in consultation with the Chairman,
Chairman       \               Vice Chairman and one other member of the
                               Management Committee as specified in Schedule
                               2 paragraph 10(b) shall be empowered to act on
                               behalf of the Consortium in any matter which, in
                               his opinion, requires immediate attention and
                               which does not justify the holding of a special
                               meeting of the Management Committee, or in
                               respect of which matters there will be insufficient
                               time in which to call a special meeting of the

        Central Supplies/Joint Supplies Service] has made arrangements (including
        administrative and/or professional and/or technical services) that public bodies may
        obtain goods, materials or certain services by either:

                 (a)    placing an order with [Council/Greater Gwent Central Supplies/Joint
                        Supplies Service] or
                 (b)    placing an order with a third party supplier

        By placing an order, with [Council/Greater Gwent Central Supplies/Joint Supplies
        Service] or the supplier, in accordance with those arrangements, the customer will be
        regarded as having agreed to:
