                               CONDITIONS OF TENDER

1. The Supplier who submits a tender will be held to have by his own independent
   observations and enquiries fully informed and satisfied himself as to the nature and
   extent of the works, and all other points and conditions which can in any way affect the
   prices upon which this tender is based.

2. The prices upon which the tender is based shall include all charges for profit and
   transport and cartage and labour and materials and plant and insurance and all other
   expenses.

3. The Council reserves the right to award the tender either wholly or partially to the
   tenderer and allowance should be made for such eventuality in the tendered rates.

4. The Supplier shall supply, on the form below, a list of similar contracts carried out,
   giving description of these works with dates and the names and addresses of persons
   to whom reference can be made.

5.   PLEASE NOTE:

     The Council places significant emphasis on its bedding displays and only
     material of the highest quality will be accepted.

     To ensure this, the Council reserves the right to make random inspections and
     visits to ensure the above.

     Growers should be advised that the Council considers quality as the primary
     key consideration in its plant procurement and that performance of any
     contract awarded will be closely monitored and the quality of such material will
     be taken into account in any further consideration of future tender.

     Suppliers should note the varieties required. Failure to supply to specification
     may result in the exclusion of the supplier from future contracts on the
     grounds of non-performance.

     The evaluation criteria for this tender will be:

                          80% Price
                          20% Quality

     Tenders should state below what quality control procedures they have in place
     to ensure the required quality as referred to above is achieved.

                        INSTRUCTIONS FOR TENDERING


[1]   The Tender should be made on the tender form incorporated herein. It
      should be submitted and signed by the Tenderer, accompanied by the
      Conditions of Tender, and these instructions to the address and not
      later than the date and time stated.

[2]   The Contract Sum shall not be adjusted or altered in any way
      whatsoever, and any error whether of arithmetic or not in the
      computation of the Contract Sum shall be deemed to have been
      accepted by the parties hereto.

[3]   No UNAUTHORISED alteration or addition should be made to the
      Tender Form, or to any another of the Contract Documents.

[4]   Tenderers should note that this is a fixed price contract, and the
      Supplier will be responsible for any increased costs [should these
      occur], in respect of labour and/or materials.

[5]   Tenders sent by post should be sent by registered or recorded delivery
      service or delivered by hand in the envelope provided, and should not
      bear any indication of the Tenderer on the envelope or in the franking
      thereon, so as to arrive not later than time and date indicated in these
      documents an on the envelope provided. A receipt should be obtained
      for tenders delivered by hand.

[6]   Suppliers shall treat the details of this contract document as private and
      confidential.

[7]   The Council does not bind itself to accept the lowest or any Tender.

Brief Description of Works

This tender is for the supply and delivery of approximately 100,000 Annual
Bedding Plants as per the specification.


The Work Includes

Growing and aftercare.
Hardening off.
Application of any growth retardants considered necessary.
Delivery to Bangor.


Location

Delivery will be required to:

                              SPECIFICATION



1. Suppliers will price tender documents on the basis of supplying to the
   specifications requested.

2. Plants will be provided in containers as stated. They will be supplied
   moist, free of pests, diseases and weeds. They will not be dried out, nor
   wilted or desiccated.

3. Delivery dates will be subject to prior agreement but is likely to commence
   in late May 2010.

4. All trays will be correctly labelled and appropriate for the type of order.

5. All plants will be lifted, handled and delivered with due care for the
   material.

6. For comparative purposes those tendering for the supply of plants are
   required to price billed items.

7. The Council has completed bedding scheme designs to co-ordinate
   colour, foliage and height. Changes in any of the varieties listed will
   only be allowed in exceptional circumstances and only with the prior
   written permission of Council.

8. Inspections of the material to be supplied will take place by the Council to
   assess the conformance of the tenderer to the contract.

9. All material will be grown in the container sizes as specified by the
   Council.

      FAIR EMPLOYMENT AND TREATMENT [NI] ORDER 1998

1.   Article 64 of the Fair Employment and Treatment [N.I.] Order 1998 ["the Order"]
     provides interalia that a public authority shall not accept an offer to execute any
     work or supply any goods or services where the offer is made by an unqualified
     person in response to an invitation by the public authority to submit offers.
     Article 64 also provides that the Public Authority shall take all such steps as are
     reasonable to secure that no work is executed or goods or services supplied
     for the purpose of such contracts as are mentioned above by an unqualified
     person.


2.   An unqualified person is either an employer who, having been in default in the
     circumstances specified in Article 62(1) of the Order, has been served with a
     notice by the Equality Commission for Northern Ireland stating he is not
     qualified for the purposes of Article 64 to 66 of the Order, or an employer who,
     by reason of connection with an employer on whom has been served a notice
     to that effect, has also been served with such a notice.

3.   Mindful of its obligations under the Order, the North Down Borough Council has
     decided that it shall be a condition of inclusion or retention on it Approved List
     that a Contractor shall not be an unqualified person for the purposes of Article
     64 to 66 of the Order.

4.   Contractors are therefore asked to complete and return the attached
     Declaration/Undertaking, and shall be required at any stage, before
     acceptance of a Tender by the North Down Borough Council, to confirm that
     they are not unqualified persons, and to undertake that no work shall be
     executed or goods or services supplied by an unqualified person for the
     purposes of any contract with the North Down Borough Council to which Article
     64 of the Order applies.

                           NORTH DOWN BOROUGH COUNCIL

                       FREEDOM OF INFORMATION STATEMENT


North Down Borough Council (hereafter called ‘The Council’) is subject to the terms of the
Freedom of Information Act 2000. Any information, which comes into the possession of
the Council, will be subject to disclosure under the provisions of that Act, unless an
exemption applies. Only the Council can make a decision regarding whether information
is disclosable or not. In arriving at the decision, the Council will take account of the nature
of the information, exemptions provided for in the Act, and the Public Interest. If the
information is disclosable, the Council has no discretion to prevent its disclosure.

Up to and including the evaluation process, all the information provided by Vendors to the
Council will be considered to be of a confidential nature. Beyond the evaluation process,
the provisions of the Act will govern what the Council is obliged to disclose. The
evaluation process will be deemed to have been completed when the Council has made
its decision, or Management Team has decided that the particular procurement exercise is
not viable.

Vendors should be aware that the information provided in the completed tender and
contracted documents could be disclosed in response to a request under the Freedom of
Information Act. We will proceed on the basis of disclosure unless an appropriate
exemption applies. No information provided by Vendors will be accepted “in confidence”
and the Council accepts no liability for loss as a result of any information disclosed in
response to a request under the Freedom of Information Act.

The Council has no discretion whether or not to disclose information in response to a
request under the Freedom of Information Act, unless an exemption applies. Disclosure
decisions will be taken by appropriate individuals in the Council having due regard to the
exemptions available and the Public Interest in maintaining the exemption.

Vendors are required to highlight information that they include in the procurement
documents, which they consider to be commercially sensitive or confidential in nature, and
should state the precise reasons, why that view is taken. In particular issues concerning
trade secrets and commercial sensitivity should be highlighted. Vendors are advised
against recording unnecessary information.

In accordance with the Lord Chancellors Code of Practice on the discharge of public
functions, the Council will not accept any contractual term that purports to restrict
disclosure of information held by the Council in respect of the contract or procurement
exercise save as permitted by the Freedom of Information Act. The decision whether to
disclose information rests solely with the Council.

The Council will consult with Vendors, where it is considered appropriate, in relation to the
release of controversial information relating to them.
