The Bidder shall indicate total net and firm prices, not subject to revision, exonerated
from all taxes and custom duties, drawn up in accordance with the requirements stated
in this price enquiry. The quantities indicated below are an estimation of the quantities
to be used for adjudication purposes only and represent no commitment on CERN’s
CERN reserves the right to buy any item listed below at the price indicated until
30 September 2005.
In case CERN deems that the pre-series fully complies with the requirements of the
Contract, it shall so notify the Contractor in writing. The production of the series shall
not start until such notification has been given by CERN. In the case the pre-series does
not fully comply with the requirements of the Contract, CERN shall advise the
Contractor in writing of the non-conformity and shall have the right to terminate the
Contract forthwith without any compensation being due to the Contractor.

2 TRANSPORT AND TRANSPORT INSURANCE
The Bidder shall indicate all details concerning the transport quoted above from the

The detailed transport arrangements and conditions will be agreed with the Bidder
before signature of the Contract. In particular, CERN reserves the right to replace the
Bidder’s proposed forwarding agent by a well-known alternative of its choice. In this
case, the transport will be carried out by the alternative forwarding agent proposed by
CERN (DDU Incoterms 2000) and the corresponding price (including insurance) will
replace the price quoted by the Bidder.
Furthermore, CERN shall be entitled to place the Contract on ex works (Incoterms 2000)
The Contractor shall notify CERN Logistics service of a delivery not less than 48 hours
before arrival by accessing the following link:
CERN reserves the right to purchase 10 % additional Heater Control Units of each type
at the same ex works price indicated for the series delivery under section 1 above. Prices
shall be firm, not revisable and valid until 1 August 2006 or at least 6 months after the
delivery date of the last batch.
4 CURRENCY FOR PAYMENT
All rates and prices in the bid must be expressed in Swiss francs. If the Bidder wishes to
be paid in another currency, he must specify below the exchange rate between the Swiss
franc and the preferred currency of the Bidder (EURO in the case the Bidder is a firm
from any of the 12 countries of the EMU or, if not, any currency from the non-EMU
Member States of CERN and in which currency the Bidder will have major expenses).
The exchange rate specified must be quoted in official publications.

5 PAYMENT CONDITIONS
The total amount of the order shall be paid within thirty days following provisional
acceptance of the supplies ordered and reception of the invoice.

CERN reserves the right to disqualify an offer that does not meet the above mentioned
7 PENALTY FOR LATE DELIVERY
Except in case of force majeure, CERN reserves the right to apply a penalty of 1% of the
amount of the Contract, for each complete week of delay of the delivery date stipulated.
A default or delay of suppliers or contractors of one of the parties as well as a strike or
other labour conflict of a party or its suppliers/subcontractors shall not constitute a case
of force majeure (except in cases of nationwide conflicts).
The penalty shall be limited to a maximum of 5% of the total amount of the Contract.
Without prejudice to other remedies, which it may have under the Contract or
otherwise, CERN shall have the right to cancel the Contract without prior notice when
this maximum amount is reached.
8 ORIGIN OF THE EQUIPMENT - SUBCONTRACTORS
Origin of the equipment
The bidder shall indicate the country of origin of the supplies. The term «country of
origin» shall mean - in accordance with European Union laws - the country of
manufacture or of last major transformation of the supplies or of any major sub-
assembly of the supplies, whether such manufacture or transformation takes place at
the contractor or at the sub-contractor level.
The country of origin of the supplies as indicated below will be taken into account in the
application of the adjudication criteria set out in the document "Selection and
Adjudication criteria for Supply Contracts".
The countries of origin of the major part of the supplies shall be CERN Member States,
i.e. Austria, Belgium, Bulgaria, Czech Republic, Denmark, Finland, France, Hungary,
Germany, Greece, Italy, Netherlands, Norway, Poland, Portugal, Slovakia, Spain,
Sweden, Switzerland, United Kingdom.
Any departure under the contract from the list of countries of origin specified in the
tender or from the percentage shares attributed to such countries of origin shall be
subject to prior permission in writing by the CERN Purchasing Service.
The bidder shall specify in the table below any part of the obligations which he would,
if awarded the contract, want to subcontract. He shall specify the name of the proposed
subcontractor(s) and sub-subcontractor(s), the nature of the subcontracting, the
address(es) of the premises where the subcontracted or sub-subcontracted obligations
would be performed as well as their respective value.
CERN shall be entitled to reject in whole or in part the bidder's proposal(s) concerning
the subcontracting of his obligations, it being understood that in any event:
- the proposed subcontract(s) shall not represent more than 51% of the value of the
contractual obligations in total and 30 % per subcontract,
- the management and follow-up of the contract shall not be sub-contracted,
- sub-subcontracting of any obligations to be executed under the contract on the CERN
site is not permitted,
- any change in subcontracting/subcontractors under the contract shall be subject to
prior permission in writing by the CERN Purchasing Service.

10 VAT AND INVOICING
CERN is exempted from Value Added Tax (VAT) in its two Host States, Switzerland
In Switzerland, CERN's VAT exemption is based on Article 8.1 of its Host State
Agreement between the Swiss Federation and CERN dated 11 June 1955 and
implemented by the "Ordonnance sur le dégrèvement de la taxe sur la valeur ajoutée
pour les organisations internationales et la diplomatie," dated 14 December 1994 (Article
90 al. 2 let. a LTVA). Switzerland has granted CERN an exemption "ab initio" (“à la
In France, CERN's VAT exemption results from Article IX.3 of the Host State Agreement
between France and CERN, dated 13 September 1965 as amended 16 June 1972. France
has opted for an exemption by reimbursement of any VAT payable in France.
Supplies originating from the European Union are exempted from VAT according to
Article 15.10 of the Sixth Council Directive on the harmonisation of VAT legislation in
Community Member States, dated 17 May 1977.
In accordance with the above, the Contractor shall draw up his invoices in accordance
with the instructions below.
All invoices shall bear the reference of the contract/order.
It shall be the Contractor's sole responsibility and liability to determine the VAT
applicable to the Supplies and Services in accordance with applicable laws. The
Contractor shall hold CERN free and harmless with regard to any claims and indemnify
it for any cost arising in relation thereto.
Supplies delivered to the Swiss part of the CERN site not subject to Swiss VAT:
For Supplies not subject to Swiss VAT (i.e. originating from another country than
Switzerland) the Contractor shall draw up his invoices exclusive of VAT.
Supplies and Services subject to Swiss VAT:
Invoices for Supplies and Services subject to Swiss VAT shall be issued through the
holder of the Swiss VAT reference number and be exclusive of VAT.
The invoices shall mention "Exonération TVA selon Article 90 al. 2 let. a LTVA".
The basic guarantee period of 2 years and any extension thereof shall be in accordance
with the provisions stated in Article 16 of the General Conditions of CERN Contracts
12 REMARKS, IF ANY
13 SPECIAL CONDITIONS
At least 5 years experience in the assembly and procurement of similar electrical
equipment is required. CERN reserves the right to disqualify any Bidder that is not a
recognised manufacturer of this kind of equipment.
