					                                CERTIFICATE OF BORROWER


         The undersigned, for and on behalf of SMITH PLAZA, LLP, a Mississippi Limited
Liability Partnership ("Borrower"), being first duly sworn, do hereby depose and say in
connection with the Loan in the original principal amount of Three Hundred Thousand Dollars
($300,000.00), made on July 1, 2000, by Doe Life Insurance Company ("Lender"), a
Mississippi Corporation, to Borrower evidenced by a Promissory Note (“Note’) and secured, in
part, by a Deed of Trust (“Deed of Trust”), both from Borrower to Lender dated July 1, 2000:

I.      That Borrower owns an office building complex located on the Land described as

       Lot 00 of Block 00 as shown on the A. L. Jones Official Map of the City of
       Flowood, Mississippi, 1976 Edition,

II.   That this Certificate is being made and has been made in order to induce Lender to
make said Loan.

III.    That the Borrower is duly organized, validly existing, and in good standing under the
laws of Mississippi; and Borrower has full legal power and authority to own its properties and
assets in the manner in which such properties or assets are presently or proposed to be owned,
and to conduct and engage in its businesses as presently conducted. Borrower has the full
legal power and authority to enter into the Loan Documents as of July 1, 2000, and full power
and authority to consummate the transactions entered into contemporaneously with the Loan
Documents and contemplated by the Loan Documents and the other documents, instruments
and certificates executed in connection with the Loan Documents.

IV.     All partnership actions necessary and/or appropriate on the part of Borrower to authorize
the execution and delivery of, and the performance under, the Loan Documents, and any and all
other instruments or agreements provided for or executed in connection with the Loan have
been lawfully taken. The Loan Documents and all other instruments or agreements provided for
or executed in connection with the Loan constitute valid and binding obligations of Borrower
enforceable against it in accordance with their respective terms.

V.       The execution and delivery of, and the performance under, the Loan Documents,
and any and all other instruments or agreements provided for or executed in connection with the
Loan do not violate or conflict with any provision of the Certificate of Registration or Partnership
Agreement of the Borrower, nor, to the best of the undersigned’s knowledge, conflict with or
result in the breach of any provision of, or constitute a default under, or give rise to any circum-
stances which, with the passage of time or the giving of notice or both, would constitute a
default under, any Legal Requirement, or other agreement, document or instrument of any
nature to which Borrower is a party or by which Borrower or the Mortgaged Property may be
bound or affected.

VI.    Lender has been furnished with unaudited financial operating statements showing all
material income and expenses of the Mortgaged Property which is the subject of the Loan

I received my B.B.A. from the University of Mississippi in 1973 and my J.D. from the University of Mississippi School of Law in 1976. I joined the firm of Wells Marble & Hurst in May 1976 as an Associate and became a Partner in 1979. While at Wells, I supervised all major real estate commercial loan transactions as well as major employment law cases. My practice also involved estate administration and general commercial law. I joined the faculty of Belhaven College, in Jackson, MS, in 1996 as Assistant Professor of Business Administration and College Attorney. While at Belhaven I taught Business Law and Business Ethics in the BBA and MBA programs; Judicial Process and Constitutional Law History for Political Science Department); and Sports Law for the Department of Sports Administration. I am now on the staff of US Legal Forms, Inc., and drafts forms, legal digests, and legal summaries. I am a LTC and was Staff Judge Advocate for the Mississippi State Guard from 2004-2008. I now serve as the Commanding Officer of the 220th MP BN at Camp McCain near Grenada, MS. I served on active duty during Hurricanes Dennis (July, 2005), Katrina (August, 2005) and Gustav in 2008. I played football at the University of Mississippi in 1969-1971 under Coach John Vaught.
