					This is an agreement entered into between an owner of a musical composition and a
publisher for representation rights in pursuing a proper copyright. The owner appoints
the publisher as its representative to execute, deliver, and file all copyright forms.
Additionally, the owner grants the publisher the right to secure, in the name of the owner
and at owner’s expense, the copyright registration with respect to the composition. This
document should be used by owners of musical compositions or publishers for
representation rights in pursuing a proper and valid copyright.
 MUSIC PUBLISHING AND ADMINISTRATION AGREEMENT
        THIS AGREEMENT (the “Agreement”), made the _____ day of ________, 2______,
by and between __________________ (the “Owner”), located at ___________________ and
_______________, located at ___________________ (the “Publisher”) hereinafter collectively
referred to as (the “Parties”).

       WHEREAS, Owner is the owner and holder of certain copyrights and other rights to
musical works and compositions and is the publisher of certain songs, orchestrations, special
arrangements and other similar publications more fully described and set forth on Schedule "A"
attached hereto and made a part hereof (hereinafter "the Compositions"); and

        AND WHEREAS Owner desires to grant to Publisher the exclusive right to print, sell
and distribute the Compositions on the terms and conditions contained herein.

         NOW THEREFORE the Parties hereby acknowledge and agree as follows:


I.       AUTHORIZED REPRESENTATION


1.01 Owner hereby constitutes and appoints Publisher its true and lawful agent and
representative to make, execute and deliver any documents, instruments, and writings in its
name, and to take any other action upon Owner’s behalf to carry out the purposes of this
Agreement including, without limitation to the following:


         A. to prepare and file all copyright forms, Notice of Use forms, and other documents
         required to be filed with the Copyright Office in the United States, foreign countries,
         performance right societies and all other documents pertaining to the ownership of the
         Compositions;

         B. to endorse all checks and drafts received by the Publisher with respect to the
         Compositions for deposit only, and to deposit all such checks, drafts and other receipts in
         the account of Publisher and Owner relating to this Agreement; and

         C.with the express permission of the Owner, to grant licenses for the exploitation of the
         Compositions.


II.      COPYRIGHT ADMINISTRATION

2.01 Publisher shall have the right to secure, in the name of Owner, and at Owner’s expense,
the copyright registration with respect to the Compositions. Publisher shall administrate the

copyrights and interests in the Compositions in all fields of use, on a sole and exclusive basis
throughout the Territory.


III.     COLLECTIONS
    \
3.01 Publisher shall have the sole and exclusive right and shall use best efforts to collect and
receive all writer/publisher income generated by the Compositions with the exception of the
writer’s share of public performances collected by performance right societies and any other
income normally paid directly to Owner. Upon prior written notice, not to be unreasonably
withheld, Publisher may appoint others to collect and receive said income on behalf of both
Parties.


IV.      COMPENSATION

4.01 In consideration of the services to be performed, Publisher will pay Owner______
percent (____%) of one hundred percent (100%) from the net income due and payable to
Publisher as defined below in paragraph 6.01, and with respect to placements made in film,
television and advertising, _________ percent (___%) of one hundred percent (100%) on all fees
and other earnings derived from such uses for both the musical composition and master
recording (in the event that the master recording rights for said composition are controlled by
you). Such fees are herein referred to as Publisher’s Share.


V.       COST & EXPENSES

5.01     Owner shall be responsible for the following expenses:

         A. Registration and/or filing fees for the protection of the Compositions;

         B. Resubmission, transfer or notice fees providing for the changes to the ownership or
         copyright of the Compositions;

         C. Attorney fees, if any, for any agreement or document relating to and affecting the
         Compositions;

         D. Collection and other fees customarily and actually charged by other agents or agencies
         for the purpose of collecting income derived from the exploitation of the Compositions
         on behalf of both the Owner and Publisher, including but not limited to foreign sub-
         publishers or agents;

         E. Fees, royalties, and other sums, which shall be paid by the Publisher, to the writer(s),
