					This document establishes an agreement between a seller and a buyer for the sale of
goods. The goods that are subject to the sale can be specified under "Schedule A" and
a bill of sale can be included under "Schedule B" of this agreement. This document
specifies the purchase price, warranties, and terms and conditions of the agreement.
This document contains standard provisions that are commonly included in these types
of agreements, and may be customized to fit the specific needs of the contracting
parties. This agreement can be used by individuals or small businesses that want to
enter into a transaction for the purchase of certain goods.
                                SALES AGREEMENT
      This Sales Agreement (this “Agreement”) is hereby made and entered into on this s
______ day of _______, 20___ [PROVIDE DATE, MONTH; AND YEAR] by and between
___________________________ (“Seller”) and ________________ (“Purchaser’).

{Instruction: if the intended Seller or Purchaser is a minor, see instructions at end of this
Agreement, after the Signature page.}

        In consideration of the mutual covenants and agreements contained in this Agreement,
Seller and Purchaser hereto hereby acknowledge and agree as follows:

A.     PURCHASE AND SALE OF GOODS

        Seller hereby acknowledges and agrees that Seller shall sell to Purchaser and Purchaser
shall purchase from the Vendor the goods listed on Schedule “A” attached hereto (the “Goods”)
on the ___ day of _________ [MONTH], 20______ [YEAR] (the “Closing Date”).

B.     PURCHASE PRICE

       1.     Seller and Purchaser hereby agree that Purchaser shall pay to Seller the sum of
_________________ dollars ($_______) (the “Purchase Price”) for the Goods, payable by
Purchaser to Seller by way of cash or certified check. {Instruction: Add any other acceptable
methods of payment here.}

       2.      Seller and Purchaser hereby acknowledge that the Purchase Price may be subject
to applicable sales tax. Purchaser hereby acknowledges and agrees that Seller will provide to
Purchaser a calculation of any additional taxes, and Purchaser shall immediately pay any and all
applicable taxes then due.

        3.     Seller and Purchaser hereby acknowledge and agree that Seller shall deliver the
purchased Goods to Purchaser upon full payment and upon Seller executing and delivering a Bill
of Sale to Purchaser in the form annexed hereto as Schedule “B.”

        4. Seller shall deliver the Goods to Purchaser at ________________________
[PROVIDE ADDRESS OF PURCHASER], or at such other address as Purchaser may provide
to Seller.

C.     REPRESENTATIONS AND WARRANTIES OF SELLER

       1.      Seller represents and warrants to Purchaser that Seller is the legal and beneficial
owner of the Goods free and clear of any liens or encumbrances. Seller further represents and
warrants to Purchaser as follows:

               (a)    Seller has the right to sell the Goods to Purchaser;
                (b)    Seller warrants that the Goods being sold to Purchaser are, and will be at
                the Closing Date, fit for the purpose for which the Goods were intended; and

                (c)    Seller warrants that the Goods being sold to Purchaser are, and will be at
                the Closing Date, free and clear of any security interests or other liens.

     2.  EXCEPT FOR THE ABOVE WARRANTIES, NO OTHER WARRANTY
(WHETHER EXPRESSED, IMPLIED, OR STATUTORY) IS MADE BY SELLER
REGARDING THE GOODS.

D.      TITLE

        Seller and Purchaser hereby acknowledge and agree that the title to the Goods shall
remain with Seller until payment of the Purchase Price is received by Seller, Seller has delivered
the Bill of Sale to Purchaser, and until such time the Goods have been delivered to Purchaser at
the address indicated herein.

E.      MISCELLANEOUS PROVISIONS

       1.      All terms, provisions, conditions, covenants, representations, warranties, and
agreements contained herein shall be binding upon the successors and assigns of each of Seller
and Purchaser.

        2.      If any one or more of the covenants or agreements provided in this Agreement on
the part of Seller or Purchaser should be contrary to the laws of the applicable jurisdiction, then
such covenant or covenants or agreement or agreements shall be deemed severable from the
remaining covenants and agreements, and shall in no way affect the validity of the other
provisions of this Agreement.

       3.      This Agreement shall be governed exclusively by the applicable laws of the
State/Province of ________________ [PROVIDE NAME OF STATE].

       4.      The headings contained in this Agreement have been prepared for convenience of
reference only and shall not control, affect the meaning of, or be taken as an interpretation of any
provision of this Agreement.

       5.       This Agreement may only be amended by mutual agreement in writing signed by
both parties.

        6.      The foregoing represents the entire agreement between the parties.

       IN WITNESS WHEREOF Seller and Purchaser have executed this Agreement on the day
and year first written above.

especially for the sale of goods of relatively minor value. Deleting the section, above, re the
witnesses’ signatures will not affect the validity of this contract in any way.}
