							                                    Non-Disclosure Agreement

       This Non-Disclosure Agreement is entered into this ___ day of __________, 2010,
between Basham Automotive, hereafter called (“Consultant”) and _______________, hereafter
called (“Potential Buyer”).
         For Ten Dollars ($10), and other good and valuable consideration exchanged, the receipt
and sufficiency of which both parties hereby acknowledge Consultant and Potential Buyer agree
as follows:
       1. All information disclosed during discussions between the parties, including the fact
that the parties are having discussions, shall be kept confidential and shall not be disclosed to any
entity or individual not directly associated with Consultant and Potential Buyer.
       2. All parties are responsible for insuring that any individuals identified in paragraph 1
above to which confidential information is revealed understand the terms and restrictions of this
Agreement, and abide by those terms and restrictions.
       3. Any party to this Agreement shall be entitled to enforce the terms of this Agreement
through an action for injunction.
       4. This Agreement constitutes the entire agreement between the parties pertaining to the
subject matter contained herein and supersedes any prior agreements. No supplement,
modification, or amendment of this agreement shall be binding unless executed in writing by the
parties. No waiver of the provisions of this Agreement shall be deemed, or shall constitute, a
waiver of any other provisions, whether or not similar, nor shall any waiver constitute a
continuing waiver. No waiver shall be binding unless executed in writing by the party granting
the waiver.
       5. This Agreement may be executed simultaneously in one or more counterparts, each of
which shall be deemed an original, but all of which together shall constitute one and the same
instrument.
       6. This Agreement shall be binding on and shall inure to the benefit of the parties to it
and their respective heirs, legal representatives, successors and assigns.
       7. This Agreement shall be construed in accordance with and governed by the local laws
of the State of Florida, and venue for any proceeding brought to enforce the terms of this
Agreement shall be in Santa Rosa County, Florida.


       8. If any claim or legal action or other proceeding is brought for the interpretation or
enforcement of this Agreement, or because of an alleged dispute, breach, default or
misrepresentation in connection with any of the provisions of this Agreement, the successful or
prevailing party shall be entitled to recover actual attorney fees, expert witness fees and other
costs and expenses incurred in the enforcement of this Agreement whether by filing suit or not,
in addition to any other relief to which that party may be entitled.
