DURPO ENTERPRISES, INC. / SKY VALLEY HOLDINGS LLC ACQUISITION PLAN FOR THE PROPERTY CURRENTLY KNOWN AS SKY VALLEY RESORT The plan is to acquire the Golf Course Property including the newly constructed Club House, Cart Barn, Maintenance Building, Equipment, & Pavilion. The golf course will be Semi‐Private. Its revenue will be obtained through member support which must be strongly provided by the community of Sky Valley as well as public play. As provided for and outlined in the membership plan and options, current club members, both Golf & Social, who become members in The Resort & Country Club at Sky Valley, will receive credit for monies paid to Merrill Family Trust towards there initiation fee with the new administration. Upon acquisition of the property, the Golf Course will immediately be open for play, and of course, maintenance of the property will begin. An Immediate opening of the golf course, assumes that the acquisition is completed in a timely manner, and the course has only sustained minimum damage due its closure. The cart barn will act as the Pro Shop / Operating offices while the Club House is being completed. I will, as quickly as planning is complete, and is feasible, begin construction to complete the Club House. The Club house will contain no less than the Pro Shop, Lounge, Kitchen and Dining room. I will disclose more details as to the amenities of the Club House Facility as they are determined. This will be an excellent facility for member enjoyment and events, and will be the hub of the resort and community. Swim and Fitness Facilities will be provided to all member levels. We are considering Tennis. The pavilion will be leased to the Sky Valley Property Owners Association. This building can be used for Sky Valley POA events. The lease will be negotiated to allow some POA member outings to bring their own food and beverages. SVPOA members and Club Members will be able to reserve times of use for the pavilion as covered by the lease agreement. At all other times, food and beverages must be obtained through The Resort & Country Club at Sky Valley. Non SVPOA outings using this facility must schedule through the Country Club and give The Resort & Country Club at Sky Valley first right of refusal to provide food and beverages for these events.
