Chief Financial Officer

Overview

Tradewinds Forest Products LLC was created to build and operate a state of the art
veneer mill and supporting cogeneration facility on the Island of Hawaii. Tradewinds has
recently formed a hui with GMO Renewable Resources, a timber investment
management organization with over $3 billion under management and Rockland Capital
Energy Investments, a Houston-based private equity group specializing in energy
projects.

Tradewinds’ operations will start with construction of a green veneer mill, scheduled for
mid-January 2010. Construction of the cogeneration facility will be started separately at
a later date. Construction of the veneer mill and the cogeneration plant will cost
approximately $50 million each. When fully operational, there will be around 100
employees.

We are now seeking a Chief Financial Officer for the project. The CFO will be
responsible for overseeing the construction budget and upon commencement of mill
operations, managing the accounting and finances of the operations. The CFO will also
be responsible for all financial and fiscal management aspects of Tradewinds Forest
Products operations and provide leadership and coordination in the administrative,
business planning, accounting and budgeting efforts of the company.

Responsibilities

The work would include but not be limited to the following:

       Develop and implement operating and financial systems, procedures and controls
        for the smooth operations of the mill and timber assets and to facilitate
        continuous improvement. Approve and coordinate any changes and improvement
        of all management information systems.
       Work with CEO to establish and implement goals, objectives, policies and
        operating procedures of Joint Venture. Establish and maintain appropriate
        internal control safeguards.
       Hire, train and oversee an accounting staff who will be responsible for
        maintaining the finances of the project and certifying the financial statements
        prepared.
       Manage compliance requirements with lender.
       Ensure timeliness, accuracy and usefulness of financial and management
        reporting for lenders and Joint Venture members.
       Manage relations with various parties, including outside auditors, banking
        institutions and lenders.
       Ensure compliance with local, state and federal reporting requirements.
       Review and analyze cash flows, cost controls and expenses and suggest methods
        for improving the planning process as appropriate.
       Serve on committees with joint venture members for the development and
        implementation of strategic business and operational plans.
       Reporting as required by various regulatory agencies in cooperation with
        operations management.

Qualifications

       Experience in strategic planning and execution.
       Knowledge of contracting, negotiating, and change management.
       Knowledge of finance, accounting, budgeting, and cost control principles
        including Generally Accepted Accounting Principles. Understanding of private
        equity accounting and forest products industry experience is a plus.
       Knowledge of automated financial and accounting reporting systems.
       Knowledge of federal and state financial regulations.
       Ability to analyze financial data and prepare financial reports, statements, and
        projections.
       Completion of a Bachelor’s Degree in Finance or Accounting and ten years of
        experience in senior-level finance or accounting position. CPA designation or
        Masters Degree is a plus.
       Excellent professional written and verbal communication and interpersonal skills.
       Ability to motivate teams to produce quality materials within tight timeframes and
        simultaneously manage several projects.
       Ability to participate in and facilitate group meetings.
       Mature, enthusiastic, and flexible.
       Ability to work as part of a team.
