                 OPPORTUNITY?

continual support systems. KMG standards are by no means exhaustive or

KMG is providing a two tier franchise opportunity:
     I. Full franchise
    II. Brand franchise

KMG   will provide the following at different levels depending on the type of tier:
      The Trade Mark
      Product (Branding, menu, training, style of operation)
      Right to the Business System

A franchisee can either:
     Take up an existing Kengele’s Bar & Restaurant or Kula Korner unit as a
       franchise;
     Start up a Kengele’s Bar & Restaurant or Kula Korner franchise; or,
     Convert their own restaurant into a Kengele’s Bar & Restaurant or Kula
       Korner franchise unit.
Existing franchise opportunities include:

1.     FULL FRANCHISE OPPORTUNITY
        1.1        FRANCHISE OFFER

The franchisee receives:
    The Identity of the Kengele’s brand and access to the intellectual
       property: trademarks/ logos/ brand image.
    Operating System:
           Specifications (furniture/ fittings/ kitchen & operating
             equipment/ branding),
           Quality Standards,
           Prescribed Kengele’s Products,
           Standard Recipe Manual,
           Standard Training Manual,
           Standard Operating Procedure Manual, and
           Kengele’s Bar & Restaurant Brand Look-Book.
    Support System:
           Training (Induction/ Start Up/ Opening Training),
           Ongoing training,
           Pre-opening build up,
           Identification & resolution of operational challenges,
           Marketing & advertising support,
           Product evolution,
           Brand equity, and
           Experience of KMG.

        1.2        BENEFITS

 Automatic assistance in:
            Site selection,
            lease negotiations,
            personnel development,
            marketing/ advertising, and
            all the other factors relating to operating a business.
 On going support in terms of: Research and development, product and brand
  evolution, future projects, market analysis and consumer monitoring.
 Association with an already tried and tested system which allows one to enjoy
  competitive advantage, high bargaining power, maximized profits, reduced
  risks of business failure and name recognition.
         1.3 FINANCIALS

 FRANCHISE FEE

The franchise fee is negotiated based on the location and set up of the unit.

   The franchise fees cover the following:
         Licensing of Kengele’s Bar and Restaurant intellectual property
           rights;
         Use of the brand name/ trademark;
         Access to the business methods;
         Access to Standard Recipe Manual/ Standard Training Manual/
           Standard Operating Procedures Manual;
         Access to Kengele’s business and marketing plan;
         Involvement in initial recruitment process of staff and training;
         Induction training of franchisee Management prior to commencement
           of operations;
         Start up project team;
         Franchise Support Consultant available on a full-time basis

 MANAGEMENT SERVICE FEE:

        5% fee of net revenue

     The Management Fee covers:
         Continued support of operations and steady monitoring of business
           through Support Consultant;
         Monitoring consumer trends and expectations;
         Regular upgrade of menus/ systems/ controls and all areas of
           business improvement;
         Access to continuous Kengele’s product evolution and business
           upgrading;
         Regular promotional activity;
         Benefit from supplier relationships;
         Benefit from strategic partners business participation;
         Access to group purchasing position &
         Access to franchisee collective innovation pool.
 ADVERTISING CONTRIBUTION

        3% of net revenue contribution.

    The Advertising Contribution is pooled together with the advertising
    contributions of all the units and allows for greater coverage through the
    strength of consolidated contribution to:
     continue to grow and strengthen Kengele’s brand equity;
     Seasonal and generic promotions;
     Enhanced awareness campaigns, and
     Locational promotion.


   2.          BRAND FRANCHISE OPPORTUNITY

         2.1        FRANCHISE OFFER

We would provide you with a Kengele’s brand franchise, where the franchisee
would receive:
   The Identity of the Kengele’s brand combined with original restaurant
      name (Logos/ colour scheme).
   Operating System: Quality Standards, Standard Recipe for five Kengele’s
      Signature Dishes, Standard Procedure evaluation.
   Support System: Training, Identification & resolution of operational
      challenges, marketing & advertising support, Product evolution, Brand
      equity and Experience of KMG.


        2.2 BENEFITS

 Assistance in: Personnel development, marketing/ advertising and other
  factors relating to operating a business.
 Support in terms of: Product and brand evolution, market analysis and
  consumer monitoring.
 Association with an already tried and tested system which allows one to enjoy
  competitive advantage, high bargaining power, maximized profits, reduced
  risks of business failure and name recognition.
      2.3 FINANCIALS

 Brand Franchise Participation Fee:
     Negotiated One-off Payment
 Management Service Fee:
     Negotiated flat monthly Management Service Fee

     The Management Fee covers:
         Use of the brand name/ trademark;
         Access to the business methods;
         Access to Standard Recipe for five Kengele’s Signature Dishes;
         Training;
         Standard Operating Procedures;
         Continued support of operations and steady monitoring of business
           through Support Consultant;
         Monitoring consumer trends and expectations;

           business improvement;
         Access to continuous Kengele’s product evolution and business
           upgrading;
         Regular promotional activity;

RESTRICTIONS
Being part of a growing franchise, we wish for the franchisees to work closely in
developing the product and brand. Thus we provide support to our franchisees,
so that they are given a freehand with their operations with minimal interference
to innovate and try different ideas in accordance with the brand.

Trademarks are the property of Kengele’s Management Group and thus all usage
needs to have prior approval.

To support the franchise system KMG requires Franchisees to devote their full
time to the operation of the brand franchise, as owner-operation is fundamental
element to the restaurant franchise development.
