THIS AGREEMENT, entered into this the 6th day of March, 2009, by and between Name (Owner) of Company Name, employer, and Adam
Klaasmeyer (Owner) of Media Wire Inc., city of Sedona, state of Arizona, employee.
Adam Klaasmeyer is, at the time of this Agreement, employed as an Independent Contractor of Company Name and the parties wish to
continue such relationship upon the terms and conditions herein after set forth.
FOR AND IN CONSIDERATION of the mutual promises and benefits to be derived by the parties, they do hereby agree to the following: The
employee is being hired as a Web Developer to perform the following general duties:
Objective: Provide Company Name the services outlined in this proposal including Internet design and development, progressive video
downloads, web hosting and reporting.
Media Wire Inc.’s employment under this Agreement shall commence on Friday, March 6th, 2009, and end on Friday May 22nd, 2009 unless
sooner terminated as provided herein.
For all services rendered by Media Wire Inc. under this agreement, Company Name shall pay Media Wire Inc. a sum of $3,672.00, payable
in two equal installments of $1,836.00. Completion of this Agreement which will be determined by Media Wire Inc. Future compensation shall
be at such rates, and payable at such times and shall be mutually agreed upon by the parties.
Either party may terminate this agreement at any time with or without cause by giving seven (7) days written notice to Media Wire Inc. and by
paying Media Wire Inc. an amount equal to fifty (50) percent of agreed upon compensation under this Agreement. The employee agrees to
abide by all rules and regulations of the employer in existence at the time of employment and which are from time to time added. The
employee acknowledges that in the course of employment he/she may become aware of certain information about the employer's operations
or clients that is considered proprietary. The employee agrees not to disclose such information or use the information in any manner that
might be harmful to the employer's business. Media Wire Inc. reserves the right to determine the completion of the general job description
stated in this Agreement.
This instrument contains the entire agreement between the parties and may not be amended in any way except by agreement in writing and
signed by both parties hereto. The waiver by either party to this Agreement of a breach of any term of this Agreement shall not operate or be
construed as a waiver of any subsequent breach thereof.
Time is of the essence.
If any one or more of the provisions of this Agreement shall be held unenforceable or invalid, the enforceability and validity of all other
provisions of this Agreement shall not be affected thereby. This contract is governed by the laws of the state of Arizona should any
disagreement arise between the parties as it relates to employment, each party shall be responsible for their own attorneys' fees and court
