This is an agreement between an attorney and a client that provides the flat fee the
attorney will charge the client for his or her services. The agreement sets forth the
specific legal matter requiring representation, the flat fee charged, and any deposit
charged. In addition, it provides that the client will be responsible for any legal costs
and fees incurred by the attorney during the representation. This document should be
used by attorneys or clients that want to enter into a flat fee agreement.
FLAT FEE AGREEMENT
This Flat Fee Agreement (the “Agreement”), is entered into this ____ day of __________, 2_____
by and between ___________________ (the “Attorney”) and ___________________ (the
ATTORNEY AND CLIENT HEREBY AGREES AS FOLLOWS:
1. Attorney shall represent Client in the legal matter of ____________________ (the “Legal

4. Client shall be responsible for any and all costs incurred by Attorney in Attorney’s
representation of Client in the Legal Proceedings including, without limitation, any court filing fees,
witness fees, court reporter fees, process server fees, and travel expenses. In addition to the Fees
described in Section 2 above, Client shall pay to Attorney an initial deposit of ____________
dollars ($_______) (the “Expense Deposit”) in respect of any costs incurred by Attorney in
Attorney’s representation of Client in the Legal Proceedings.
5. If the costs and expenses incurred by Attorney exceed the Expense Deposit amount, Client
shall pay to Attorney, upon Attorney submitting an invoice to Client, any and all such other
reasonable costs incurred by Attorney.
6. Should Client fail to pay to Attorney the Fees and costs incurred by Attorney in Attorney’s
representation of Client in the Legal Proceedings, Attorney may, at his option, withdraw from
representation and, if necessary, file with any court having jurisdiction of the matter, an application
withdrawing Attorney as Client’s attorney of record. Client agrees that Client shall be responsible
for any costs incurred by Attorney in doing so, as well as all costs incurred by Attorney, directly or
indirectly, in association with the collection of same.
7. Attorney shall furnish to Client, upon the conclusion of Attorney’s legal representation of
Client in the Legal Proceedings, a detailed account of all fees related to the Legal Proceedings and
all costs incurred by Attorney in its legal representation of Client.
8. Attorney shall retain Client’s legal file in respect of the Legal Proceedings for a period of
________ (__) years from the date of the completion of Attorney’s representation of Client in the
