The Robert Gordon University, Schoolhill, Aberdeen AB10 1FR (hereinafter called the UNIVERSITY) and ................................................................(hereinafter called the company) The University agrees to provide corporate memberships in relation to RGU : SPORT, Garthdee, Aberdeen (hereinafter referred to as the Centre) to the company’s employees (hereinafter called corporate members) on the following basis: 1. Membership 1.1 All corporate memberships will be 12 months in duration. Memberships can either be paid in advance for the whole 12 months or paid by direct debit each month. 1.2 Corporate memberships will only be available to full and part time employees of the company. All employees must be over the age of 18 in order to become a corporate member. Contractors are specifically excluded from membership. 1.3 Each corporate membership is individual and can only be used by the specific corporate member to whom the membership is issued. 1.4 Each corporate member will be issued with a membership card and will require to exhibit that on attending at the centre along with an agreed form of identification confirming employment with the company. Two alternative levels of membership will be available (subject to timetable restrictions) to corporate members: 1.5 Peak Membership:, includes access to the gym, use of the pool and timetabled group exercise classes during opening hours. 1.6 Off Peak Membership:, includes access to the gym, use of the pool and timetabled group exercise classes between 6 am and 4 pm Weekdays and all times during opening hours at Weekends. Off Peak corporate members will be subject to usage charges if attending the Centre out with the aforementioned times. Usage charges are subject to change and details of current charges can be obtained from the Centre. For the avoidance of doubt, both Peak and Off Peak members are subject to usage charges in respect of racquet sports and the climbing and bouldering walls. The centre reserves the right to alter withdraw any part of the facilities for any period and for any purpose required by the Centre Management. 2. Payment Corporate memberships are only available where the company has an agreed minimum of employees joining the Centre as either peak or off peak corporate members. Corporate Membership will be offered to the company’s employees on the following basis; A The company will be responsible for paying the membership fees. An invoice will be issued to the company for an agreed number of 12 month memberships. Payment of membership fees will be in full and in advance for the 12 month period. The company will be responsible for providing the centre with names of the individual employees who are entitled to corporate membership. The Centre will be responsible for issuing memberships to those employees. B Individual employees will be responsible for payment of their own membership fees. This will be done on a monthly direct debit basis (over 12 months) or for the 12 months paid in advance. The company will be required to provide a list of current employees entitled to become corporate members to the Centre. The company will be responsible for maintaining and updating that list. The University will be responsible for debt collection where there is non payment of fees. A The current charges for corporate membership are detailed within appendix one attached hereto. These charges are subject to annual increase at the sole discretion of the University. The company shall be given advance notice of the annual increase. Increases will not have retrospective effect. Corporate members will be given advance written notice of any increase in the membership fee. 3. Terms and Conditions of Use Corporate members are subject to the same terms and conditions of use as all other members of the Sports Centre. All company employees will be deemed to have accepted the terms and conditions of use on becoming corporate members. 4. Termination The University reserve the right to terminate this agreement at any time for any reason whatsoever (including though not limited to where the number of corporate members falls below a level acceptable to the University) and at their sole discretion. The company will be notified of termination in writing which shall take effect immediately. In such circumstances, all existing corporate memberships will be honoured until the end of the period of membership. 5. Transfer 5.1 Where a corporate member has paid the annual membership fee in advance and ceases to be an employee of the company during the period of membership then the remainder of member’s period of membership may be transferred to another employee subject to an administration charge. 5.2 Where a corporate member pays the membership fee on a monthly basis and ceases to be an employee of the company during the period of membership the member may retain membership subject to payment of an increased monthly fee in line with non corporate memberships for the remainder of the period. 5.3 The University will not refund membership fees for any reason whatsoever. 6. Governing Law This agreement shall be governed and construed in accordance with Scottish law and the parties submit to the jurisdiction of the Scottish courts in respect of all matters arising out of it or connected with it.
