This is very pertinent to mention that despite having estimated value of Rs.8,74,800/-, which is much below Rs. 25.00 Lakhs, the open tendering has been opted for the instant case with due approval of the Competent Authority as guided by the W&P Manual 2006(Ref. Page 18 of W&P Manual), mainly because of non-availability of appropriate vendor base. The contract of the subject job was initially tried to be finalized through LTE (Limited Tender Enquiry) but because of no response from any of the approved bidder, the case could not be proceeded and for the time being as a stop gap arrangement, the contract has been awarded on 05.06.08 for a period of four months only on M/s Sivashakthi Construction, BHEL COLONY, NTPC/TTPS, TALCHER THERMAL, ANGUL DT., ORISSA – 759 101. An early action is requested.

P/2  Intending bidders shall have to invariably furnish valid Trade License, STCC, Service Tax Registration Certificate, EPF Registration Certificate, Labour License, Credentials for similar work and detail of Bank Account to which payment are to be made on account of refund of EMD and payment against work if awarded on the bidder along with the offer.  In case of downloading tender paper from DVC website, the bidder has to submit non-refundable cost of tender document in the form of Demand Draft and EMD in the form stated hereunder otherwise offer will be treated as invalid:1. Pay order or Demand Draft. . 2. Bank Guarantee, in case of EMD Value more than Rupees Ten thousand (for a period of six months, to be extended suitably till finalization of the order) from a Nationalized Bank/Schedule Bank/Foreign Banks irrevocable and operative till validity of the offer as per standard proforma. 3. Post Office National Savings Certificate duly endorsed in favour of DVC. 4. Fixed Deposit receipt issued by Nationalized Bank endorsed in favour of DVC 5. SCOPE OF WORK FOR ANNUAL MAINTENANCE CONTRACT FOR PREVENTIVE, RUNNING, BREAKDOWN AND PLANNED MAINTENANCE WORKS OF “ K.G KHOSLA (PRESENTLY TAKEN OVER BY M/S. KIRLOSKAR PNEUMATICS LTD).” MAKE COMPRESSOR, MODEL – 2HA2TERT OF UNIT # 4(1X210 MW) AND UNIT#3 (1 X 140 MW) OF DTPS, DVC, DURGAPUR.
1. DETAILS OF EQUIPMENT AND DESCRIPTION OF WORK
: 4 Nos. Instrument Compressor and 4 Nos. Service Air Compressor in Unit # 4 and 1 No. Service Air/Instrument Compressor in Unit#3. Type of Compressor : Twin cylinder (two stages) horizontally balanced opposed, non lubricated & double acting. Model : 2 HA2TERT. Capacity : 520 cfm. Make : K.G. Khosla (PRESENTLY TAKEN OVER BY M/S. KIRLOSKAR PNEUMATICS LTD.) Design discharge pressure: 7.03 Kg/cm2. Normally a header pressure of 6 Kg/cm2 for control air and service air is required for smooth operation of both Unit Nos. 3 & 4. There is an interconnection between control air header and service air header with NRV in Unit#4 Compressor House so that service air can flow to control air and not vice versa as well in between Unit No. 3 & 4 so that control air flow from Unit No. 4 to Unit No. 3 is feasible. 2. SCOPE OF WORK FOR AMC :
The maintenance work will cover overhauling, periodic preventive, running and breakdown mechanical maintenance works and installation in the system and sub-system including rotary and stationary components of service and instrument air compressors which include all associated components of the compressed air system and its sub-systems including valves, pipes etc. The outline of AMC involves the following works but the list appended below is not an exhaustive one and this will include all other works related to the system and sub-system including modification of the system/sub-system/lines/equipments. It is obvious that any other works which is not mentioned in the list below but within the purview of the system & sub-system of the compressor is to be attended within this lump sum contract. Some of the works are to be carried out on daily basis and the other jobs are to be carried out as and when required and as asked by the controlling officer or his representative(s) irrespective of number of breakdown/overhauling/servicing of the compressors and the associated system and sub-system. 3. TECHNICAL SCOPE OF WORK.

a) Daily cleaning & upkeepment of stand by and running air compressors. b) Daily running maintenance of all the compressors which include cleaning suction air filter, suction filter elements by blowing low pressure air. c) Checking of oil level/oil pressure, 1st stage & 2nd stage air pressure/cooling water pressure etc. in the running Compressor. d) Checking of V-belt tension, alignment, condition of the V-belts and adjustment including replacement, if required. e) Cleaning of moisture trap felt elements. f) Checking of safety valves setting/blowing of pressure and adjustment as per requirement for intercooler, after cooler, receiver etc. g) Checking of moisture draining device of air receiver and taking corrective measure if there is any abnormality. h) Cleaning of suction and delivery valves both LP & HP. i) Checking, cleaning and adjustment of air loading/unloading system. j) Opening the inspection cover of the cylinder (LP/HP) water jackets and checking for sludge and cleaning as per requirement. k) Cleaning primary & secondary oil filter and replacement if required. l) Replacement of crank case oil after proper flushing and topping up specified fresh oil as per requirement (upto normal oil level) or after specified running hours of the air compressors. m) Checking & cleaning of water pipes for any choking in the jacket cooling system/inter- cooler/after cooler cooling system. n) Cleaning of inter cooler and after cooler tube bunch (both air & water side) and check for leakages and attending the tube leakages by plugging and replacement if required.

o) Checking & cleaning of after cooler & inter cooler draining system. p) Checking/replacement of gland packing and scrapper rings and dismantling & checking of all components of suction (Cr 11 & 13) and delivery (Cr 12 & 14) valves, NRV and servicing with proper lapping by grinding paste and assembly with proper way followed by leak test and fitting to the system or keeping as spare. q) Inspection and replacement of components i.e. piston, piston rod, bearing rings, piston sealing rings, piston halves cylinder (LP/HP) etc. with a proper stroke setting of LP/HP piston. r) Checking and attending of any leakage of Lub oil system, air line and cooling water line system. s) Replacement of oil pump drive pin/pump assembly as per requirement. Adjustment of lub oil pressure (recommended) by operating relief valve of oil pump. t) Belting, de-belting to facilitate motor inspection, repairing of drive motor by Electrical Maintenance. u) Servicing of all the valves (oil, water, air) and replacement if required. v) Any running trouble of the compressors or beak down have to be attended as per requirement of the plant and instructions of the Engineer In charge or his representative to maintain the control and service air pressure to the designed level irrespective of the time i.e. manpower to be mobilized accordingly as per quantum of work. w) Inspection and replacement of Compressor and motor pulleys as per requirement. x) Checking & taking measurement of LP/HP cylinder bore, piston rod, crank shaft diameter etc. as per requirement. y) Complete overhauling : includes complete dismantling of the system and sub-systems of the Compressors and replacement of all the worn out/damaged components and re-assembly stage by stage, trial runs, commissioning. i) Inspection, taking measurement of dimensions/clearance of crank shaft, all sleeve/bush bearings, cross head and its guides and replacement of connecting rods, bolts and nuts, small/big ends bearings, cross heads, cross head and its guides, crank shaft, main bearings (3 pairs), thrust bearings etc. and setting main bearing fasteners by torque wrench. ii) Checking/replacement of gland packing and scrapper rings and dismantling & checking of all components of suction (CR 11 & 13) and delivery (CR 12 & 14) valves, NRV and servicing with proper lapping by grinding paste and assembly with proper way followed by leak test and fitting to the system. NOTE : 4. Complete overhauling of 4 Nos. Compressors (service/instrument) in one year. 5. Along with general shift duty, shift duty (evening shift) will be allotted to the part of the workman/man which is under the discretion of the controlling officer or his representative. However, manning will be their in regular shift/general shift on the basis as allotted by the controlling officer or his representative. Apart from normal working hours, and shift duty (evening shift) tenderer will attend any break down, if situation warrants, within the scope of lump sump contract or other wise at the discretion of the controller officer or his representative. Availability of Manpower: To control emergency need, man power along with supervisor/site in charge should be at beck and call irrespective of time i.e. day and night. Depending upon the situation of the work and as per discretion of controlling officer or his representatives working hours may be extended beyond the specified working period within the scope of LS contract irrespective of no. of days. In case for attending a job within a particular time frame as desired by the controlling officer, if more man power is required, in that case the tenderer will arrange the same within this LS contract. You shall arrange your own T&P items including torque wrench ,precision measuring instruments, welding machine, gas cutting set & others except special ones, if any, required in course of execution of works. All required spares, consumables will be provided by DVC free of cost. Planning for preventive maintenance as well as complete overhauling to be done well in advance so that the required spares can be arranged by DVC. You have to comply with all the statutory rules and regulations as well as all risk and responsibility towards engagement of the labourers.

Transportation of spares, consumables from store to site and removal of scrap from site to the scrap yard will be under the contractor‟s scope. Execution of work – The job is to be carried out strictly in adherence to the fixed time schedule as per discussion and decision taken and manpower to be mobilized accordingly. You will be at liberty to stagger the manpower. For efficient and optimum utilization of the manpower, you will have to arrange for suitable substitutes against any employee proceeding on long leave or absenting for any indisposition. Time of completion – Time frame of completion of a particular job will be provided by the controlling officer or by his representative in consultation with your site in charge/representative as the case may be. Delay in completion of the job, the penalty is at the discretion of the controlling officer. Priority – The controlling officer or his representative is at liberty to direct the manpower engaged in any job at any time at his own discretion due to importance he thinks so far. The site should be kept cleared/free from garbage, scrap, scaffolding, reject wastes etc. Power to work site – Electrical connections as per requirement will be provided by DVC free of cost. However, all care must be taken by you against any mishap. Crane/Pay Loader facility –DVC will provide the service free of cost subject to availability and as per requirement. Machining job – For any machining work, Machine Shop facility will be provided along with the Operator. However, transportation of materials from work site to Machine Shop and back from Machine Shop to the work site will be under your scope. A Log Book is to be maintained for the works carried out on daily basis as well logging the all parameters of the Compressors which will remain in service. For any abnormality observed, the same should be immediately brought to the notice of the Engineer In charge/Controlling officer. Permit to work card/job card – Before commencing any job permit to work card must be obtained from Operation Department through the Controlling Officer or his representative. One mobile telephone set is necessary for emergency contact to your supervisor or your representative.

ANNEXURE-II TECHNO-COMMERCIAL TERMS AND CONDITIONS:1. 2. The rate shall be firm throughout the contract period Payment Term – 100% payment will be made on the running monthly bill subject to satisfactory completion of the jobs duly certified by Engineer In Charge and acceptance of SDBG. Three copies of the pre-receipted bill must be submitted. 3. Security Deposit – You have to submit 10 (ten) per cent of total value of the order in the form of Bank Guarantee from any Nationalized/Scheduled Commercial Bank valid till expiry of the contract period with a claim period of another six months in DVC‟s prescribed format. The Bank Guarantee has to be submitted within 30 (thirty) days from the date of placement of Work Order. Without acceptance of SDBG no payment will be made. 4. Contract period – The contract will remain valid for a period of 01 (ONE) year i.e. one year from the date of actual commencement of the job after successful site mobilization. 5. Extension- Contract may be extended for a further period of one year subject to performance review at same rate, terms & conditions. 6. Agreement: You shall have to execute a contract agreement in the DVC prescribed format in T-3 form on a non judicial stamp paper worth Rs. 50/- before commencement of the work. 7. Site mobilization – Site mobilization shall have to be done within a period of maximum two weeks from the date of placement of Work Order. Within this period all the tools & tackles, manpower and infrastructure facility are to be made ready for starting the actual work of the contract. No advance payment towards mobilization will be made. 8. Penalty – In case of delay in completion of the assigned job beyond a mutually agreed time due to any reason attributable to your part or non performance of the equipment after maintenance, a penalty will be charged @ 0.2 per cent of the total LS contract value per day of delay and part thereof at the discretion of the controlling officer or his representative. For unauthorized shortage of manpower, controlling officer or his representative at their discretion may deduct an amount equal to average wage for shortage of each man day. Total cumulative deduction will be limited to 10 (ten) per cent of the total order value of the contract throughout the contract period for unauthorized shortage of man power. 9. No demobilization/compensation charge will be admissible to you in case of suspension of work due to any reason whatsoever. 10. Accommodation: Unfurnished Residential accommodation, if available, shall be provided on chargeable basis and charge will be deducted from respective monthly running bills. Security deposit would be kept withheld in case bidder fail to vacate the room within Seven (7) days from the date of completion of the contract and other penal measures as deemed fit by the DVC, DTPS will be taken. 11. Compliance of EPF scheme for the workers engaged by you will be applicable as per rule. SPECIAL TERMS & CONDITIONS:1. You shall submit a copy of monthly payment voucher showing detail payment made by you to your workers/supervisors on demand along with the monthly R.A. Bill. All payments are to be made in presence of DVC authorized persons on prior intimation or the case may be. 2. Safety Measures: - Guide line for action in respect to safety measures for the job is specified here under. a. You have to ensure safety of your workers at site, while working and to provide all kinds of safety equipment required for the job like safety belts/ safety ladder/ safety net personnel protective devices etc to your workers. b. You shall be liable to pay compensation, if any, to your worker for accident “Arising out and in course of employment” under the Workmen‟s compensation Act. c. Before execution of the job at site you shall have to take clearance from DVC. d. Scaffolding & Safety: - The scaffolding/platform erected for the purpose of work should be safe & should be certified by the Safety Department, before start of work. e. All ladders should be securely fixed to avoid slipping or falling. f. You have to abide by Mandatory Safety clauses. 3. Precautionary measures to avoid damage of other equipment: - Bidder should take care for safety of equipment and property of DVC. Any loss to this effect will be bidder‟s responsibility entirely and they shall have to make good for the losses and extra expenditure incurred by DVC, DTPS thereof. 4. Discipline : The employees of bidder should maintain proper discipline and behavior and do not cause any hindrance to smooth running of the power plant or in execution of duties by DVC, DTPS Employees. Controlling officer is fully empowered to ask you to withdraw any worker/workers on charges of misconduct, incompetence/negligence in discharge of duties and such worker/workers may not be deployed without his permission. 5. Laws:a. Bidder should have to abide by all Statutory Acts and Laws and Regulations of respective Government. b. Bidder shall be responsible for compliance of all statutory obligations under Factories Act, Contract Labour Act, Minimum Wages Act, Payment of Wages Act and also be responsible for payment of employees‟ contribution under EPF etc. c. Bidder shall have to obtain license from Govt. License authority under Contract Labour Regulation and Abolition act and the copy of the same will have to be produced before commencement of work.

The workers deployed by the bidder will be bound by regulation of Factories Act, 1948. Minor and women labours shall not be engaged in this work. e. Xerox copies of the documents showing deposit of EPF amount to the EPF department of Govt. should be submitted to the controlling officer and personnel department before submission of bill, for payment. Discontinuation of job : In case the job is found discontinued by bidder within the contractual period, DVC, DTPS shall have the right to award part or full job to any other outsider agency and the expenditure thereof shall be deducted from their bill/Security Deposit. Subletting: You shall not be allowed to sublet the work as whole to any sub-contractor. Contingency: You shall have sufficient fund to pay the workers when bills are not paid/passed for reasons whatsoever for at least two months. Labour Regulations and Minimum wages : Bidder have to abide by the provisions of the contract labour Act 1970 for which the bidder maintain records as necessary in terms of minimum wages act read with the other statutory provisions. The provisions under the Factory Act 1948 as amended from time to time shall have to be complied with by the bidder. Local Rules & Regulations: Bidder has to abide by the rules and regulations framed by DVC authority which may change from time to time in the interest of the project. Bidder is to follow the duty hours as will be specified by the controlling officer during execution on the tenderer. Security Gate Pass: - Bidder has to arrange gate pass for his workmen fro the security department and the rules and regulations related to this subject shall be binding on the tenderer. Withdrawal of workmen: - In case of any worker is found hampering the interest of the project in any way DVC shall reserve the right to take appropriate action. In such case, bidder shall have to replace such non-acceptable workmen within 24 Hours notice from the controlling officer. Idle Labour Charge: - DVC shall not responsible for payment towards idle labour charge under any circumstances. Safety of Working Personnel: - DVC in no way shall be responsible for safety of tenderer‟s workmen. Bidder should supply the necessary protective devices for safety of bidder‟s workmen and bidder will ensure that necessary safety precautions have been taken for tenderer‟s workmen. Accident: - In case of any accident of bidder‟s workmen, bidders are to arrange necessary prime facie requirement immediately after the incident. DVC shall in no way be held responsible to compensate bidder‟s workmen be it on duty or not. No benefit in any form shall be admissible in such case. Payment to Workmen: - Bidder shall have to make wages/salary payment to workmen within 10 days of succeeding month failing which the order may be terminated without further reference. Monthly salary/wage sheet shall have to be submitted to (One copy) to the Personnel section. Canteen facility : Canteen facility may be extended to working personnel on chargeable basis. Checking: - Controlling officer or safety officer at his discretion may check/examine any of bidder‟s tools/scaffolding/working condition etc. and if unsatisfied he may suspend the job temporarily till proper measure is taken from bidder‟s end. Workers compensation: - All the workers under the contract must be paid compensation as per Workmen‟s Compensation act in case of injury or death in course of employment while on duty, by bidder at bidder‟s own cost. Bidder must have Provident Fund code no. for depositing Provident Fund amount for bidder‟s workmen. Bidder should furnish P&T / Mobile Numbers of the responsible contact person(s) to make available for emergency need to avoid any unforeseen situation. Bidder shall be fully responsible for his workers with regard to terms of employment of services. DVC should not be responsible in any manner, whatsoever in respect of worker engaged by bidder for carrying out the work at DTPS, DVC. All suits arising out of the work order are subject to the jurisdiction in the KOLKATA HIGH COURT only. Demobilization: In case of demobilization of contract whatsoever be the reason no compensation will be paid. DVC may at its sole discretion, ask you to continue the job for another period of one year beyond the stipulated

The expression satisfactory execution of the order shall mean fulfillment of all obligation arising out of and the guarantee stipulated in the order. In default of satisfactory execution of the order the security deposit shall be forfeited by the Corporation.

26. MANDATORY SAFETY CLAUSES OF THE WORK ARE BIDDER’S RESPONSIBILITY :01. Bidder shall be vigilant to ensure provisions of Factories Act and other statutory provisions as applicable in respective Power Plant. 02. It is Bidder‟s responsibility to collect copies of prevailing rules from safety department of the plant. 03. Bidder must ensure use of Personal Protective Equipments by their workers. a) Industrial HELMET shall be issued to each worker by bidder. b) Other Personal Protective Equipments necessary for execution of the work shall have to be supplied by bidder to bidder‟s workers. 04. Bidder shall ensure periodic testing/examination of equipment as well as safety of tools and tackles, used by bidder‟s workers as per provision of Factories Act and rule and maintain the upto date record for the same at site for inspection of departmental Engineer/Safety Department on demand. 05. Bidder will ensure medical examination for bidder‟s workers who are working at hazardous areas before commencement of work and once in every year by qualified medical practitioners as per provision of the Factories

Act and W.B. Factories Rule land maintain a Register for the same for inspection by respective O&M Department/Safety Department on demand. The workers employed by bidder should be suitably skilled for the respective job requirement otherwise head of concerned department head shall have the right to disallow the unsuitable workers. In case of injury, bidder will send the injured person to Hospital/Dispensary/First aid Centre with verbal intimation to the Department head under whom he works as well as to safety department. Bidder shall submit periodical progress report about the treatment till the injured worker is certified fit by Govt./Govt. Registered doctor and the said fit certificate will be submitted to safety department. Before resumption of work by the said injured workers. All suits arising out of the tender and subsequent work order, if any, are subject to the jurisdiction in the KOLKATA HIGH COURT and no other court, when resolution/settlement through mutual discussion and arbitration fails. DVC reserves the right not to accept the lowest rate quoted by the tenderer and reject any or all the tenders without assigning any reason thereof.

Termination Clause:- The Contract will be terminated as per the following DVC‟s GCC guidelines :: DVC may terminate / Short Close the contract, by not less than 30 days written Notice to the bidder, to be given after occurrence any of the events specified in the Sl. No. (a) to (e) of this clause and 60 days in the case of the event referred to Sl. No. (g), (h) & (f) below. a. The vendor fails to comply with any of the terms of the order or the bidder do not remedy a failure in the performance of their obligation under the contract, within 30 (Thirty) days after being notified or within any further period as the owner may have subsequently approved in writing. b. The vendor becomes bankrupt or goes into liquidation. c. If as a result of Force Majeure, the bidder is unable to execute the job for a period of not less than 60 days. d. If the bidder, in the judgement of the owner has engaged in corrupt or fraudulent practices in competing or in executing the contract. For the purpose of this clause :: e. “Corrupt Practice” means the offering, giving, receiving or soliciting of any thing of value to influence the action of a public official in the selection process or in contract execution. f. “Fraudulent Practice” means a misrepresentation of facts in order to influence a selection process or the execution of a contract to the detriment of the owner. g. The vendor is otherwise precluded from complying with any of the terms of the order on account of any directives of any lawful authority. h. If the owner, at its sole discretion, decides to terminate this contract. DVC RESERVES THE RIGHT NOT TO ISSUE TENDER DOCUMENTS TO ANY INTENDING BIDDERS WITH WHOM DVC HAS STOPPED ENTERING INTO BUSINESS BY VIRTUE OF POLICY DECISION.

Settlement of Disputes and Arbitration :: Any dispute(s) or difference(s) arising out of or in connection with the contract shall , to the extent possible, be settled amicably between the owner and Contractor. In the event of any dispute or difference whatsoever arising under the contract or in connection herewith including any question relating to existence, meaning and interpretation of the contract or any alleged reach thereof, the same shall be referred to the Secretary, CEO of Damodar Valley Corporation, Kolkata – 54 or to a person nominated by him for arbitration. The Arbitration shall be conducted in accordance with the provisions of arbitration and conciliation law 1996 or latest and the decision/judgement of Arbitrator/Arbitrators shall be final and binding on both the parties. However, in case the contractor is a Central Public Sector Enterprise/ Govt. Department, the dispute arising between the „Owner‟ and the „Contractor‟ shall be settled through Permanent Arbitration Machinery (PAM) of the Department of Public Enterprise, Govt. of India as per prevailing rules. All suits arising out of this enquiry and subsequent contract, if any, are subject jurisdiction of Court in the City of Kolkata only and no other court, when resolution/settlement through mutual discussion and arbitration fails.
