LLC Consulting Agreement
This Agreement is entered into this date by and between ________________ LLC, a limited liability company formed under the laws of ______________, and _____________, a consultant. WHEREAS, ________________ LLC is engaged in the business of ________________ _____________________________________________________________; and, WHEREAS, ________________ LLC desires to retain the services of the consultant to________________________________________________________________________. NOW THEREFORE, IT IS AGREED AS FOLLOWS: 1. Services. The consultant agrees to provide on-site and telephone service to the company. The service will relate primarily to _____________ at _________________. The consultant agrees to assign _________________, one of its employees, to provide such services. 2. Compensation. The company agrees to compensate the consultant as follows: A. The consultant shall be paid $_____ per hour for services performed. B. The company shall reimburse the consultant for all travel time at the above rate, but the consultant may bill a maximum of not more than ____ hours of travel time in any 24-hour period. C. The company shall reimburse the consultant for all reasonable and necessary expenses incurred in performing these services, including, but not limited to, travel, lodging, meals, telephone, postage, secretarial services and bonding, if required. D. The corporation shall deposit $_______ with the consultant against which the above fees and expenses shall be billed. Any of such deposit remaining after the final bill shall be returned to the company. E. The consultant shall an invoice for all services and expenses for the preceding calendar month to the company on the 15th day of each month. Payment shall be due within 30 days of such invoice. F. The consultant shall make _____________ available for work at sites selected by the company as often as the consultant and the company shall periodically agree. The company shall notify the consultant of the work sites and dates of services at least ____days in advance. The company may consult with _________________ by telephone at other times. G. The company shall reimburse the consultant for any travel between the consultant's home base and any work sites selected by the company. The consultant may permit its employee to travel home from the work site to _________________, and back to the work site, on any weekend at the company's expense.
H. The consultant agrees to maintain adequate workmen's compensation and employer's liability insurance, and to pay any and all taxes and all other payments required to be made by the laws of the United States or of the state in which the consultant's business is located, including, but not limited to, payments for unemployment insurance, social security, as the case may be, and health insurance in respect of any employees. 3. Representatives. The corporation shall appoint ____________ with whom the consultant will work with regarding all matters pertaining to this Agreement. The consultant shall perform all services to the satisfaction of ________________. The company may designate a replacement for ________________ at its discretion at any time. 4. Duration. Unless automatically terminated earlier by agreement of the parties, or by incapacity or bankruptcy of either party, or by either party's failure to timely or properly perform the services or make payments, this Agreement extends until __________. This Agreement may be terminated by either party for any reason without liability after first giving _____ days prior written notice to the other party. 5. Industrial Safety. The consultant shall take reasonable precautions to avoid injury or damage to any party while performing the services. 6. Records. The consultant shall keep full and complete records of all services done under this Agreement and shall turn copies of such records over to the company upon termination of this Agreement. 7. Confidential/Proprietary Information. The consultant agrees that it will not disclose and will hold in confidence any and all proprietary information, drawings and other matters owned by the company brought to the consultant's attention (collectively the "Information") by the company during the course of this Agreement, whether in written or oral form. Without the prior written consent of the company, the consultant agrees not to use the information for any purpose other than the performance of the services performed for the company. However, the consultant shall not be so restricted where (a) information is now or becomes public through no fault of the consultant, or (b) the consultant already had information in the possession from the consultant's own work prior to the date of this Agreement, or (c) the consultant received information from a third party on a nonconfidential basis and not derived from the company. 8. Possible Licensing Agreement. At the written initiation of the company, the consultant agrees to enter into reasonable, good faith negotiation with the company, during the term of this consulting agreement, for a non-exclusive licensing agreement through which the company would be able to sell any or all product lines then manufactured by the consultant.
