					This document sets forth the terms and conditions of an agreement between a general
contractor and a company or client for construction services. These terms and
conditions contain general provisions in respect to the rights and obligations of the
contracting parties as well as determining which party will carry insurance on the
project. This document should be used in addition to the general contractor agreement
between a contractor and a company or client to provide further details of the
agreement.
       GENERAL CONTRACTOR TERMS AND CONDITIONS
1.00           RELATIONSHIP

       The Contractor hereby represents and warrants that it is a licensed and properly qualified
contractor to perform all contracting services and work as contemplated herein.

        The Contractor hereby further represents and warrants that any and all services or work
performed by and completed by the Contractor shall be done in a professional and workmanlike
manner and shall be performed and completed in accordance with all regulations and standards
of practice of the applicable jurisdiction.

       The Contractor warrants that it is and shall remain to operate as an independent
contractor and at no time or times shall be considered an employee of _________________
[NAME OF COMPANY] (hereinafter the “Company”).

2.00           INSURANCE

        Prior to the commencement of any services or work by the Contractor for the Company,
the Contractor shall ensure that it has obtained all necessary insurance coverage for the purposes
of the Contractor performing and carrying out the services and work for the Company.

       The Contractor shall provide to the Company certificates of insurance evidencing such
coverage in place, prior to the Contractor commencing any services or work.

       The Contractor shall ensure that the insurance coverage in place for the services and the
work to be performed by the Contractor for the Company, include the following coverage:

       (a) Comprehensive and General Liability Insurance with a minimum limit of
           ____________ [AMOUNT IN WORDS] dollars ($______) [AMOUNT IN
           NUMERALS], which shall include but not be limited to, contractual and independent
           contractors, personal injury and property damage;
       (b) Worker’s Compensation Insurance with the minimum statutory limits, employer’s
           liability, with minimum limits of ____________ [AMOUNT IN WORDS] dollars
           ($______) [AMOUNT IN NUMERALS], including but not limited to injury or
           occupational disease; and
       (c) Comprehensive Automobile Liability with a minimum limit of ____________
           [AMOUNT IN WORDS] dollars ($______) [AMOUNT IN NUMERALS], with a
           combined single limit, including but not limited to injury and property damage.

        Any and all insurance certificates or binders provided by the Contractor to the Company
shall indicate the expiry date of such insurance policy.
       The Contractor shall provide ___________ [AMOUNT IN WORDS](___ [AMOUNT IN
NUMERALS] days’ written notice to the Company of any cancellation or material change in the
insurance coverage of the Contractor, and any and all renewal certificates or binders of insurance
coverage shall be provided to the Company prior to the date of any expiry of insurance policy.

       The Contractor shall maintain at its sole expense, all similar insurance coverage for any
of the Contractor’s subcontractors, which the Contractor employs to assist in perform the
services and work for the Company.

3.00    RULES AND REGULATIONS

       The Contractor shall comply at all time or times with any and all rules, regulations and
laws of the governing jurisdiction where the services and work are to be performed by the
Contractor.

         Should the Contractor perform any work contrary to any such rules, regulations or laws,
the Contractor acknowledges and agrees that it shall be solely liable and responsible and shall
indemnify and save the Company harmless, to the fullest extent allowed by law, from any and all
liabilities, expenses, fines or penalties resulting from the Contractor’s non-compliance.

       The Contractor shall at all times comply with all safety rules and regulation which the
Company has in effect at the location where the Contractor is to perform the services and work.
Any failure by the Contractor, its employees, agents, or subcontractors to abide by the
Company’s safety rules and regulations shall be deemed a cause for the Company’s cancellation,
without penalty of the Contractor’s services and work contemplated herein.

4.00    SUBCONTRACTORS

        Prior to the Contractor hiring any subcontractors to perform part of the services and work
to be completed, the Company shall obtain the written consent and approval of the Company.

        By the Contractor not obtaining such written consent and approval from the Company, no
such approval shall relieve or release the Contractor from any of its obligations to the Company
for the services and work to be performed. The Contractor hereby agrees to bind each of its
subcontractors to the terms and conditions of these General Contractor Terms and Conditions.

5.00    INDEMNIFICATION BY CONTRACTOR

         The Contractor hereby agrees to indemnify and hold the Company harmless, including
the Company’s officers, directors, agents, and employees, to the fullest extent allowed by law,
from and against any and all losses, damages, expenses, attorney’s fees, claims, suits and
liabilities arising out of or in connection with any damage to property or injury to any person or
persons, including death, arising out of or in connection with the Contractor’s performance or
