Present were (Corporate Members) represented by (individuals designated as representatives). Participating by telephone was Company Attorney, ___________________, who served as organizer. The Attorney reported that the Secretary of State of ________ had filed the Articles of Organization for the Company in that office on (Date), and had returned the document copy with the filing fee receipt on (Date). Upon motion duly made, seconded and unanimously carried, it was RESOLVED that the Articles of Organization of ___________ LLC filed in the Office of the Secretary of State be, and the same are, approved. It was further RESOLVED that the returned document copy of the Articles of Organization for this Company together with the Certificate of Organization issued by the Secretary of State be inserted at the front of the book of minutes. The Attorney presented a form of Operating Agreement which was then read Article by Article, and as a whole unanimously adopted. Upon motion duly made and unanimously passed, it was ORDERED that the approved Operating Agreement be signed (in counterparts) by the Members, and that it be entered in to the book of minutes.
