Member's consent to loan In accordance with the Operating Agreement ("OA") of the _____________ LLC ("Company"), the Company and its members hereby unanimously consent to the pledge and transfer of the Company's membership interest described in the attached loan and security agreement attached hereto as Exhibit 1 ("Financing Documents") to ___________ Bank ("Bank") pursuant to the terms of said Financing Documents and notwithstanding any term or provision to the contrary of the OA, any buy-sell agreement or similar agreement governing the rights of the members to pledge or transfer membership interests in Company. To the extent necessary, the Company's Articles of Organization, the OA and any and all buysell agreement and similar agreements by and among Company and its members are hereby modified to be consistent with the terms of this consent to transfer agreement. Company and its members further agree to not issue any additional membership interests and to not take any action to dilute Company's ___________ membership interest in Company pledged and transferred hereby without the prior written consent of Bank, and further agree that any issuance or dilution in violation of this provision shall be null and void.
